与IBS 签约 成荣联营预制建材

（吉隆坡16日讯）成荣集团（MUDAJYA，5085，主板建筑股）宣布，间接子公司MJC预制私人有限公司（MJC）与IBS国际预制私人有限公司（IBS），签署联营与股权协议。
根据文告，MJC与IBS将成立联营公司VS Millennium公司，合作通过工业建筑系统（IBS），生产预制产品来供应给建筑项目。
同时，双方也会针对VS Millennium公司的股权分配，进行协调，预计在半年内完成。
一旦协调完成，MJC与IBS将分别持有VS Millennium公司的70%和30%股权。【南洋网财经】

（吉隆坡17日讯）成荣集团（MUDAJYA，5085，主板建筑股）披露，有意收购一个马来西亚发展有限公司（1MDB）的电力资产。
成荣集团执行董事兼副总执行长李永良表示，放眼在东南亚收购电力资产，并对1MDB电力资产感兴趣。
不过他说，该公司尚未详细讨论这项潜在的收购计划。
他今天在股东大会后指出，收购条件必须符合时机和价格，并以商业因素作为考量。
目前，1MDB旗下独资子公司Edra Global Energy有限公司，共持有三项电力资产，早前已经多家公司表达了兴趣，包括IJM（IJM，3336，主板建筑股）、国家能源（TENAGA，5347，主板贸服股）、马拉卡（MALAKOF，5264，主板贸服股），以及新加坡的胜科工业（Sembcorp Industries）。
出席股东大会者，包括独立非执行主席拿督尤斯里，和独立非执行董事周海滨。
有媒体报道成荣集团有意脱售持股26%的印度恰蒂斯加尔（Ch hattisgarh）发电厂，对此，董事经理兼总执行长王得和指该报道不属实。
他说，目前该公司的策略是完成发电厂的建筑后，再转化为经常性收入来源。
“我们没有寻求脱售，相反，我们想在东南亚购买更多资产。”
他说出，该发电厂将于明年竣工，有望在明年下半年贡献业绩。
持9亿订单末季可转盈
此外，王得和也预测成荣集团将在本财年末季转亏为盈。
他说，公司正积极竞标建筑合约，总值50亿令吉。
“我们现在持有9亿令吉建筑合约，预计今年末结束。”
本届股东大会历时将近三小时，部分小股东对股价近日走低表达不满。
尤斯里表示，公司股价虽低，但净有形资产（NTA）比股价高。
“外国投资者购买我们的股票，正是信心的证明。”
截至周三闭市时，成荣集团报1.23令吉，下跌2仙或1.6%，全日成交量有29万4100股。
毕马威初步调查 证实前职员涉舞弊
毕马威（KPMG）调查显示，有初步证据证明成荣集团的一名前职员，确实在一项合约中，出现违反职责和不恰当的行为，但并没有影响集团财务和2014年财报。
成荣集团3月时在内部调查时揭发，有一项合约出现违规交易，导致成本扩大，其中一名前职员也涉及弊案。
该集团今日在文告中指出，毕马威的调查已有初步证据，证明这项交易确实违规，但并没有太确切的串通诈欺的证据。
不影响财务无需拨备
为了不影响相关单位调查工作，该集团受促保密相关报告细节。
同时，这项弊案也不会影响公司财务，不需做出额外拨备，2014财年的未审计和已审计财报，也没有出现差异。
另一方面，毕马威在报告中，也强调了数个成荣集团应该加强内部监管的范围，该集团会通过重组架构改善风险管理，同时会改善工程竞标过程、严加控制工程成本，以及加强项目管理。 |

成荣稽查报告呈董事局

（吉隆坡17日讯）成荣集团（MUDAJYA，5085，主板建筑股）今日发文告指出，该公司委任稽查公司--毕马威（KPMG）调查有关公司內部前员工，在一项工程项目设计非法交易的报告，已呈交给董事局。
毕马威目前掌握该名前员工，在该项工程项目涉及的抵触法律行为的证据。该项稽查报告也正式確认，该项事件对成荣集团的財务影响已经完全计算在內。
另外，毕马威也针对成荣集团改进其內部监控制定2项方案：第一、重新调整组织结构以提高该公司的风险管理；第二、主动改进公司的业务营运活动，包括改善公司项目招標过程、加紧管制工程项目所需的成本和加强工程项目管理。

KPMG in its report has also highlighted areas for improvement in the organization’s internal control. The Group has since initiated improvements to its internal control procedures as well as a review of its organizational and reporting structure with the aim of providing and promoting a culture of ownership and accountability across the Group, strengthening the levels of controls and enhancing the Board’s oversight of its operations. Continuing remediation actions include:
(i) Realignment of the organizational structure to improve risk management;
(ii) Initiation of operational improvements including improving project bidding processes, tightening of control over project costs and strengthening of project management.

（吉隆坡15日讯）虽然成荣集团（MUDAJYA，5085，主板建筑股），获得石油提炼和石化综合发展项目（RAPID）的一项总值4.89亿令吉工程，但分析员依然谨慎看待该公司的净利前景。
成荣集团在14日宣佈，获得国油公司（Petronas）颁发一项总值约4亿8940万令吉的建筑工程合约。该工程分成2个部份，即为劳工宿舍和公用设施建筑工程，预计在15至21个月內完成。
丰隆研究分析员对此表示，这是成荣集团今年內所获得的第一项大型合约，其工程订单价值料从第2季的9亿6200万令吉，增至15亿令吉。

新合约难改变前景 成荣盈利仍看淡

（吉隆坡6日讯）成荣集团（MUDAJYA，5085，主板建筑股）虽刚获颁新工程合约，但这改变不了分析员唱淡该公司的立场。
成荣集团昨天宣布，获得一项价值4390万令吉的石油提炼和石化综合工程。
但分析员认为该公司爭取新合约不力，加上该公司连续3个季度蒙受亏损，因此並不看好该集团的盈利前景。
该项合约主要为柔佛州边佳兰热电厂正在施工的额外土木工程。
计入这项新合约后，该公司在这项目获颁的合约总值增至9940万令吉。该工程预计將在2017年7月份完成。
成荣集团股价今日高开后窄幅游动，开盘价1.03令吉亦是全日最高价，隨后只在1令吉和1.03令吉之间波动。收市时起2.5仙或2.51%，报1.02令吉。
丰隆研究分析员表示，在获得上述合约后，成荣集团今年以来共贏得5亿3300万令吉合约。他预计，该公司手头上的订单价值达到15亿令吉。
不过，他称，成荣集团目前最大的隱忧是微薄的赚幅。自2014財政年开始，该公司已经连亏3个季度，主要是特定本地项目超支所致。
除非这个情况显著好转，否则他不看好其前景。
分析员表示，虽然成荣集团今年以来成功標得新工程合约，超越他预估的3亿令吉目標，但是还不是时候调高该公司的盈利预测。

此产能为2x7兆瓦（MW）的燃煤蒸汽发电厂是依据建设-营运-拥有（build-operate-own）的概念来打造，PT HEI随后与南苏拉威西PT PLN (Persero)、东南苏拉威西，以及西苏拉威西（PLN）在2011年7月达至购电协议（PPA），长达25年。
成荣集团今日向大马交易所报备指出：“这项投资可为该集团带来经常收入来源，预计将为其目前与未来的盈利和净资产作出贡献。”

答：
有關成榮集團的未來業務前景，豐隆研究在10月6日的一項較新報告可供參考。
當時，該公司宣佈取得石油提煉與石化綜合發展計劃（RAPID）的一項額外工程，總值為4千390萬令吉，使它在該計劃的工程合約增加至9千940萬令吉，並料在2017年峻工。
手握15億合約
隨著該公司取得上述額外小工程合約，今年至今攫取的新合約達到5億零3千300萬令吉，手持工程合約達到15億令吉，或等於2014年建築業務營業額的1.8倍，而在第二季杪為止則僅達1.1倍水平。
雖然該公司手握不少建築工程合約，惟該行還是有點擔心賺幅，並是對該公司最為關注事項。特別是該公司已經是連續3季蒙受虧損（自2014年第四季開始），特別是其本地一些工程訂單的成本超支所致（包括可能是賺幅過小）。
該行認為，除非該公司業績出現扭轉劣勢轉虧為盈，不然，暫時還是很難對其盈利前景持樂觀態度。
具2潛在風險
談到該公司的潛在風險，豐隆研究認為有二，包括填補工程合約緩慢及旗下在印度的獨立發電廠營運進一步出現延遲等。
該行預測，雖然成榮集團今年至今為止的新工程合約達到5億零3千300萬令吉，超越該行較早時預測全年的3億令吉新工程合約。不過，該行暫時還是不會急著上調其盈利預測，因為它的工程合約多是較大規模及欠缺持續性質。若是該公司在印度的獨立發電廠營運進一步受到拖延，料將為其盈利表現帶來下行風險。
該行預測成榮集團有希望在2015財政年達到無虧無盈水平，惟2015年下半年的業績必須轉虧為盈，以便抵銷其首半年蒙虧的窘境。所以，今年下半年的業績相當關鍵。
該行對其估值維持在99仙水平，或等於2016年預測本益比的11.3倍，惟這有賴其印度獨立發電廠開始做出盈利貢獻的推動。

成榮集團獲2.2億合約

（吉隆坡22日訊）成榮集團（MUDAJYA，5085，主要板建築）獲馬石油頒發邊佳蘭石油提煉和石油化學綜合發展計劃（RAPID）價值2億2000萬令吉合約。
該公司向馬證交所報備，子公司成榮機構獲馬石油旗下PRPC能源和設施私人有限公司頒發合約，以執行RAPID的能源、連接和外裝置設施，即為貨倉和工作坊執行採購、施工和調試項目。
上述價值2億2000萬令吉工程合約具25個月期限，料在2018年1月完成。【中国报财经】
