WILMAR INTERNATIONAL LIMITED Syndication of US$1,100 Million Term Loan Facility and A$600 Million Revolving Credit Facility

Singapore, 8 October 2010 - Wilmar International Limited ("Wilmar") is pleased to announce that it has signed a mandate letter for the launch of a:

(1) US$1,100 million Syndicated Term Loan Facility to finance the acquisition of Sucrogen Limited ("Sucrogen"); and

(2) A$600 million Syndicated Revolving Credit Facility to finance the general corporate and working capital requirements of Sucrogen

(together the "Facilities") with Australia and New Zealand Banking Group Limited ("ANZ") and The Hongkong and Shanghai Banking Corporation Limited ("HSBC") who are the Mandated Lead Arrangers and Bookrunners (collectively the "MLABs") in relation to the Facilities. The Facilities are fully underwritten by the MLABs. Cooperative Centrale Raiffeisen-Boerenleenbank B.A. (trading as Rabobank International, Singapore Branch) ("Rabobank") has also agreed to participate in the Facilities in a senior position.

Final documentation for the Facilities is currently in progress and is expected to be signed shortly.

Wilmar (F34.SG) off 0.2% at $6.04 in light trade, underperforming most other Singapore blue chips (STI +0.6%), as China’s latest price-control measures fuel concerns.

Plantation group’s Yihai Kerry unit, one of major edible oil producers, informed by Beijing to hold off raising selling prices over next 4 months in bid to rein in food inflation, according to report in 21st Century Business Herald.

“This is not positive for Wilmar as the group would not be able to pass on the increase in the cost of raw materials,” says AmResearch, which has Buy call with $7.60 target.

Still, UBS, which as Buy call with $7.00 target, says impact on earnings in near term may not be significant as Wilmar had already raised edible oil prices in China by 10%, this segment accounts for only 9.0% of pre-tax profits. Immediate support at $6.00.

Agribusiness group Wilmar International has entered into a China property deal through wholly-owned subsidiary WCA that will partner Kerry Properties and Shangri-La China in a master joint venture agreement.

The venture will set up one or more companies to handle activities such as selling, leasing and the management of real estate, properties and hotels in northern Liaoning, Wilmar said yesterday. The project sites are designated for residential, commercial and hotel use and represent a total gross area of 200,000 sq m.

Wilmar's investment into the proposed companies for the project sites is about US$134 million ($176 million), based on its 35-per-cent shareholding in the venture, it said. Funding will be raised from internal sources and through bank borrowings, it added. The agreement and plans are pending approval from Chinese authorities.

On Monday, Wilmar had announced a separate joint venture with PZ Cussons to tap on the food ingredients business in Nigeria, in which the Singapore-listed firm will invest US$27.5 million.

Wilmar International Ltd. fell to a six-month low as analysts at Citigroup Inc. and Goldman Sachs Group Inc. queried the rationale for the world’s largest palm oil trader’s entry into the real estate market.

Wilmar agreed with Kerry Properties (China) Ltd. and hotel- operator Shangri-La China Ltd. to set up joint ventures to develop properties in China’s Liaoning province, the Singapore- based trader said late yesterday in a statement. Wilmar may invest about $134 million in the business.

Wilmar fell 4.1 percent to S$5.68 at 12.11 p.m. local time, the lowest since June 9. This extended the stock’s drop to a third day, bringing this year’s decline to about 12 percent, compared with an 8.7 percent gain in the benchmark index.

“We’re not entirely comfortable with the fact that they are expanding beyond the consumer food related business,” Citigroup analyst Penny Yaw said in a note to investors today. “This property JV is just a first step, and we can expect more joint bids in the future.”

Goldman Sachs Group Inc. analysts Patrick Tiah and Nikhil Bhandari wrote in a note to clients today that the market may react “negatively” to the venture. “This appears to be a sharp departure from Wilmar’s agri-processing core business and there may be concerns on management losing focus.”

0651 GMT [Dow Jones] The STI is +0.6% at 3254.11, off its earlier 3260 high, but is likely to remain in positive territory as sentiment remains upbeat with regional bourses mostly higher, and DJIA futures pointing north amid increased optimism over the health of the U.S. economy. 1.66 billion shares have been traded worth S$1.25 billion, with gainers pipping decliners 263 to 220 on the broad market. With the STI breaking above resistance at 3220 Monday, and trading above psychological 3250, analysts mostly agree that 3300 is the next key level on the upside. Wilmar (F34.SG) is down 3.4% at S$5.47 in heavy trade after JP Morgan downgrades the stock to Underweight from Overweight and slashes its target price, citing competition in China, overly optimistic consensus earnings, and worries over its intended deviation into property.
