The Board of Directors of AYS wishes to inform that on 15 May 2025, Evolve Capital Advisory Private Limited has announced, for and on behalf of 3HA Capital Private Limited (the “Offeror”, in which Ann Yak Siong (Singapore) Pte. Ltd., the wholly-owned subsidiary of AYS, has 14.9% interest) that the Offeror intends to make a voluntary conditional cash offer for all the issued and paid-up ordinary shares in the capital of CosmoSteel Holdings Limited, a company listed on the Singapore Exchange Securities Trading Limited, in accordance with Section 139 of the Securities and Futures Act 2001 of Singapore and Rule 15 of the Singapore Code on Take-overs and Mergers (“Offer Announcement”). Please refer to the attachment for full details of the Offer Announcement and the Offeror. This announcement is dated 15 May 2025.
