建筑商呈招股书草案
GDB控股冀上市创业板

(吉隆坡16日讯)GDB控股提呈招股书草案,寻求上市大马交易所创业板。

根据GDB控股提呈给证监会的招股书草案,该公司将公开发售1亿2500万新股,相等于扩大后已发行股本的约20%。

其中,1250万新股供公众认购、1500万新股提供给合格董事和雇员及相关人士、2562万5000新股私配给特定投资者,以及剩余7187万5000股新股私配给土著投资者。

另外,该公司也将私下配售3750万现有股予特定投资者,相等于扩大后股本的6%。

每股发售价暂未确定。上市后所筹得的资金,其中63.67%将挪用为未来36个月的资本开销、27.30%用于未来12个月的营运资本,以及9.03%为未来3个月的上市开销。

前称为CHC Synergy Venture的GDB控股,创立于2013年2月28日,是一家投资控股公司。旗下拥有一家独资子公司,名为Grand Dynamics Builders。

GDB控股通过Grand Dynamic Builders,从事建筑服务,以及专注高端住宅、商业和综合发展项目的发展。

迄今,Grand Dynamics Builders拥有大马建筑工业发展局(CIBD)G7级别执照,涉及一般的建设和土木工程业务、机械工程业务,以及可竞标价值达1000万令吉以上的政府项目。

目前,该公司共完成了3项项目,且皆比原定期限快完成,分别为KL Eco City第一项目、武吉免登城市中心(BBCC)项目,以及One Central Park项目。

去年盈利2376万

正在进行的项目,包括Westside III项目、KL Eco City第二项目、Etiqa项目,以及AIRA住宅项目,合约总值10亿5209万3000令吉。

据草拟招股书中提到,公司截至今年12月杪的2016财年,营业额取得2亿7690万6000令吉,总盈利达2376万令吉;2015财年分别为1亿6953万9000令吉和1237万6000令吉。【e南洋】

(吉隆坡8日讯)建筑服务公司GDB Holdings Bhd获得大马交易所放行,在创业板上市。

公司放眼今年首季挂牌,并已选择安联投资银行(Alliance Investment Bank Bhd)为首次公开募股(IPO)的主要顾问、赞助商、唯一包销商及配售商。

GDB成立于2013年,已在吉隆坡完成了数个项目的建筑工程,包括KL Eco City (Parcel B)及One Central Park。目前,公司正忙于数个高价值项目,包括Westside III、Etiqa Office Tower、AIRA Residence和Menara Hap Seng 3。

GDB获得马来西亚国家建筑工业发展局(CIDB)颁发G7级执照,可投标无限价值的项目。公司也持有政府工程采购证书,能竞标政府工程。

公司还持有各种证书,包括ISO 9001:2015品质管理系统、ISO 14001:2015 环境管理系统,以及OHSAS 18001:2007职业健康安全管理体系。公司也参与注重环境、质量和安全的大型建设项目。

GDB于去年10月宣布有意上市筹资,主要用于资本开销。根据其在大马证券监督委员会网站发布的招股书草案,公司计划把其中的63.7%资金,用来购买新建筑机器与设备,并在雪兰莪建立新办事处及存地。

配合首次公开募股,GDB将发行1亿2500万股新股,其中1250万股将发放给大马投资者认购;1500万股保留给公司的合格董事、雇员及指定贡献者;2562万5000股供指定投资者认购;剩余的7187万5000股将通过私下配售保留给土著投资者。

公司大股东将献售3750万股,并将通过私下配售供指定投资者认购。

首季料登馬股創業板 建築公司GDB發1.25億新股

(吉隆坡6日訊)從事建築生意的GDB控股公司,今與首發股主要顧問、贊助商、獨家包銷商及配售商安聯投資銀行,簽署承銷協議,準備在首季上市馬股創業板。

GDB董事經理謝漢正透過文告指出,上市是該集團擴充計劃的下一步,因為上市將為集團提供增長資本。若無意外,GDB控股將在今年首季上市馬股創業板。

GDB控股將發行1億2500萬股新股,為集團擴大后股本的20%。

在這些新股中,1250萬股將供本地投資者認購;1500萬股保留給公司合格董事、員工及對公司有貢獻的人士;2560萬股供指定投資者認購;7190萬股將私下配售給土著投資者。

此外,該公司大股東也將獻售3750萬股,並將通過私下配售供指定投資者認購。

上市所籌獲資金,將充作資本開銷、營運資本,以及支付上市費用。

營商有道‧謝漢正 羅俊良 雙劍合璧 GDB控股寫佳績

(吉隆坡1日訊)曾受聘于上市公司並擔任決策管理層的謝漢正和羅俊良,退下打工職務后再度雙劍合璧,自組公司且在短短幾年內寫下好成績,新公司配上經驗豐富的推手,再掀新佳績。

GDB控股董事經理謝漢正和執行董事羅俊良,兩人在2006年至2010年上市的布城柏達那(PUTRAJAYA PERDANA )內,分別擔任總執行長和總營運長;他們卸下職務后才決定再自組公司再闖一番事業。

謝漢正說:“當時羅俊良建議不如自組公司,畢竟那時選擇退休還很年輕,對我而言只要跟羅俊良合夥搭檔,這個交易就達成了。”

兩人從2013年再度合作,至今公司的營業額表現更取得快速發展,也展現兩人的管理實力和經驗。

謝漢正在建築領域有38年的經驗,加上羅俊良也有25年的經驗,他們與客戶和供應商都建立了強勁的友好關係。

管理團隊要強

這段成功之路的關鍵,在于強勁的管理團隊。

羅俊良和謝漢正分享,以前受聘于人,是要跟著股東設定的大方向執行營運工作。現在自己的公司,就能自行掌握公司的大方向,只要兩人點頭贊成就能進一步執行。

羅俊良說,經營和管理公司的方式其實都差不多,同時維持一定效率和透明度;不能,能自主大方向是更具優勢的其中一點。

“現在公司可以說是處于‘順利航行’的狀態。”

GDB控股通過員工獎勵系統,掌控和降低項目中浪費資源的幾率,並且將其中節省的成本,轉變成獎勵回饋給員工。

雖然自組公司如同一切重新開始,但對謝漢正和羅俊良而言,兩人從中獲得的成就感,是無法用金錢換取的一種滿足。

從大規模工程做起

謝漢正指出,GDB控股的起步有別于一般公司,是從較大規模的工程開始,首個合約是價值2億3680萬令吉的One Central Park項目,甚至提早107天竣工。

他說,公司採用工業化建築系統(IBS)建築,事前也通過建築資訊模型(簡稱BIM)技術,確保設計無誤再動工。這樣除了可以確保成品的素質,也可以縮短工程的期限。

對此,該公司獲得國家建築工業發展局(CIDB)頒發G7認證,因此競標的工程將不受價值限制,同時政府頒發的認證也讓GDB控股可參與政府招標的工程項目。

GDB控股旗下執行中的工程項目,包括價值1億8850萬令吉的吉隆坡生態城(KL Eco City)第2階段工程、2億4500萬令吉的Westside III、1億8660萬令吉的Etiqa辦公大樓、雪蘭莪實業(SPB,1783,主要板房產)旗下價值4億3200萬令吉的AIRA住宅項目。

3月底上市創業板

GDB控股為進一步擴展業務,正邁向上市集資的方向。

該公司預計會在3月底于馬股創業板上市,除了強勁的財務紀錄和經驗豐富的管理層,GDB控股也設下30%的股息政策。

該公司通過首發股在市場集資之際,也希望藉此加強公司的前景展望、保留和吸引新的技能員工,並且提供機會讓國內投資者參與GDB控股的持續成長。

月底上市筹4375万
GDB冀攻土木基建

(吉隆坡5日讯)即将在本月27日上市大马交易所创业板的GDB控股有限公司,计划在未来一年内,将业务扩展至土木和基础建设领域。

GDB控股董事经理谢汉正,在今天的招股书推介礼上指,该控股有意从事基建项目,如道路、桥梁和交通系统建设。

“我国有成为发达经济体的宏愿,在这过程中产生许多基建工程的发展机会。因此我们计划乘势进军,以壮大公司规模。”

从事高楼建设工程的GDB控股,目前没有进行和竞标任何基建项目。谢汉正也没有透露相关详情,只提及在未来一年内完成准备工作。

另外,据招股书,该控股通过本次上市活动,将筹得资金的68万令吉,用作支付基建项目团队新职员的薪金。

出席者推介礼的包括该控股独立非执行主席丹斯里再尼本奥玛、执行董事罗俊良与谢俊凯、独立非执行董事拿督谢雷鸣和高宝玉,以及安联投行总执行长麦海士。

发售价每股35仙

GDB控股今天推介招股书,计划通过发售新股筹资4375万令吉,主要用作未来资本开销和营运资本。

该控股以每股35仙,发售总数1亿2500万新股,相等于扩大后已发行股本的20%。

当中,1250万新股供公众认购、1500万新股提供给合格董事和雇员及相关人士、2562万5000新股私配给特定投资者,以及剩余7187万5000股新股私配给土著投资者。

另外,GDB控股也将私下配售3750万现有股予特定投资者,相等于扩大后股本的6%。



2467万为资本开销

在上市筹得的资金中,2467万令吉或56.39%,将用作未来36个月的资本开销,包括增购新建筑机械设备(867万令吉)、购新办公司(800万令吉)和用于存放机械设备的土地(800万令吉)。

此外,1558万令吉或35.61%则作为未来12个月的营运资本,包括支付供应商和次季承包商(1490万令吉)和基建项目团队新成员的薪资(68万令吉)。

剩余的350万令吉,将支付本次的上市开销。

安联投行是GDB控股本次上市活动的首席顾问、保荐人、唯一承销商和配股经纪。

力争8.2亿合约

谢汉正也向记者提到,该控股现手持订单8亿5489万4000令吉;同时,正竞标酒店、住宅和办公楼建设项目,总值8亿1700万令吉。

30%净利派息

他也透露,GDB控股董事有意在上市后,将每年净利的30%作为股息。

不过,这只是初步建议,实际措施仍需按盈利表现和业务发展而定。

据招股书,截至12月杪的2016财年,GDB控股全年营业额取得2亿7691万令吉,净利1609万令吉,按年分别增63.3%和1.24倍,赚幅5.8%。

截至去年10月杪的2017财年首10个月,营业额按年持平于2亿4067万令吉,净利年升35.7%至2005万令吉,赚幅8.3%。

GDB控股在2014财年至2016财年的负债率,分别为0.78倍、0.21倍和0.15倍。

截至去年10月杪,已成功转至净现金公司,归功于完成支付所有分期付款和贷款款项。

GDB HOLDINGS BERHAD ("GDB" OR "THE COMPANY")- LETTER OF ACCEPTANCE FROM TRANS RESOURCES CORPORATION SDN BHD TO GRAND DYNAMIC BUILDERS SDN BHD, A WHOLLY-OWNED SUBSIDIARY OF THE COMPANY
1. INTRODUCTION

The Board of Directors of GDB (“Board”) is pleased to announce that Grand Dynamic Builders Sdn Bhd (“GDBSB”), a wholly-owned subsidiary of GDB, had on 27 March 2019 accepted the Letter of Acceptance from Trans Resources Corporation Sdn Bhd as the Principal Works Contractor for main builder’s works - architectural, civil & structural works and mechanical & electrical works for the proposed mixed development of Phase 1 consisting 2 serviced apartments (residential) – 18-storey (Block 3A & 3B – 648 units) on a 8-storey podium with 7-storey car park (1-storey car park for park and ride) and 1-storey related facility on top of podium on Lot PT35597, Jalan Lapangan Terbang Subang, Mukim Damansara, Daerah Petaling, PJU 1A, Ara Damansara, Petaling Jaya for a total contract value of RM135.0 million only (the “Contract”).

The Contract shall commence on 16 April 2019 for duration of 30 months and is scheduled to be completed by 15 October 2021.

2. RISK FACTORS

There are no foreseeable significant risks other than operational risk associated with the Contract during the contract period.

3. FINANCIAL EFFECTS

Barring any unforeseen circumstances, the Contract is expected to contribute positively towards the future earnings of GDB for the duration of the Contract and will not have any effect on the share capital and substantial shareholders’ shareholdings of GDB.

GDB intends to fund the Contract via internal generated funds.

4. DIRECTORS’ AND SUBSTANTIAL SHAREHOLEDRS’ INTEREST

None of the Directors or substantial shareholders of GDB or persons connected to them has any interest, direct or indirect, in the Contract.

5. DIRECTORS’ STATEMENT

The Board, after due consideration, is of the opinion that the Contract is in the best interest of the Group. The Contract is being entered into in the ordinary course of business and is not subject to the approval of shareholders.

GDB HOLDINGS BERHAD ("GDB" OR THE "COMPANY")- EXECUTION OF A TERM SHEET IN RELATION TO THE PROPOSED ACQUISITION OF 70% EQUITY INTEREST IN ECO GEOTECHNICS SDN BHD
The Board of Directors of the Company wishes to announce that GDB and its wholly-owned subsidiary, Grand Dynamics Builders Sdn Bhd (collectively referred to as “Purchasers” or the “Group”) had on 17 April 2019 entered into a binding term sheet with Goh Eng Ngai, Wong Choo Keong and Tan Loo Loo (“collectively referred to as “Sellers”) ("Term Sheet") in relation to the proposed acquisition of 70% equity interest in Eco Geotechnics Sdn Bhd (Company No. 971293-X) ("Target Company") on a pro rata basis from the Sellers for a cash consideration to be determined within 60 days from the signing of the Term Sheet by conducting legal and financial due diligence review on the Target Company and based on the net asset of the Target Company (“Proposed Acquisition”).

The Term Sheet outlines the terms of the Proposed Acquisition, including but not limited to the details for the Proposed Acquisition which are subject to change or amendment based on further negotiations between the Purchasers and the Sellers (“Parties”) and due diligence review on the Target Company conducted by the Purchasers, with a view to enter into a definitive share sale agreement within 60 days from the signing of the Term Sheet or such extended period as mutually agreed by the Parties.
