1.            INTRODUCTION The Board of Directors of Uni Wall (“Board”) wishes to announce that the Company had on 15 January 2020 completed the acquisition of 2 ordinary shares, representing 100% of the issued share capital of Uni Wall Properties Sdn Bhd (“Uni Wall Properties”) for a total consideration of RM2.00 (hereinafter referred to as “Acquisition”). Subsequent to the completion of the Acquisition, Uni Wall Properties shall be a wholly-owned subsidiary of the Company. 2.            INFORMATION ON UNI WALL PROPERTIES Uni Wall Properties was incorporated on 23 September 2019 in Malaysia as a private limited company with an issued share capital of RM2.00 comprising 2 ordinary shares. Prior to the Acquisition, the shareholders of Uni Wall Properties are as follows:- No. Name of Shareholder No. of Shares Held Percentage (%) 1. Siow Hon Yong 1 50 2. Siow Hon Yuen 1 50 Total 2 100 The principal activity of Uni Wall Properties is property development. 3.            RATIONALE OF THE ACQUISITION The Acquisition is mainly for the purpose of business development expansion. 4.            EFFECTS OF THE ACQUISITION The Acquisition will not have any effect on the issued share capital and shareholdings of the substantial shareholders of Uni Wall, and is not expected to have any material effect on the earnings per share, net assets per share and gearing of the Uni Wall’s group of companies (“Group”) for the financial year ending 31 December 2020. 5.            INTERESTS OF DIRECTORS, MAJOR SHAREHOLDERS AND/OR PERSONS CONNECTED WITH THEM Save as disclosed below, none of the Directors, major shareholders of the Company and/or persons connected with them have any interest, direct or indirect, in the Acquisition. Mr Siow Hon Yong and Mr Siow Hon Yuen are the shareholders of Uni Wall Properties. Mr Siow Hon Yong and Mr Siow Hon Yuen are also major shareholders of Uni Wall by virtue of their major shareholdings in Hysiow Holdings Sdn Bhd, the major shareholder of Uni Wall. Mr Siow Hon Yong and Mr Siow Hon Yuen are the Directors of both Uni Wall and Uni Wall Properties (“Interested Directors”). 6.            STATEMENT BY DIRECTORS Save for the Interested Directors, the Board, having considered the rationale and all aspects of the Acquisition, is of the opinion that the Acquisition is in the best interest of the Group. 7.            APPROVAL REQUIRED The Acquisition is not subject to the approval of the shareholders of the Company or any other regulatory authorities in Malaysia.
