Description	PRICEWORTH INTERNATIONAL BERHAD (PWI OR THE COMPANY)- Delay in the Release of the Unaudited Quarterly Report for the period ended 30 June 2018 pursuant to Paragraph 9.22(1) of the Main Market Listing Requirements of Bursa Malaysia Securities Berhad
The Board of Directors’ of Priceworth International Berhad (“PWI” or "the Company”) hereby announces that the Company is unable to release to Bursa Malaysia Securities Berhad (“Bursa Securities”) its unaudited quarterly report for the period ended 30 June 2018 (“Quarterly Report”) by 30 August 2018, which is a period not later than 2 months after the end of each quarter of a financial year (“Timeframe”) as required under Paragraph 9.22(1) of the Main Market Listing Requirements (“MMLR”) of Bursa Securities. The delay in releasing the Quarterly Report is due to the followings: 1)    On 19 November 2011, the Malaysian Accounting Standards Board (“MASB”) issued a new MASB approved accounting framework, the Malaysian Financial Reporting Standards (“MFRS”) framework. The MFRS framework is to be applied by all Entities Other Than Private Entities for annual periods beginning on or after 1 January 2012, with the exception of entities subject to the application of MFRS 141 Agriculture and/or IC Interpretation 15 Agreements for the Construction of Real Estate, including its parent, significant investor and venturer (herein called “Transitioning Entities”). Transitioning Entities will be allowed to defer adoption of the new MFRS framework for an additional six (6) years. Consequently, adoption of the MFRS framework by Transitioning Entities will be mandatory for annual periods beginning on or after 1 January 2018; 2)    The Company falls within the scope definition of Transitioning Entities and accordingly, will be required to prepare financial statements using the MFRS framework in their first MFRS financial statements for the financial year ending 30 June 2019; 3)    In order to enhance the comparability and relevance of the financial statements, the Company has decided to early adopt the MFRS frameworks and prepare their financial statements using MFRS for the current financial year ended 30 June 2018. According MFRS 141 Agriculture, biological assets shall be measured on initial recognition and at the end of each reporting period at its fair value less costs to sell, except where the fair value cannot be measured reliably; and 4)   To facilitate the finalization of the valuation of the Group’s biological assets following the adoption by the Company of MFRS 141 as the Directors are of the view that the early adoption of MFRS 141 will result in a more true and fair financial position as well as enhance the comparability and relevance of the financial statements . Pursuant to Paragraph 9.28(5) of the MMLR of Bursa Securities, if PWI fails to announce/issue its Quarterly Report within 5 market days from the expiry of the Timeframe (the last day of this 5 market days shall hereinafter be referred to as "the Suspension Deadline"), in addition to any enforcement action that Bursa Securities may take, Bursa Securities shall suspend trading in the securities of PWI. The suspension shall be effected on the market day following the expiry of the Suspension Deadline and shall be uplifted on the market day following the announcement/issuance of the Quarterly Report unless otherwise determined by Bursa Securities. Further, pursuant to Paragraph 9.28(6) of the MMLR, if PWI fails to announce/issue the Quarterly Report within 6 months from the expiry of the Timeframe, in addition to any enforcement action that Bursa Securities may take, de-listing procedures shall be commenced against PWI. PWI will endeavour to announce/issue its Quarterly Report to Bursa Securities on or before 7 September 2018. This announcement is dated 30 August 2018.

The Board of Directors of Priceworth International Berhad (“PWI” or “the Company”), wishes to announce that the Company had on 3 September 2019 entered into a Memorandum of Understanding (“MOU”) with Innoprise Corporation Sdn Bhd (“ICSB”) which is the investment holding vehicle of Yayasan Sabah (“YS”). The MOU sets out the intention of YS and PWI as a framework towards the completion of the proposals therein, leading to the execution of a Supply of Logs Agreement wherein ICSB will emerge with a 30% stake in PWI. Both Parties agree to collaborate on an exclusive basis and will not, directly or indirectly, solicit, initiate, entertain or accept any inquiries or proposals from, discuss or negotiate with, provide any non-public information to, or consider the merits of any unsolicited inquiries or proposals from, any person or entity relating to any part of the proposals contained herein, other than as contemplated by the MOU. Reference is made to the Company’s announcement dated 3 September 2019 in relation to the Memorandum of Understanding (“MOU”)(“Announcement”). Unless otherwise defined, the definitions set out in the Announcement shall apply herein. The Board of Directors of PWI wishes to announce that PWI as the Purchaser had on 7 October 2019 entered into a Supply of Logs Agreement (“Agreement”) with  Rakyat Berjaya Sdn Bhd (“RBSB” or” the Vendor”). RBSB is a wholly-owned subsidiary of Innoprise Corporation Sdn Bhd (“ICSB”), a company owned by Yayasan Sabah, and Yayasan Sabah has assigned RBSB to manage all of its timber concessions. RBSB has agreed to sell logs including, but not limited to, logs to be extracted from existing Yayasan Sabah Timber Concession Areas (“the Extracted Logs”) to PWI, and PWI has agreed to purchase the Extracted Logs upon the terms, and conditions set out in the Agreement.
