Bhd. for the disposal of 500,000 ordinary shares of RM1.00 each in YTBT, representing the entire equity interest in YTBT for a total cash consideration of RM500,000/- (Disposal").

永大甲州联营56亿发展项目

(吉隆坡26日讯)永大(YONGTAI,7066,主板贸服股)文告指出,其独资子公司--YTB Impression私人有限公司,建议以总代价4303万令吉收购位於马六甲的4块地皮,以及全面收购PTS Impression私人有限公司及Yuten发展私人有限公司股权。

该公司指出,建议以3703万令吉,向Admiral City私人有限公司,收购位於马六甲面积17英亩地皮。

隨后,该公司也与AdmiralCity旗下的3家公司,分別是Oceancove发展私人有限公司、Oceanfront发展私人有限公司及策略產业私人有限公司达成联营协议,联手发展位於所收购地皮及邻近的100英亩地皮,潜在总发展价值(GDV)达56亿令吉。另外,该公司也建议用600万令吉,向PTSImpression私人有限公司及Yuten发展私人有限公司的股东,全面收购2家公司股权。该公司透露,以上收购活动,皆通过內部资金及银行贷款所筹集。

该公司披露,以上收购及联营活动,將提升公司地库,及扩大在区域的形象,提供公司短期与长期的营业额及盈利来源。

同时,收购PTSImpression及Yuten,將也提高公司在巴生谷的形象,以及多元化產业发展项目。【东方网财经】

INTRODUCTION
We refer to the announcement dated 3 August 2015 in relation the memorandums of understanding (“MOUs”) for the Proposals.
On behalf of the Board of Directors of YTB (“Board”), AmInvestment Bank Berhad (“AmInvestment Bank”) wishes to announce the following:

(i)   Proposed Acquisition of Impression Land
YTB Impression Sdn Bhd (“YTB Impression”), a wholly-owned subsidiary of YTB, had entered into a conditional Sale and Purchase Agreement dated 26 October 2015 with Admiral City Sdn Bhd (“Admiral City”) for the Proposed Acquisition of Impression Land for a cash consideration of RM37,026,000 (“Impression Land SPA”);

(ii)  Proposed Melaka JV
YTB Impression had entered into a conditional Joint Development Agreement dated 26 October 2015 with Admiral City and its subsidiaries, namely, Oceancove Development Sdn Bhd (“Oceancove”), Oceanfront Development Sdn Bhd (“Oceanfront”) and Strategic Property Sdn Bhd (“Strategic Property”) for the Proposed Melaka JV (“Melaka JDA”);

(iii) Proposed Acquisition of PTSI
YTB had entered into a conditional Sale and Purchase Agreement dated 26 October 2015 with PTS Properties Sdn Bhd (“PTS Properties”), Boo Kuang Loon and Apple Impression Sdn Bhd (collectively, the “PTSI Vendors”) for the Proposed Acquisition of PTSI (“PTSI SPA”) for a cash consideration of RM3,000,000; and

(iv) Proposed Acquisition of Yuten
YTB had entered into a conditional Share Sale Agreement dated 26 October 2015 with Sia Chien Vui, Dato’ Sri Lee Ee Hoe and PTS Properties (collectively, the “Yuten Vendors”) for the Proposed Acquisition of Yuten (“Yuten SSA”) for a cash consideration of RM3,000,000.

The Company is still in negotiations with the vendors of Terrawest Resources Sdn Bhd (“Terrawest”) and Land & Build Sdn Bhd (“L&B”) in respect of the proposed acquisition of Terrawest and proposed acquisition of L&B and will make the relevant announcements in due course.

Unless otherwise defined, the terms used in this announcement shall have the same meaning as those defined in the announcement dated 26 October 2015.
We refer to the announcement dated 26 October 2015 in relation to the Proposals.

On behalf of the Board, AmInvestment Bank wishes to provide further information on the Proposals as follows:

1. Expected commencement and completion date of the proposed development projects
Barring any unforeseen circumstances and subject to the approvals of all relevant authorities being obtained, the expected commencement and completion dates of the following proposed development projects are as follows:-
(i)   Proposed Acquisition of Impression Land and Proposed Melaka JV
The Impression SPA and Melaka JDA are expected to become unconditional within 12 months from the date of the agreements, i.e. by October 2016. YTB Group intends to commence development of the theatre and the proposed Master Development project as soon as all conditions precedent of the respective agreements are fulfilled and approvals from all relevant authorities are obtained.
Completion of the theatre is expected to be approximately two (2) years thereafter, while the Master Development is expected to complete within eight (8) years from unconditional date of the Melaka JDA.
(ii)  Proposed Acquisition of Yuten
The proposed U-Thant project is expected to commence development in the third quarter of YTB Group’s FYE 30 June 2016 (i.e. by March 2016) with completion expected to be approximately three (3) years thereafter.

2. Source of funding
The following deposits made were funded by the funds raised by YTB following the completion of a special issue of YTB Shares on 30 June 2015:
(i) RM3,702,600 paid to Admiral City for the Proposed Acquisition of Impression Land upon execution of the MOU on 3 August 2015;
(ii) RM3,000,000 paid to Admiral City as advance payment under the Melaka JDA upon execution of the MOU on 3 August 2015;
(iii) RM300,000 paid to the PTSI Vendors for the Proposed Acquisition of PTSI upon the execution of the PTSI SPA; and
(iv) RM300,000 paid to the Yuten Vendors for the Proposed Acquisition of Yuten upon the execution of the Yuten SSA.

(吉隆坡21日讯)由于收购目标Yuten发展有限公司,还没有取得旗下联营发展的地皮发展批准,所以永大(YONGTAI,7066,主板贸服股)决定取消买卖协议。

永大昨天向马交所报备,Yuten从吉隆坡市政厅(DBKL)收到一封有条件批准信函。

DBKL表示,假设要获得吉隆坡宇丹路(U-Thant)地皮的发展令,该项目的密度必须低于买卖协议条款所规定的密度。

在经过谨慎考虑后,永大董事部决定不收购Yuten,且与卖方同意取消该买卖协议,并即刻生效。

去年10月,永大签署协议,以300万令吉收购Yuten为了拓展巴生谷市场,以及多元化产业发展组合至高档住宅产业。

根据Yuten的联营发展计划,是要在宇丹路的地皮发展一座有128个单位的豪华公寓,发展总值预计达近1.68亿令吉。【南洋网财经】

On behalf of the Board, AmInvestment Bank wishes to announce that the Company had been notified of the conditional approval letter from Dewan Bandaraya Kuala Lumpur (“DBKL”) dated 2 November 2015 received by Yuten in relation to the application for the development order for the U-Thant Project whereby one of the conditions imposed is that the density of the U-Thant Project is lower than the density stipulated in the condition precedent of the Yuten SSA, which is set out in Section 5.2 (ii)(b) of the Announcement (as reproduced below).

Condition precedent set out in Section 5.2(ii)(b) of the Announcement:-
“the Yuten Vendors procuring FHSB to secure the development order for U-Thant Project comprising 128 condominium units, substantially in the manner as set out in the Yuten SSA”

After careful consideration, the Board had decided not to proceed with the Proposed Acquisition of Yuten and consequently on 19 January 2016, YTB and the Yuten Vendors have agreed to mutually terminate the Yuten SSA with immediate effect via a mutual termination letter (“Termination”).

Pursuant to the Termination, the Proposed Acquisition of Yuten has been aborted.

中国海景2.8亿入股永大 持股34.5%寻求豁免全购

(吉隆坡5日讯)香港上市公司中国海景控股(Sino Haijing)以2.8亿令吉入股永大(YONGTAI,7066,主板贸服股),成为后者的大股东。

配合上述企业活动,永大昨天已与中国海景控股子公司Impression文化亚洲签约。

根据合约,Impression文化亚洲将以1.2亿令吉,认购永大1.5亿股新股,占扩大后缴足股本的34.5%。

另外,也将以1.6亿令吉,认购永大2亿股不可赎回可转换优先股(ICPS)。

凭着这笔总值2.8亿令吉的投资,中国海景控股将崛起成为永大的新大股东,持股率超过33%。

因此,中国海景控股将向监管单位寻求豁免强制性收购剩余未持有的股权。

针对中国海景控股的入股,永大执行董事巫光伦通过文告表示欢迎,因这意味着,前者对公司业务方向有信心。

上述活动可让该公司筹得额外资金,以应对进行中的项目,以及即将展开的“印象城市”(Impression City)与“印象马六甲”(Impression Melaka)计划。

私下配售筹3.36亿

永大也建议以10送1比例,送出高达2005万股不可赎回可转换优先股,旨在回馈现有股东。

不仅如此,该公司也建议通过私下配售,发售最高7000万股新股,给第三方投资者。

若每股发售价为80仙,预计可从中筹得3.36亿令吉。其中,1.5亿令吉将为“印象城市”与“印象马六甲”融资。

另外的1亿令吉,将部分融资现有及未来的项目,而其余的6000万令吉,则会用来购买新地库或产业发展项目。

上述建议预计可在9月完成。

配合上述一连串企业活动,该公司今天早上9时暂停交易1小时,早上10时恢复交易。

在恢复交易后,永大积极攀升,闭市时收在80仙,全天涨4仙,或5.26%;成交量有1464万6500股。

苹果旅游MD李益辉去年已入股

值得注意的是,苹果旅游集团(Apple Vacation)董事经理拿督斯里李益辉,去年7月和PTS impression有限公司董事巫光伦入股永大,并签署总值70亿令吉备忘录,参与5项综合观光发展项目。

李益辉之前曾表示,可能会倒置收购一家挂牌公司,为上市铺路。

他早前接受媒体访问时,曾表示一旦苹果旅游集团成功上市,将发放100万令吉,给每位在公司发展过程中做出贡献的经理。

去年,李益辉以PTS impression董事身分与4家公司合作,联手永大集团发展总值70亿令吉地产发展项目。

根据资料,这些项目包括马六甲哥打拉沙马那(Kota Laksamana)《印象马六甲》和印象城市(Impression City)的旅游综合房产、吉隆坡U-Thant豪华服务公寓、雪州蒲种小型多功能办公室(SOVO)及酒店综合项目,以及柔佛新山包括零售商店、小型多功能办公室、酒店和办公空间综合发展项目。

以日本旅行团闻名的苹果旅游,今年迈入20周年,主打深度旅游;不久前又进军地产界,并拥有数家酒店。

去年12月,该公司就办了262个日本旅游团,旅客多达4000人。而李益辉不久前更和美食家蔡澜结为义兄弟。

We refer to the announcements dated 26 October 2015 and 29 October 2015 in relation to, amongst others, the Proposed Acquisition of Impression Land, Proposed Acquisition of PTSI and Proposed Melaka JV. (b) YTB and Impression Wonders Arts (M) Sdn Bhd (the wholly-owned subsidiary of PTSI) had entered into a settlement agreement with Beijing Impression Wonders Culture Development Co. Ltd (“Beijing Impression”);
(PTS Properties, Boo Kuang Loon, Apple Impression and Beijing Impression are collectively referred to as “PTSI’s Creditors”),
for the proposed capitalisation of approximately RM43.8 million in aggregate of the amounts due by PTSI and its wholly-owned subsidiary to the PTSI’s Creditors through the issuance of 54,786,250 new ordinary shares of RM0.50 each in YTB (“YTB Shares”) at an issue price of RM0.80 each.

2. Proposed Special Issue
On 4 February 2016, YTB had entered into a subscription agreement with Impression Culture Asia Limited (“Impression Culture”) in relation to:
(a) the proposed special issue of 150,000,000 new YTB Shares at an issue price of RM0.80 each to Impression Culture (“Proposed Special Issue of Shares”); and
(b) the proposed special issue of 200,000,000 new irredeemable convertible preference shares of RM0.80 each in YTB (“ICPS”) at an issue price of RM0.80 each to Impression Culture (“Proposed Special Issue of ICPS”).
The Proposed Special Issue of Shares and Proposed Special Issue of ICPS are collectively referred to as the “Proposed Special Issue”.

3. Proposed Bonus Issue of ICPS
Proposed bonus issue of up to 20,046,000 new ICPS on the basis of one (1) new ICPS for every ten (10) YTB Shares held by the shareholders of the Company as at an entitlement date to be determined and announced later.

4. Proposed Placement
Proposed private placement of up to 70,000,000 new YTB Shares to independent third party investor(s) to be identified.

5. Proposed M&A Amendments
Proposed amendments to the Memorandum and Articles of Association of YTB ("M&A") to facilitate the issuance of ICPS pursuant to the Proposed Special Issue of ICPS and Proposed Bonus Issue of ICPS.

6. Proposed Diversification
Proposed diversification of the existing core businesses of YTB and its subsidiaries to include the business activity of development and operation of cultural performances and related activities.

The Proposed Capitalisation, Proposed Special Issue, Proposed Bonus Issue of ICPS and Proposed Placement are collectively referred to as the “Proposed Issue of Securities”.

Upon completion of the Proposed Special Issue of Shares as well as subsequent conversions of ICPS, Impression Culture shall have an obligation to extend a mandatory take-over offer for the remaining securities in YTB not already held by Impression Culture and its persons acting in concert (if any). Impression Culture intends to seek an exemption from the Securities Commission of Malaysia from the obligation to extend a mandatory take-over offer arising from the Proposed Special Issue of Shares and the subsequent conversion of ICPS (“Proposed MGO Exemption”).

印象马六甲下月开建 永大未来每年进账6000万

(吉隆坡23日讯)永大(YONGTAI,7066,主板贸服股)旗下《印象马六甲》剧场预计在2018年起,將为该公司每年带来5000万令吉至6000万令吉的盈利贡献。

同时,该公司也宣布,在今天获得由马六甲州政府所颁发的印象城和印象马六甲项目发展的批文,並打算在来临的3月展开印象马六甲的建设工程,印象城首阶段项目则將于今年第3季执行。

永大执行董事巫光伦在MIDF研究举办的午宴讲座会上表示,该公司未来2年都处于投资阶段,意味其盈利不会出现显著性成长,所以暂时无法建议派发股息予股东。

「不过,一旦印象马六甲剧场在2017年末竣工,並带来盈利贡献后,我们將会派发股息,回馈股东。」

他也指出,儘管印象马六甲剧场的投资金额高达3亿令吉,其运营成本却偏低,加上永大可享有100%的门票利润和长达5年的免税地位,这相信可为该公司每年带来5000万至6000万令吉的盈利。

他补充,假设每张入门票为120令吉和每年观眾达110万名,该公司料从中取得1亿4000万令吉的营业额。每年观眾群达110万名的假设,是基于每天2场表演和客座率达75%所计算。印象马六甲剧场只能容纳2000名观眾。

「我们有信心可吸引近110万名观眾,因为这只佔2014年前往马六甲旅游人次1500万名的小部分。」

印象城首期Q3启动

至于观眾群,该公司预计有40%和30%来自于中国游客和东南亚及国內游客,10%和20%观眾则是欧盟及中东和亚太区游客。

不单如此,永大也计划在今年第3季开始印象城首阶段的零售商业產业项目,发展总值(GDV)为12亿令吉,以配合印象马六甲剧场的营运和提高当地价值。印象城是一个为期10年的综合產业项目,总发展总值为54亿令吉,佔地117英亩,其中的17英亩为印象马六甲剧场。

另一方面,针对不久前崛起成为永大最大股东的中国海景控股一事,巫光伦指出,该于香港上市的公司会派代表出任永大董事职位,但不会掌控管理权。

「中国海景控股近期也收购中国《印象刘三姐》文化表演票务代理权,所以才会对拥有印象马六甲发展权的我们公司產生兴趣,进而参股。 」

中国海景控股在2月4日和永大签署认购协议,认购后者1亿5000万股新股和2亿股不可赎回可转换优先股(ICPS),崛起成为永大的大股东,持股34.50%。

与此同时,他也正面看待该公司私下配售7000万新股予第三方投资者的活动,並指大部份新股已获认购。
展望未来,永大除了著重发展印象马六甲和印象城,也会继续巴生谷区的產业发展项目,如酒店和小型多功能办公室等。

巫光伦表示,该公司冀望在未来把税前盈利中的经常性收入推高至30%。【东方网财经】

大型城鎮產業計劃不可缺少醫院、學校、霸級市場等基礎設施,而大馬眾多的城鎮型計劃一般都具備上述的基礎設施,難免給人有種乏味的感覺,因此,永大(YONGTAI,7066,主板貿服組)決定走不一樣的城鎮型發展計劃,推出別樹一格的文化類型城鎮型產業計劃。

第三季推出首期總值11億

永大執行董事巫光倫在《印象.馬六甲》推介會上表示,公司決定在馬六甲推介印象城產業項目,該產業項目面積達117英畝,發展總值為54億令吉,將分成11期項目發展,首期項目預期在今年第三季推出,發展總值為11億令吉。

他說,該產業項目主要以文化產業為賣點,引進不同類型的產業,以提昇價值。

“印象城產業類型主要以商業資產為主,因此賺幅約20%左右。”

他補充,產業城地點距離雞場街(Jonker Street)2.5公里左右。

他也坦言,公司在接下來的兩年處於發展期間,因此在派息方面暫時會面對一定困難,一旦《印象》演出營運及產業項目銷售開始對公司做出貢獻,屆時公司將會派發股息以回饋股東。

1.5億未入賬銷售

詢問未入賬銷售方面,他表示,除了印象城,公司其他產業項目發展總值為6億令吉,未入賬銷售約1億5千萬令吉。

中國海景注資
不影響公司營運

有關香港上市公司——中國海景控股注資方面,巫光倫說,海景控股完成注資活動以後,雖然會成為公司的主要大股東,但海景控股主要考量被動收入,且只派遣一名代理人入駐董事部作為代表,因此對公司的營運並不會造成的影響。

早前,永大建議發出1億5千萬新股給海景控股子公司印象文化亞洲公司(ICA),以每股80仙計,可籌得1億2千萬令吉。上述股權佔永大擴大後繳足資本的34.5%。

此外,永大也建議發售2億可轉讓優先股(ICPS)給印象文化亞洲公司,每股作價80仙,總值達1億6千萬令吉。

《印象.馬六甲》計劃明年杪完工

有關《印象.馬六甲》演出的計劃,巫光倫表示,該計劃佔地17英畝左右,總投資額為3億令吉,並在今年3月初動工,預期2017年杪可完成相關計劃。

他表示,《印象》演出也獲得大馬投資發展機構(MIDA)豁免稅務,為期5年。《印象》實景演出系列由中國觀印象藝術發展有限公司創作的文化演出,該公司創辦人包括張藝謀、王潮歌及樊躍,公司致力於創作,製作,投資和管理演出。

巫光倫說,《印象》創作團隊張藝謀曾擔任2008年北京奧運開幕及閉幕儀式的總導演,因此該團隊在馬六甲設計首個海外演出,實屬難得。

“許多海外地區都對該團隊伸出橄欖枝,要求《印象》團隊到本身地區進行演出設計,但該團隊最終把首個海外處女作給了馬六甲。”

他也自豪的表示,大馬與中國雖然有許多商業貿易,但該項目屬於首項文化產業項目,中國李克強總理官訪大馬期間,也曾到馬六甲出席相關匯報會,可見中國相當重視《印象》的計劃。

《印象》明年杪開演

他期望《印象》演出可趕在明年杪正式開演,門票價格約120令吉左右。

“該價格是參考大馬演唱會的價格,預期每年觀看的觀眾人數為110萬人左右。”

巫光倫說,馬六甲2015年的遊客數量約1千570萬人左右,平均消費約400令吉,攫取110萬人,成為《印象》的觀眾並不難。

“每天演出2場,假設佔座率只有75%,再加上紀念品的銷售,預期每年可取得1億4千萬令吉的營業額,扣除成本開銷,淨利高達5千萬至6千萬令吉,就算再不濟的情況,公司也可以在相關演出取得3千萬令吉的盈利。”

巫光倫補充,長遠計劃而言,《印象》取得不錯的反應,可以增添演出場次及上調門票價格。

他表示,產業領域要持續取得成長並不容易,因此期望印象城的酒店、演出及其他方面的經常性營收可為公司帶來更好的營運,並把產業盈利及經常性營收比例的目標設定在70%及30%。(星洲日報/投資致富‧企業故事‧文:謝汪潮)

巫光伦出任永大CEO 李益辉任执行董事

(吉隆坡12日讯)永大(YONGTAI,7066,主板贸服股)宣布,委任巫光伦为总执行长,进一步巩固产业发展的核心业务。

巫光伦是在去年10月7日,被委任执行董事。他在产业和发展领域,拥有广泛经验,且在房产发展、项目管理和建筑管理,拥有约20年的工作经验。

不仅如此,他也是公司在马六甲收购地皮,以开发“印象城市”(Impression City)与“印象马六甲”(Impression Melaka)的幕后推手。

整个印象城市项目的发展总值预计达54亿令吉,为期10年。

而印象马六甲项目,也吸引了香港上市公司中国海景控股的参与,通过认购永大的股权,投资了2.8亿令吉。

目前,巫光伦也是PTS产业私人有限公司的总执行长。这是他在2007年所创立的产业发展公司,在马六甲和巴生谷均有杰出成绩。

同时,永大也宣布委任苹果旅游集团联合创办人兼集团执行主席拿督斯里李益辉,为执行董事。

李益辉在旅游领域,已有约28年的经验,更是国内旅游业迈向深度旅游的先驱。

另外,永大还委任了陈盈盈担任营运总监,负责推动印象马六甲的销售和营销活动。她也是PTS产业的执行副总裁。【南洋网财经】

永大十年大计,【YONGTAI,7066】

去年的六月,永大进行了一连串的重组计划,包括1配2的附加股、附送凭单、特别发新股和面值调整。接着就看见了拿督斯里李益辉(人称李桑,苹果旅游的创办人)和巫光伦经过认购特别股,成为了公司的大股东。这个情景就类似在早前雨文写IRCB的情节类似发生过,白武士的情况。不同的是,COMFORT 今天还是一样做着手套,而永大就从纺织业转了去做产业,而且一来就做一个预测GDV会带来61亿的一个大型计划。

巫光伦先生本身做产业出生,之前曾经在Malton 一家子公司Domain Resources 从普通职员做到总经理,接着他也在2007年成立了PTS集团。他在产业和发展领域拥有广泛经验,且在房产发展、项目管理和建筑管理,拥有约20年的工作经验。不过这一次他不做规划住宅区,而是和拿督斯里李益辉在马六甲打造一个本地前所未有的商业旅游城。

这个文化旅游城市是以开发《印象城市》和《印象马六甲》为主要项目。《印象马六甲》是由中国名导张艺谋联合执导,也是【印象】系列中,首部在中国以外演出的作品。也可以说张艺谋把海外处女演出带进来马六甲。上次李克强总理官方大马期间,也曾到马六甲出席相关汇报会,可见中国也相当重视《印象》的计划,这令我联想到一带一路的大方向。而《印象城市》的项目将包括酒店、餐厅、产业、交通和文化教育。第一期发展目前包括了商店,文化村、DIY工作坊、果园和度假屋。

说起大型计划背后一定要有投资者。《印象》吸引了在香港上市的中国海景控股参与。因此,这次永大会进行接下来种种的企业活动,包括发出特别股(special issue)、送优先股、私募等等,集资为这项计划的发展资金。中国海景控股将会通过子公司印象文化亞洲公司(Impression Culture)认购这项特别发新股成为永大的最大股东。根据RHB投行报告,当完成了这项企业活动,印象文化将会拥有31.6%的股份,如果所有优先股成功转换,最终会有50.3%永大的股份。

一个拥有20年地产经验的巫光伦加上这个28年丰富经验的旅游“专家”-拿督斯里李益辉,再配合《印象》的团队将会带来怎样的综合效应呢?真的是会很期待。

其实难免会质疑,建立那么大型的工程,会有人来吗?张艺谋看中我们马六甲什么?该不会来错地方表演吧?马来西亚这个国家,很多人都看不起自己的国家,视线总是很现实的停留在眼前的东西,眼前的旅客数量,政府,负面的东西。可是十年后,有没有想过马新高铁?泛亚跌路?一带一路?44亿人口?马六甲海峡?昆明到马来西亚八个小时火车?我们应该慎重参考一下张大导的眼光,他可是中国北京奥运的总导演呢~
