帕乐兴与全日空合作 供应中东航空飞机餐

（吉隆坡4日讯）消息指，帕乐兴（BRAHIMS，9474，主板贸服股）即将与全日空航空（All Nippon Airways Co）签联营合作，为抵达羽田机场和成田机场的中东航空公司供应清真飞机餐。

《The Edge》财经周刊引述知情人士报道，双方就上述合作计划展开了数个月的商谈后，终于落实在来周签署合约。

若上述合作关系落实，意味着全球最大清真飞机餐供应商———帕乐兴，将借此进入日本清真食品市场。

截至目前，抵达羽田机场和成田机场的中东航空共有15家。

知情人士指：“除了提供中东航空公司清真飞机餐以外，上述合约也包括为毗邻机场的酒店提供即时食品，如椰浆饭和酱料。”

可分销即食品

此外，该合约也可让帕乐兴通过当地子公司———日本帕乐兴食品，分销即时食品至当地的超级市场和便利商店。

早前The Edge財經週報報導，布拉欣即將與全日空達成夥伴協議，為降落羽田及成田國際機場的中東航空提供清真機上餐點，預計初步協議將於本週簽定，首年運作料貢獻500萬令吉淨利，第二年則可帶來雙倍貢獻。

安聯研究認為，日本向來對服務品質水平要求嚴謹，一旦達成協議，相信投資者將對布拉欣的機上餐點業務另眼相看，同時也可通過多元化客戶群，不再依賴吉隆破國際機場客流量，降低盈利集中的風險。

“此合作關係將顯示布拉欣機上餐點業務模式及過程的持續性及強項，提昇公司聲譽，改變投資者及普羅大眾的既定印象，不以｀背景’而是以｀實力’取勝。”

安聯估計，羽田及成田國際機場每年潛在需要64萬份機上清真餐點，料可推高布拉欣2014財政年機上餐飲量3.5%（不包括潛在銷售給其他航空公司的清真飲食），並預測一旦夥伴協議成形，布拉欣將另設公司負責全日空的機上餐點服務，但不會隸屬布拉欣航空飲食旗下。

鑑於協議及詳情有待確實，未來12個月股價將受正面盈利驚喜、債務再融資計劃、宣佈首度派息、併購活動、糖廠計劃催化，安聯維持布拉欣“強力買進”評級及目標價2令吉10仙不變。（星洲日報／財經）

（吉隆坡6日訊）布拉欣控股（BRAHIMS，9474，主要板貿易）或與全日空航空公司（ANA）合作，為降落在日本羽田和成田機場的西亞航空公司提供清真空中餐飲，利好推動該股走高15仙至2.08令吉。

布拉欣控股今日開盤先以1.97令吉亮相，起4仙，隨后持續高漲14仙至2.07令吉。休市時，該股報2.05令吉，起12仙，半日易手223萬1300股。

閉市時，該股報2.08令吉，起15仙，成交量錄得385萬7700股。

根據財經週刊《The Edge》指出，布拉欣控股除了提供空中餐飲，也會為航空公司經營的酒店提供清真熟食，如椰漿飯和醬料等。

維持“買入”評級

豐隆投銀研究指出，與全日空合作不僅讓該公司打進日本市場，也藉此開始滲入西亞市場，目前共有15家西亞航空公司提供飛往日本的航班。

據了解，布拉欣控股將提供專業知識，為全日空現有空中廚房轉型成符合清真標準。目前，后者透過附屬子公司全日空航空餐飲服務公司提供空中餐飲。

預計這項合作計劃，將可為該公司帶來500萬令吉潛在盈利，倘若以公司目前在空中餐飲的毛賺幅和營運盈利賺幅分別為58.5%和18.55，該公司可增加160萬令吉營運盈利。

豐隆投銀研究看好，布拉欣控股可從長期合約中獲得持續收益，維持“買入”評級，目標價為2.13令吉。

与全日航探讨4合作 帕乐兴拓展清真飞机餐业务

（吉隆坡7日讯）帕乐兴（BRAHIMS，9474，主板贸服股）与日本全日航空公司（简称ANA）签署合作协议，探讨4个合作项目，包括为全日空供应日式清真飞机餐，在日本东京羽田（Haneda）及成田（Narita）机场联营清真食品飞机餐厨房等项目。

该公司今日向马交所报备，这项协议目的是探讨与全日空成立策略性业务联盟，以提高清真飞机餐市场份额，和扩大亚太区内清真食品的分销和市场地位。

根据文告，这四个合作项目分别为

i.与全日空旗下的全日空餐饮供应服务公司合作，为全日空的亚洲航线搭客提供日式清真飞机餐。

ii.与全日空餐饮供应服务公司合作，先以全日空餐饮供应服务公司的厨房，为降落在羽田和成田机场的外国机供应清真飞机餐。

双方放眼，随着业务逐渐增长，则将考虑联营更大的生产设备。

iii.通过联号公司Dewina食品工业和全日空贸易提供协助，在日本行销帕乐兴的食品，包括即食餐、酱料、香料和天然原料等。

iv.为日本的洲际酒店（InterContinental Hotel）、皇冠假日酒店（ANA Crowne Plaza）及假日酒店（Holiday Inn）供应清真食品和酱料。

双方的合作协议为期1年，并放眼在最短时限内，执行第三和第四项协议。

至于第一和第二项协议，则有3个月的时间达成共识，签订长达5年的合约。

1.               INTRODUCTION The Board of Directors of BHB is pleased to announce that BHB, had on 6 January 2014, entered into a Collaboration Agreement (“CA”) with ANA Holdings Inc (“ANA”) to produce halal Japanese cuisine for in-flight catering in Japan and to consider the establishment of a joint venture for a Halal flight kitchen in Narita and Haneda Airports, Tokyo, Japan. 2.               INFORMATION ON ANA 2.1    ANA ANA is a public listed company incorporated in Japan. The principal businesses of ANA comprised of provision of air transportation (via All Nippon Airways Co., Ltd) and travel services. The air transportation business includes in-flight food purchasing, which is operated through its subsidiary, ANA Catering Service Co., Ltd (“ANAC”). 3.               SALIENT TERMS OF THE CA               The salient terms of the CA, which include amongst others, are as follows: (a)            “Washoku-Japanese collaboration at BHB": ANA, through ANAC, is keen on supervising and promoting Washoku-Japanese, not only on in-flight cuisine to be served on airlines, but also on Japanese food menus in general by making full utilization of BHB’s production in line with Brahim’s brand name. Further, ANA is considering the opportunity to procure Japanese food, such as Japanese style curry produced by BHB, for supply on ANA’s Asian routes;              [Washoku means Japanese Cuisine] (b)            Halal kitchen at ANAC: ANAC is keen on collaborating with BHB, exclusively for concerned foreign carriers landing in Narita and Haneda airports in Japan, to supply Halal in-flight meals with the utilisation of ANAC’s existing facility in the early stage. As the business grows, both Parties will consider the establishment of a joint venture for the stage of expansion of the facility; (c)            Marketing of Brahim’s Products in Japan: BHB, via its affiliate Dewina Food Industries Sdn. Bhd. (“DFI”), is also in the business of producing a range of packaged ready-to-eat-meals of Asian cooking sauces and condiments which consist of selected herbs, spices and natural ingredients, including without limitation, Brahim's Malaysian Nyonya Sauce, Brahim's Spicy Tomato Sauce, and Brahim's chicken curry with potatoes (collectively known as “Brahim’s Products and Sauces”). BHB, via DFI, is desirous to market and distribute its products in Japan through its branch in Japan, Brahim's Food Japan Co. Ltd., with the assistance of ANA Trading Co Ltd as the distributor in Japan; (d)           Supply of BHB Products to hotels in Japan: IHG-ANA, a joint venture between InterContinental Hotels Group and ANA, operates ANA InterContinental, ANA Crowne Plaza, and ANA Holiday Inn throughout Japan, and is keen on the procurement of Brahim’s Products and Sauces to be served to Muslim guests through Brahim’s Food Japan Co,. Ltd; (e)            Both parties need not activate their collaboration in all areas at the same time, such as, they may activate Clause 3(c) and (d) above as soon as possible; and (f)             In respect to the area of collaboration stated in Clause 3(a) and (b) above, both parties will have three (3) months of exclusivity (from the date of the Agreement) to mutually agreed upon and entered into more definitive and specific agreements relating to these areas for a term of five (5) years extendable by mutual agreement for another five (5) years, failing which, at the end of three (3) months, the exclusivity as it relates to both parties dealing only with each other or to the place (i.e. Narita and Haneda) will end. For the avoidance of doubt, the areas of collaboration stated above are mutually independent as, if both parties do not finalise or consummate their collaboration in one area, it will not affect their collaboration in other areas. The CA shall remain in effect for a period of one (1) year from the date of the CA unless earlier terminated in accordance with the provision of the CA. 4.               RATIONALE The objective of the CA is to form a strategic business alliance and business collaboration to explore ways and draw on the inherent synergies of the respective parties, i.e. BHB and ANA to gain new market share in Halal flight catering, increased distribution and positioning in the Asia Pacific region to tap the Halal food market in both Japan and Malaysia and other parts of Asia. 5.               EFFECT OF THE CA The CA is not expected to immediately have material effects on the earnings per share, net assets per share, gearing, share capital and substantial shareholders’ shareholding of BHB for the financial year ending 31 December 2014. 6.               INTEREST OF MAJOR SHAREHOLDERS AND DIRECTORS Save for Datuk Ibrahim bin Haji Ahmad, who is a major shareholder and the Executive Director of BHB, as well as a major shareholder and director of DFI, none of the other directors and/or major shareholders of BHB and/or persons connected to them have any interest, direct or indirect, in the CA. 7.               DIRECTOR’S STATEMENT The Board of Directors of BHB, having considered the rationale and terms of the CA, is of the opinion that the CA is in the best interest of the Company. 8.               DOCUMENTS FOR INSPECTION A copy of the CA is available for inspection at the registered office of the Company located at 10thFloor, Menara Hap Seng, No. 1 & 3, Jalan P. 与全日空合作　布拉欣提高曝光率

（吉隆坡8日讯）布拉欣（BRAHIMS，9474，主板贸服股）宣佈为全日空航空（ANA）在羽田和成田机场的亚洲和中东航线提供清真日本料理飞机餐，分析员对此消息感到正面，並纷纷维持该股「买进」评级。       

除此之外，双方日后可能还会有其他合作，包括
（一）在成田和羽田机场联合经营清真航空厨房；
（二）委任ANA贸易公司为Dewina食品工业（DFI）旗下方便食品的分销商；以及
（三）供应DFI的產品予全日空航空旗下经营的酒店。

DFI料今年注入

必须留意的是，上述第二和第三项的合作建议当中，將由布拉欣在日本的子公司提供DFI的產品。DFI是布拉欣的大股东－－拿督伊布拉欣所拥有。因此，丰隆投行分析员表示，销售方便食品所带来的盈利增长將不会列入布拉欣，只有把DFI注入布拉欣才可享有盈利。

儘管如此，分析员预期大股东將在今年把DFI注入布拉欣。

对於布拉欣与全日空航空的合作，安联研究分析员表示看好，因为这可减少布拉欣对吉隆坡国际机场客流量的依赖，从而减少该公司营业额和盈利的集中风险。

管理层预计这项合作將为该公司2015財政年贡献200万至300万令吉净利。安联研究分析员以羽田和成田机场每日的中东航班次数计算，表示该数额的盈利贡献符合预期。

丰隆投行分析员则预计，布拉欣只需几个月时间去「清真化」全日空航空的厨房，並预计此项合作带来的盈利最早可在下半年实现。

此外，虽吉隆坡国际机场2仍有延迟开幕的潜在可能，但该分析员认为这將不会为2014財政年的盈利带来显著的影响。同时，他亦指出，首次派发股息、併购活动和糖厂的进一步发展等，都是未来12个月可推动股价上行的潜在利好因素。

儘管布拉欣的股价在近期已大幅上涨，但基於中期的成长前景强劲，安联研究和丰隆投行的分析员皆认为该股仍有上升的空间。因此，分別维持该股「强烈买进」和「买进」评级，同时亦分別上调目標价至2.67令吉和2.64令吉。

INTRODUCTION The Board of Directors of BHB is pleased to announce that BHB, had on 16 January 2014, entered into a Memorandum of Understanding (“MOU”) with Labuan Halal Hub Sdn Bhd (“LHH”) to produce and supply Halal meals to offshore oil platforms and vessels, and distributing Brahim’s ready-to-eat meals and cooking sauces to East Malaysia and Brunei.  BHB will also collaborate with LHH to provide technical support in the management of Halal process and accreditation to new overseas markets developed by LHH. 2. INFORMATION ON LHH 2.1 LHH LHH was established by Perbadanan Labuan to invest and expand in the Halal Industry in line with the growing demand for Halal food and services in Asia.  LHH is a company carrying on the business, inter alia, as a developer and operator of the Labuan Halal Hub, promotion of the certification of “Halal” on halal products and services by competent   authorities and cooperation or collaboration with any entities and ventures on the tracing, tracking and verification system of Halal products and services through electronic means or otherwise and other related services within the concept of Halal business. 3. SALIENT TERMS OF THE MOU The salient terms of the MOU, which include amongst others, are as follows: (a)  Halal Meals production for supply to offshore oil platforms and vessels in and around Labuan and including companies operating from the Labuan Asian Supply Base premises. (b)  Working jointly with LHH to supply a range of ready-to-eat-meals and other varieties of Brahim's Sauces and meal helpers and marketing and distributing in East Malaysia including Brunei. (c)  Providing technical support and working jointly with LHH in the management of Halal processes and accreditation for China’s domestic and export markets. (d)  Special partner to LHH as technical support provider in LHH halal development projects within and beyond Malaysia. (e)  Working jointly with LHH on the operations of the Halal Hub Warehouse. The MOU shall remain in effect from 1 January 2014 to 31 December 2014 unless earlier terminated in accordance with the provision of the MOU. 4. 鞏固清真餐飲業務 布拉欣控股漲10仙

布拉欣控股早盤開市微揚2仙，報2.05令吉，之后走勢平平，沒太大波動；一直到休市前，該股股價增長速度才逐漸加快，成功擠入十大上升股榜。

布拉欣控股休掛2.15令吉，揚升12仙，半日交投易手88萬8000股。

截至下午4時半，布拉欣控股揚10仙，報2.13令吉，成交量163萬1500股。

改善物流業務

布拉欣控股上週四（16日）向馬證交所報備，已與納閩清真中心簽署備忘錄，為后者在東馬和汶萊的海上石油平台和船隻提供清真熟食餐點和醬料。

該公司也會與納閩清真中心合作，為后者審核新海外市場，及為清真食品製造過程管理，給于技術支援。

（吉隆坡4日讯）分析员相信，帕乐兴（BRAHIMS，9474，主板贸服股）执行主席拿督依布拉欣阿末将在上半年，通过旗下Dewina控股私人有限公司为帕乐兴注入新资产。

分析员纷纷猜测，依布拉欣阿末准备在未来数月内，注入数项资产于帕乐兴。

“据我们所知，注入新资产的文书工作已完成，现在只等待审核批准。我们认为，该公司会在上半年宣布相关消息。”

此外，另一名分析员也认为，依布拉欣阿末选择在这个时候进行合并计划是正确的。

帕乐兴最近与Labuan Halal Hub私人有限公司和日本全日空合作清真食品项目。

然而，Dewina控股旗下的Dewina食品工业私人有限公司正是帕乐兴即食食品和酱料的供应商。

尽管如此，依布拉欣阿末拒绝正面回应上述传言。

《星报》引述他的话：“Dewina控股是我私人拥有的公司，规模不如帕乐兴。我们目前会专注培育最经宣布的数项计划，但这些计划都是有被注入进帕乐兴的潜能。”

利多撐場‧布拉欣前景可期

（吉隆坡3日訊）布拉欣（BRAHIMS,9474,主板貿服組）第四季與2013年全年淨利飛躍增長，分析員基於其“利多”因素，調高今年財測10.8%至16%，同時上修其目標價。

豐隆研究調高2014至2016財政年每股盈利16%至25%，主要是營運開銷低使賺益高、低融資成本與低折舊等。

“這是利基行業、可持續是因獲長期特許經營合約，同時從空運蓬勃受惠，不受油價上漲與美元浮動衝擊，從糖業的新投資受惠。”

安聯研究說，其第四季核心淨利按年增長71.8%至710萬令吉，2013年全年淨利按年揚171.4%至2千170萬令吉，符合預期，全年賺益增長3.3百分點至17.8%。

“緊隨2014年客流增長，營運賺益將進一步改善，最大客戶馬航（MAS,3786,主板貿服組）2014年將增長載客量增12%，主要為國際航班。”

在Devina-Host的聯營也按年增38.0%至320萬令吉，預期新廉航機場（KLIA2）啟用後盈利貢獻將大增，後者為新機場終站2千572平方公尺食尚廣場（Foodcourt）的營運者。

廉航新終站商店明年開放

基於該新廉航機場竣工無期，即便竣工啟用亦預見一些“干擾”，諸如最近媒體所報導的跑道缺陷等問題，亞洲航空（AIRASIA,5099,主板貿服組）選擇今年10至11月才搬遷；布拉欣於2015財政年才開放廉航新終站商店。

安聯說，有關糖廠可於2015財政年完成，管理層也計劃於2014財政年讓Cafe Barbera連鎖店轉虧為盈，會關閉兩間雙威與蒲種虧損商店，有望減虧100萬令吉。

與日本全日航空（ANA）的食品進行聯營，探討在東京羽田與成田機場聯營清真認證食品，預期今年第四季完成。

“調高2014與2015財政年淨利預測10.8%，調低明年財測1.2%。這些因素包括供應更多機上食品、更低融資成本（6%），前為8%利率。”

其3年期年均複合增長率為30.2%，是航空股的更佳溢價替代股。儘管股價最近飆高，不過未來12月可受上述系列“利多”驅動。維持“強烈買進”評級，目標價調高至2令吉95仙。（星洲日報／財經‧報道：張啟華）

Description	BRAHIM’S HOLDINGS BERHAD (“Company” or “BHB”) MEMORANDUM OF UNDERSTANDING BETWEEN BHB AND DHYAFAT ALBALAD ALAMEEN CO LTD (“DHYAFA”)
1.                INTRODUCTION The Board of Directors of BHB is pleased to announce that BHB, had on 6 March 2014, entered into a Memorandum of Understanding (“MOU”) with Dhyafat Albalad Alameen Co Ltd (“Dhyafa”) toformalise their intention to collaborate and establish a joint venture company (“Project Company”) to develop food manufacturing, production and services in the city of Makkah, Saudi Arabia. 2.                INFORMATION ON DHYAFA Dhyafa is a private development company owned by the Municipality of Holy Makkah. Its role is to identify, assess and develop business opportunities with private partners to improve hospitality and tourism services in Makkah especially in the areas of Food & Beverages, Islamic Historic sites, Transportation, Information Technology & Media, Makkah Gifts and Food Safety & Hygiene. 3.                SALIENT TERMS OF THE MOU The salient terms of the MOU are as follows: (i)            that both parties will collaborate and cooperate to bring to fruition the project of setting up a food factory in Makkah to produce, sell and distribute food products to interested parties (“Food Factory”); (ii)           the Project Company shall also be open to other opportunities in trading, food services, restaurant operations, industrial catering including in-flight catering, logistics and warehouse management including cold storage, and consultancies; (iii)          Dhyafa will facilitate sourcing a suitable land area for lease on a long term basis, located within the Makkah suburb, for the construction of the Project Company. Dhyafa will be responsible for identifying available plots of land, negotiating the lease rate, and finalising the land lease process; (iv)         Dhyafa shall collect all necessary information regarding local laws and regulations required to be complied with for the intended activities from local authorities. This includes but is not limited to authoritative and/or governmental licenses, approvals, and exemptions, and any other documents necessary for the implementation of the Project Company; (v)          Dhyafa will utilise its technical expertise, local knowledge of Makkah, and provide its relational network and goodwill in order to develop the Project Company. This may include sourcing potential partner clients in the hospitality and other industries, as well as supporting the sales and distribution of the products produced by the Food Factory; (vi)         BHB shall contribute its expertise in the setting up of the Food Factory, as well as in the areas of operation management, food production and processing, food packaging and food quality management; (vii)        BHB shall utilise its reputation to attract clients from Asian pilgrims, especially Malaysian pilgrims during the Hajj and Umrah; (viii)       both Dhyafa and BHB will mutually collaborate on, including but not limited to: (a)          strategic planning – developing a detailed business plan, a detailed marketing plan, and financial forecasts; (b)          project management – land development, technical design, construction supervision; (c)          human resources – including the recruitment of management and operational staff, both locals and expatriates; (d)          starting up the factory – including commissioning of the Food Factory; and (ix)         both Dhyafa and BHB shall immediately designate one or more individuals within their respective organisations as their representative(s) responsible for communicating and performing the duties as listed in this MOU. A team to oversee the execution of the construction and development of the Project Company shall be formed at the earliest possible date. 4.                RATIONALE The objective of the MOU is to define the main conditions for the creation of the Project Company to develop food manufacturing, production and services in the city of Makkah. The MOU will allow the initiation of the required procedures and collaborative works in order for the project to commence immediately. 5.                EFFECT OF THE MOU The MOU is not expected to immediately have material effects on the earnings per share, net assets per share, gearing, share capital and substantial shareholders’ shareholding of BHB for the financial year ending 31 December 2014. 6.                INTEREST OF MAJOR SHAREHOLDERS AND DIRECTORS None of the directors and/or major shareholders of BHB and/or persons connected to them have any interest, direct or indirect, in the MOU. 7.                DIRECTOR’S STATEMENT The Board of Directors of BHB, having considered the rationale and terms of the MOU, is of the opinion that the MOU is in the best interest of the Company. 8.                DOCUMENTS FOR INSPECTION A copy of the MOU is available for inspection at the registered office of the Company located at 10thFloor, Menara Hap Seng, No. 1 & 3, Jalan P.
