On behalf of the Board of Directors of Goodway, SJ Securities Sdn Bhd wishes to announce that the Condition Precedent of the SSA dated 3 September 2019 (as supplemented by the letter dated 7 February 2020) (“SSA”) has not been fulfilled within the timeframe stipulated therein, that is, on or before March 2020 (“Non-fulfillment of CP”). The Non-fulfillment of CP has rendered the SSA null and void pursuant to Clause 8.1 of the SSA and in such event, the following shall take place:
(a) Goodway shall refund all monies paid by CKRI to Goodway pursuant to the SSA;
(b) CKRI shall cause the directors appointed pursuant to Clause 4.4 of the SSA to resign unconditionally and with no claims whatsoever against BWGT or Goodway, for such loss of office; and
(c) neither party shall have any claim against the other in respect thereof save and except for any antecedent breaches and in relation to (a) and (b) above.
Goodway has instructed its solicitors to notify CKRI in writing on the above and the parties are expected to comply with their respective obligations as set out in (a) to (c) above as soon as reasonably practicable.
The Proposed Disposal of BWGT is therefore deemed terminated for reasons set out above and such termination would not have any financial impact on Goodway and its subsidiaries.

| Remarks : | | The Board of Directors of Goodway Integrated Industries Berhad ("GIIB" or the "Company") wishes to announce that the Company has changed its financial year end from 30 June to 31 December. Thus, the next set of financial statements shall be made up from 1 July 2019 to 31 December 2020 covering a period of 18 months. Thereafter, the subsequent financial year end of the Company shall be on 31 December. |

The Board of Directors of Goodway Integrated Industries Berhad would like to clarify that the Group is currently undergoing restructuring exercise and re-organising the group resources (such as the restructuring of bank facilities, divestment of non-core assets, etc.) for sustainability. The restructuring exercise involving the debt capitalization, shares issuance, private placement will be proposed for the shareholders' approval at an extraordinary general meeting to be held on 5 November 2020. As such, the Group would be in a better position to provide complete information after the completion of the restructuring exercise with their bankers and other stakeholders which is due to complete by end of December 2020.
