Baker Tilly Monteiro Heng, has issued a statement of “Material Uncertainty Related to Going Concern”  (“Statement”) in respect of PINEPAC’s financial statements for the financial year ended 30 June 2018. Description	PINEHILL PACIFIC BERHAD ("PINEPAC" OR THE "COMPANY")DISPOSAL
(Unless otherwise stated, all definitions and terms used in this announcement shall have the same meaning as defined in the announcements dated 21 September 2018, 27 September 2018, 26 December 2018, 18 January 2019, 17 May 2019, 11 June 2019 and 3 July 2019). We refer to the announcements dated 21 September 2018, 27 September 2018, 26 December 2018, 18 January 2019, 17 May 2019, 11 June 2019 and 3 July 2019. On behalf of the Board of PinePac, Kenanga Investment Bank Berhad wishes to announce that the Disposal has been completed today following the payment of the Balance Purchase Price, the transfer and registration of the title deeds for the Plantation Assets in the name of the Purchaser, the delivery of vacant possession of the Plantation Assets to the Purchaser, and the release of Balance Deposits and Net Final Balance to the Vendors by the Joint Stakeholders in accordance with the provisions of the SPAs as varied by the SAs. In addition, PinePac would not be considered as a Cash Company pursuant to Paragraph 8.03(1) of the Listing Requirements, as informed by Bursa Securities via its letter dated 4 April 2019. Bursa Securities in the same letter had also rejected the waiver application for PinePac from being classified as an "Affected Listed Issuer" pursuant to Paragraph 8.03A(2) of the Listing Requirements. As such, PinePac is required to make an immediate announcement of its classification as a Paragraph 8.03A Company upon completion of the Disposal. This announcement is dated 3 September 2019.

The Board of Directors of PinePac herewith refers  to the announcement dated 3 September 2019 in relation to the completion of the disposal of plantation assets in the district of Hilir Perak, Perak, measuring approximately 8,999.13 acres to United Plantations Berhad for a total cash consideration of RM413,574,302.49 (“Disposal”). Pursuant to the completion of the Disposal, PinePac has triggered Paragraph 8.03A(2) of the MMLR. Accordingly, PinePac is now classified as an affected listed issuer. Please refer to the attachment for the details of the Company’s obligations as an affected listed issuer. This announcement is dated 3 September 2019.
