ENCORP和聯土局聯營發展地庫

(吉隆坡22日訊)ENCORP公司(ENCORP,6076,主板產業組)證實,將與主要股東聯邦土地發展局(Felda)合作發展馬六甲土地。

根據ENCORP公司發出的媒體邀請函,該公司將在週三(24日)與聯土局簽署瞭解備忘錄,以合作開發位於馬六甲的土地。

目前,聯土局在馬六甲武吉加迪(Bukit Katil)擁有600英畝土地,並持有柔佛邊佳蘭2千英畝土地。

市場早前盛傳,ENCORP公司將與聯土局聯營發展地庫,已鑑定的地段位於雪州、馬六甲和柔佛的主要市郊地區,但後來該公司發文告澄清,該公司確實正探討潛在合作,但至今尚未達致正式協議。

聯土局旗下的聯土局投資機構(FIC)是在2014年5月收購ENCORP公司49.45%股權,進而取得公司控制權。

ENCORP公司現擁有發展總值達35億令吉的發展計劃,其中包括哥打白沙羅的Encorp Strand、沙阿南的Encorp Cahaya、檳城的Enclave Hillside別墅及澳洲的McCallum Lane等。(星洲日報/財經)

恩卡 FELDA合作 发展甲州49亿城镇计划

(吉隆坡24日讯)恩卡(ENCORP,6076,主板產业股)与联邦土地发展局(FELDA)签署谅解备忘录(MOU),共同发展在马六甲武吉加迪的640.98英亩的综合城镇项目,总发展价值(GDV)达49亿令吉。

恩卡主席兼联邦土地发展局主席丹斯里莫哈末依沙表示,此项合作將会开启Felda与恩卡未来更多潜在的合作机会。FELDA目前在大马仍有许多未发展的地皮。

他也透露,Felda目前在雪州及柔佛分別有28.33公顷及202.34公顷的土地。

莫哈末依沙是在恩卡及FELDA签署谅解备忘录仪式后的记者招待会上,发表有关言论。

Felda投资机构早前完成全面收购恩卡,目前持有72.29%股权。

莫哈末依沙披露,这项城镇计划共有5个阶段,为期10年,当中住宅及商业单位各佔80%及20%。此外,此发展项目也有3800个单位的1马人民房屋(PRIMA)。该公司目前正与马六甲州政府进行商討,预计有关项目將合作在2017年正式动工。

针对依然悬空的首席执行员职位,莫哈末依沙指出,该公司已有数名人选,冀望今年可做出宣布。

续竞投政府建筑计划

另外,恩卡集团董事罗斯里指出,该公司將继续竞投政府相关的建筑计划,以及重组其建筑业务,以便这项业务可在年底重返正轨,以提升这项业务对公司贡献。

该公司的建筑业务目前有8亿令吉的合约订单。【东方网财经】

ENCORP偕澳洲公司 发展2.3亿综合产业

(吉隆坡13日讯)ENCORP(ENCORP,6076,主板产业股)与一家澳洲发展商联手,在澳洲进行一项综合发展计划,初步预计发展总值达7541万澳元(约2亿3571万令吉)。

ENCORP通过马交所发文告指,子公司Encorp发展私人有限公司,已与Tew投资私人有限公司签署一项发展和管理协议,发展一项位于澳洲珀斯(Perth)的地皮,但并无透露该地皮的规模。

根据协议,双方将联手进行一项发展计划,包括商业单位和接近165个住宅公寓单位。

初步预计,该项计划的发展总值为7541万澳元,但目前仍未有定案。

Encorp发展,也就是地主,将持有该联营计划不少过30%股权,而Tew投资则持有70%股权。

ENCORP表示,该项联营计划让Encorp发展有机会释放地皮价值。

同时,预计从销售产业单位所取得的资金,将为公司带来净利贡献。【南洋网财经】

We refer to your Company’s announcement dated 13 November 2015, in respect of the aforesaid matter.
In this connection, kindly furnish Bursa Securities with the following additional information for public release:-
1)   To provide name(s) of director(s), shareholder(s) and their respective shareholding(s) in Tew Investments Pty Ltd (“TIPL”);
2)   To elaborate on experience of TIPL in property development;
3)   To provide further information of the Land including but not limited to size, original cost of investment and the date of such investment, net book value and encumbrance(s) of the Land;

We refer to our announcement dated 13 November 2015 (“Announcement”) and reply dated 17 November 2015 to Bursa Malaysia Securities Berhad (“Reply to Bursa”). All abbreviations used herein shall have the same meaning as those defined in the Announcement unless stated otherwise.

Further to our Reply to Bursa, we wish to inform that the total consideration of AUD6 million (comprising land value of AUD3.6 million and minimum return of AUD2.4 million) in respect of the Joint Venture, will allow the Company to recover its original cost of investment as well as to allow EDPL to participate in the share of development profit from the Project, when it is completed.   

The total consideration of AUD6 million in respect of the Joint Venture is above the net book value of AUD4.8 million as at 31 December 2014.

The land value of AUD3.6 million allocated to the Joint Venture development, is after taking into consideration the valuation of AUD3.7 million as appraised by Knight Frank Australia Pty Ltd and other similar land value in the vicinity.

We wish to further inform that under Section 3(i) of the Announcement, the land value of AUD3.6 million and minimum return of AUD2.4 million made up to the total AUD6 million consideration of the Joint Venture. The participation fee of AUD300,000 forms as part payment of the AUD6 million. As the AUD300,000 will be paid to EDPL within 14 days from the date of execution of the DMA, the balance consideration of the Joint Venture will be AUD5.7 million, which is receivable by EDPL proportionately in accordance to the stages proportional to the entire development from the proceeds of sales.

ENCORP BERHAD ("ENCORP" OR THE "COMPANY") DISPOSAL OF THE ENTIRE EQUITY INTEREST IN ETIKA TRANQUERAH SDN BHD
Pursuant to Paragraph 9.19(24) of the Main Market Listing Requirements of Bursa Malaysia Securities Berhad (“Listing Requirements”), the Board of Directors of Encorp Berhad (“Board”) wishes to announce that its 70%-owned indirect subsidiary, Red Carpet Avenue Sdn Bhd (“RCASB”) had on 28 December 2015 disposed of its entire equity of 60 ordinary shares of RM1.00, representing 60% equity interest in Etika Tranquerah Sdn Bhd (“ETSB”) to Madam Chan Poh Leng (“Purchaser”), for a total cash consideration of RM300,000.00 only (the “Disposal”).

Pursuant to the Disposal, ETSB shall cease to be a subsidiary of RCASB and an indirect subsidiary of the Company on 28 December 2015.

ETSB is a private limited company incorporated in Malaysia on 23 August 2011 with an authorised share capital of RM100,000.00 divided into 100,000 ordinary shares of RM1.00 each. The present issued and paid-up share capital of ETSB is RM100.00 divided into 100 ordinary shares of RM1.00 each. The principal activity of ETSB is operating and management of food and beverage business.

ETSB has recorded an accumulated loss of RM549,348 and net liabilities of RM549,248 based on its Audited Financial Statements for the financial year ended 31 December 2014. The Disposal will enable Encorp to stop consolidating ETSB's losses into the Group's account and the Disposal proceeds will be used to strengthen the working capital of the Group.

The total cash consideration of RM300,000 was arrived at on a willing buyer-willing seller basis after negotiations by taking into consideration the slowdown of ETSB’s business over the years and partial recoverability of the amount of RM486,047 owing by ETSB to RCASB.

The Disposal will not have any effect on the share capital and substantial shareholders' shareholding of Encorp. It is also not expected to have any effect on the net assets per share, earnings per share and gearing of Encorp for the financial year ending 31 December 2015.

None of the directors and/or major shareholders of Encorp and/or persons connected to them, as defined in the Listing Requirements has any interest, direct or indirect, in the Disposal.

The Board, after having considered all aspects of the Disposal is of the opinion that the Disposal is in the best interest of Encorp Group.

Pursuant to Paragraph 9.19(23) of the Main Market Listing Requirements of Bursa Malaysia Securities Berhad, the Board of Directors of Encorp wishes to announce that its wholly-owned subsidiary, Encorp Must Sdn Bhd (“EMSB”) had on 8 January 2016 acquired 2 ordinary shares of RM1.00 each fully paid-up in the capital of Encorp Bukit Katil Sdn Bhd (“EBKSB”) at a total purchase consideration of RM2.00 only from Dato’ Haji Zakaria bin Nordin and Encik Wan Azman bin Wan Abbas (the “Acquisition”).

Following the Acquisition, EBKSB became an indirect wholly-owned subsidiary of Encorp. The Acquisition is intended for Encorp’s future expansion in its core business of property development.

EBKSB was incorporated as a private company limited by shares on 14 December 2015. The authorised share capital of EBKSB is RM400,000.00 divided into 400,000 ordinary shares of RM1.00 each. The issued and paid-up share capital of EBKSB is RM2.00 divided into 2 ordinary shares of RM1.00 each. EBKSB has not commenced business since its incorporation.

The Acquisition will not have any material effect on the net assets per share and earnings per share of Encorp for the financial year ending 31 December 2016.

Except for Dato’ Haji Zakaria bin Nordin, who has a direct interest in the Acquisition by virtue of him being a director and shareholder of EBKSB, none of the other directors and/or major shareholders of Encorp and/or persons connected to them, has any interest, direct or indirect, in the Acquisition.

ENCORP应因房市疲弱 缩小武吉卡迪规模

(吉隆坡20日讯)ENCORP(ENCORP,6076,主板产业股)与联邦土地发展局(FELDA)的马六甲武吉卡迪(Bukit Katil),由于考虑到当前房市疲弱,因而将发展总值降低17亿令吉,至32亿令吉。

联邦土地发展局主席丹斯里莫哈末依沙,今日在合作备忘录签约仪式后向记者表示,在去年宣布这项综合发展计划时,发展总值为49亿令吉,但如今降至32亿令吉,主要是考量到当前房市。

他说,市场情况也将会影响发展的速度。目前,该项目计划在14年内分3期进行,会从明年首季开始动工。

“这项综合城镇的兴建计划,可能会因为经济的影响出现更动,经济不好会导致兴建材料价格增加,所以这些因素都会对兴建工程带来影响。”

这项综合城镇发展计划,面积达640.98英亩,涉及多种类的产业,包括商务和住宅产业。

莫哈末依沙指出,联邦土地发展局将提供土地,而ENCORP则负责规划整个城镇的发展大蓝图,同时也负责开发和建筑活动。

5.8亿夺发展权

莫哈末依沙同时也是ENCORP主席。

出席今天签约仪式嘉宾,包括了联邦土地发展局总经理拿督哈纳比,以及ENCORP执行委员会主席拿督扎卡里阿。

另一方面,根据ENCORP的文告,该公司是以5亿8360万令吉,承接这项城镇计划的发展权。

根据CG&P咨询私人有限公司在2013年4月的评估,这块地当时市值3亿434万令吉。

“这将提供ENCORP与FELDA合作机会,且这块地位于马六甲‘心脏’,增长潜力强劲。”

结合双方优势专

有了这项计划,ENCORP在我国的发展地库,从目前68.52英亩,大增9.36倍,至709.5英亩。

ENCORP不需在初期支出庞大资本,而之后的资本也能由未来13年逐步发展所取得的营收来弥补。

“再者,这项合作也让双方能善用对方的优势和专才。比如说,FELDA拥有土地,而ENCORP知道如何兴建和发展。”

该公司形容,这也是双方发展长期和成功关系的第一步,FELDA在全马土地非常多,而ENCORP可借此分一杯羹协助发展。

ENCORP BERHAD ("ENCORP" OR THE "COMPANY")PROPOSED ACCEPTANCE OF DEVELOPMENT RIGHTS FROM FEDERAL LAND DEVELOPMENT AUTHORITY BY ENCORP'S WHOLLY-OWNED SUBSIDIARY, ENCORP BUKIT KATIL SDN BHD, IN RELATION TO THE DEVELOPMENT OF A LAND ("PROPOSED ACCEPTANCE OF RIGHTS" OR THE "PROPOSAL")
Further to Encorp’s announcements on 24 June 2015, 23 September 2015 and 22 December 2015 and on behalf of the Board of Directors of Encorp (“Board”), AmInvestment Bank Berhad (“AmInvestment Bank”) wishes to announce that following the Memorandum of Understanding entered between Encorp and the Federal Land Development Authority (“Felda”) on 24 June 2015,  Encorp’s wholly-owned subsidiary, Encorp Bukit Katil Sdn Bhd (“Encorp Bukit Katil” or “Master Developer”), had on 20 January 2016, entered into a master development agreement with Felda, in which, Encorp Bukit Katil accepts the development rights from Felda for the development of one (1) plot of Land in Melaka, namely a parcel of leasehold land measuring approximately 640.98 acres held under PN 43209, Lot No.6934 Mukim Bukit Katil, District of Melaka Tengah in the State of Melaka (“Land”) for a total cash consideration of RM583,600.000.00 (“Total Consideration”) (“MDA”).

ENCORP BERHAD ("ENCORP" OR THE "COMPANY")REVALUATION OF PROPERTIES
1.0       INTRODUCTION

Pursuant to Paragraph 9.19(46) of the Main Market Listing Requirements of Bursa Malaysia Securities Berhad, the Board of Directors of Encorp wishes to announce that Encorp had appointed the independent professional valuer, Raine & Horne International Zaki + Partners Sdn Bhd (“Raine & Horne”) to undertake revaluation exercise on the properties as detailed under item 3.0 below, held by Encorp Group. The Board had on 29 February 2016 approved the valuation report from Raine & Horne and the incorporation of the revaluation surplus arising from the revaluation in the fourth quarter unaudited financial results of Encorp for the year ended 31 December 2015.

2.0       PURPOSE OF THE REVALUATION

The purpose of the revaluation exercise is to ascertain the fair value of the properties for accounting purposes in line with MFRS 140 on Investment Property.

3.0       REVALUATION SURPLUS

The details of the revaluation surplus arising from the properties revaluation exercise are set out below:

A copy of the valuation report is available for inspection at the registered office of the Company at No. 45-1, Jalan PJU 5/21, Pusat Perdagangan Kota Damansara, Kota Damansara PJU 5, 47810 Petaling Jaya, Selangor Darul Ehsan, Malaysia, during normal business hours for 3 months from the date of this announcement.
