TITIJAYA LAND BERHAD ("TITIJAYA" OR "COMPANY")SUBSCRIPTION OF NEW ORDINARY SHARES IN BJ PROPERTIES SDN. BHD. BY TULUS LAGENDA SDN. BHD., A WHOLLY-OWNED SUBSIDIARY OF TITIJAYA
Reference is made to the Company’s announcement dated 28 March 2018 in relation to the Shares Subscription Agreement (“SSA”) entered between Tulus Lagenda Sdn. Bhd. (“TLSB”), a wholly-owned subsidiary of Titijaya and BJ Properties Sdn. Bhd. (“BJPSB”), for the purpose to subscribe up to 9,900,000 new ordinary shares in BJPSB, representing 99% of the enlarged issued share capital of BJPSB at a subscription price of up to RM9,900,000, subject to and upon the terms and conditions of the SSA.

The Board of Directors of Titijaya wishes to announce that TLSB had on 29 March 2018 subscribed for 95,000 new ordinary shares in the enlarged issued share capital of BJPSB, for a total cash consideration of RM95,000.00 (“Subscription”).

That following the Subscription, the Company’s effective interest in BJPSB through TLSB is 48.72%. As a result, BJPSB has become an indirect associate of the Company.

The ordinary shareholders of BJPSB are TLSB with 95,000 Ordinary Shares (48.72%), Lim Soo Huen with 70,000 Ordinary Shares (35.90%) and Lim Soo Seong with 30,000 (15.38%).

Other than the issued ordinary share capital, the Company has an issued preference share capital of RM10,000.00 comprising 10,000 preference shares held by Lim Soo Huen.

The Subscription will have no material effect on the earnings per share, net assets per share, gearing, share capital and the substantial shareholders’ shareholdings of Titijaya.

None of the Directors and/or major shareholders of Titijaya and/or persons connected to them has any interests, direct or indirect in the above Subscription.

This announcement is dated 29 March 2018.

TITIJAYA LAND BERHAD ("TITIJAYA" OR "COMPANY") Land acquisition of a portion of leasehold land held under PN 4022, Lot No. 12174, Mukim 12, Daerah Barat Daya, Pulau Pinang owned by City Meridian Development Sdn. Bhd., a wholly-owned subsidiary of the Company
City Meridian Development Sdn. Bhd. (“CMDSB”), a wholly-owned subsidiary of the Company, is the registered owner of all that piece of leasehold land held under PN 4022, Lot No. 12174, Mukim 12, Daerah Barat Daya, Pulau Pinang (“Land”). The lease tenure of the Land is 99 years with the lease expiring on 2 April 2095.

Titijaya Group Sdn. Bhd. (“TGSB”), the former vendor of the Land, had on 28 February 2018 notified CMDSB that TGSB had remitted the sum of RM8,146,666.66 (inclusive of interest) to CMDSB, being value awarded by Jabatan Ketua Pengarah Tanah dan Galian Persekutuan Pulau Pinang, for the land acquisition of a portion of the Land by the Department of Director General of Lands and Mines Federation of Penang (Jabatan Ketua Pengarah Tanah dan Galian Persekutuan Pulau Pinang) (“JKPTG”) pursuant to Section 16 of the Land Acquisition Act 1960, for purpose of the development of flyover across the intersection of Batu Maung and P222/P10 Daerah Barat Daya.

The Board of Directors of Titijaya is pleased to announce that a final single-tier dividend of RM0.0025 per ordinary share has been proposed in respect of the Company’s financial year ended 30 June 2018 (“Proposed Final Dividend”).

Reference is made to the Company’s announcement dated 21 March 2018 in relation to the Joint Venture Agreement (“JVA”) entered into between Titijaya and Bina Puri Properties Sdn. Bhd. (“BPPSB”) on 21 March 2018 and the proposed acquisition of 280,000 equity interest in Riveria City Sdn. Bhd. (formerly known as Bina Puri Development Sdn. Bhd.) (“RCSB”) by Titijaya from Bina Puri Construction Sdn. Bhd., thereby making RCSB, a 70%-owned subsidiary of Titijaya.

(Unless otherwise defined, capitalised terms used in this announcement shall have the same meaning as those given to them in the initial announcement made on 21 March 2018.)

The Board of Directors of Titijaya wishes to announce that the Company has on 22 April 2019, entered into a Mutual Termination Agreement with BPPSB to mutually agreed to terminate the JVA dated 21 March 2018 and the transfer of the remaining 30% equity interest comprising 120,000 ordinary shares in RCSB held by BPPSB to Titijaya for a total consideration of RM120,000 only (“Acquisition of Shares in RCSB”).

Upon the completion of the Acquisition of Shares in RCSB, RCSB shall become a wholly-owned subsidiary of Titijaya.
