飞霓控股(08480.HK)公告，于2019年3月12日，卖方Triumph Star Global Limited、该公司及担保人詹嘉雯订立买卖协议，公司拟向卖方收购目标公司Meinaide Holdings Group Limited全部股份，代价1.4亿港元将由公司于完成后按发行价每股代价股份2.50港元向卖方或其代名人配发5600万股代价股份的方式支付， 代价股份占扩大后公司股本约10%。据悉，发行价每股股份2.50港元较3月12日收市价每股股份2.81港元折让约11.03%。
完成后，目标公司将成为公司的间接全资附属公司，而目标集团的财务业绩将并入公司。根据买卖协议，卖方已不可撤回地向公司保证及担保，目标集团于保证期间的综合除税后溢利将不低于保证溢利人民币1000万元。
目标公司为一家于英属维尔京群岛注册成立的有限公司，主要从事投资控股，且于公告日期为卖方的全资附属公司。重组完成后，(i)目标公司将直接持有各香港附属公司的全部已发行股；及(ii)香港附属公司1将直接持有中国附属公司的90%注册资及香港附属公司2将直接持有中国附属公司的10%注册资。
目标公司与香港附属公司均为投资控股公司，且除持有中国附属公司外，目标公司与香港附属公司于紧接完成前将不会持有任何重大资产及负债。中国附属公司位于中国广东省，主要于中国从事生产及销售PVC发泡板、PS发泡板、PVC建筑模板、汽车内饰板及其他塑料产品。PVC╱PS发泡板的应用范围广泛，可用作制造家俬及装饰板等的门板及木塑复合材料。
中国附属公司的产品不仅内销，亦出口至东南亚、中东、美国、东欧等。中国附属公司的当前年产量约为9,000吨PVC-U产品、2,000吨PS-U产品及2.8百万张PS复合装饰板。中国附属公司的管理层于塑料加工行业拥有逾25年经验，及根据买卖协议的条款，公司指派的中国附属公司的若干现任管理人员于完成后将留任中国附属公司，为期三年。此外，中国附属公司于质量及环境管理领域分别获ISO9001:2008及ISO14001:2004认证以及国家强制性认证。中国附属公司2017及2018年除税后溢利分别为387万及500万元。
收购事项为公司拓宽业务组合至生产及销售具高增长潜力的PVC发泡板、PS发泡板、PVC建筑模板及其他塑料产品行业提供良机。目标集团的产品的主要下游行业为建筑业。模板面板作为混泥土的浇筑模，是建筑工地现浇混泥土技术的重要部分 |

KUALA LUMPUR: PRG Holdings Bhd’s 63%-owned subsidiary Furniweb Holdings Ltd, which is listed on the Hong Kong Stock Exchange, has proposed to acquire Meinaide Holdings Group Ltd for HK$140 million (RM72.88 million) to be fully satisfied via the issuance of shares. Furniweb believes that the acquisition provides an excellent opportunity for it to expand its business portfolio to include production and sale of polyvinyl chloride (PVC) foam boards, polystyrene foam boards, PVC construction templates and other plastic products, which have high growth potential. In a filing with Bursa Malaysia, PRG said Furniweb had entered into an agreement with Triumph Star Global Ltd for the proposed acquisition. Under the deal, Furniweb will issue 56 million new shares to Triumph Star Global at HK$2.50 per share, which represents an 11.03% discount to the closing price of HK$2.81 per share on Tuesday. The agreement also entails a profit guarantee from Triumph Star Global to Furniweb that the consolidated net profit of Meinaide will not be less than 10 million yuan for the financial year ending Dec 31, 2019. On completion, Meinaide will become an indirect wholly-owned subsidiary of Furniweb.

Reference is made to the Company’s announcements on 21 December 2018, 31 January 2019, 13 February 2019, 19 February 2019 and 28 February 2019 on the execution of a conditional Subscription and Options Agreement ("Agreement") with Capital World Limited (“Capital World”) and the extension of completion date of the Subscription.
Following the fulfilment of all the relevant conditions of the Agreement, the Board of Directors of the Company wishes to announce that the Subscription is completed on 14 March 2019.

1. INTRODUCTION The Board of Directors of PRG (“Board”) is pleased to announce that PRG had on 30 May 2019 disposed of 13,000,000 Furniweb Shares, representing 2.58% equity interest in Furniweb via direct business transactions for a total cash consideration of HKD26,000,000 (equivalent to RM13,900,042) at HKD2.00 (equivalent to RM1.0692) per Furniweb Share (“Disposal Price”) (“Disposal”). The Disposal was approved by the shareholders’ of PRG at the extraordinary general meeting held on 16 January 2019.
After the Disposal, PRG’s shareholding in Furniweb has reduced from 63.00% to 60.42%.
2. BASIS OF AND JUSTIFICATIONS FOR THE DISPOSAL PRICE PRG had sought the assistance of stockbrokers in Hong Kong to obtain highest asking price for Furniweb Shares. Based on the demand, the highest asking price from ready buyer(s) was HKD2.00 per Furniweb Share and it is based on willing-buyer and willing-seller basis.
The closing market price of Furniweb Shares as at the LPD was HKD2.50. The 5-day volume weighted average price (“VWAP”) and 1-year VWAP of Furniweb Shares up to the LPD were HKD2.6241 and HKD1.3940, respectively. The Disposal Price represents a 20% discount to the closing market price of Furniweb Shares as at the LPD and it is at a discount of 23.78% and a premium of 43.47% to the 5-day VWAP and 1-year VWAP of Furniweb Shares, respectively.
For the financial year ended (“FYE”) 31 December 2018, Furniweb recorded a profit after taxation and earnings per share of RM0.93 million and 0.18 sen, respectively. For 3-month period ended 31 March 2019, Furniweb made a loss after taxation and loss per share of RM1.24 million and 0.25 sen, respectively. As such, the Disposal Price represents a price-to-earnings multiple of 594 times (based on the audited profit after taxation of Furniweb for the FYE 31 December 2018). In addition, the Disposal Price is 5.56 times of the net asset per Furniweb Share of HKD0.36 based on Furniweb’s latest announced unaudited interim financial results for the 3-month period ended 31 March 2019.

The Board of Directors of PRG (“Board”) wishes to announce that PRG Property Sdn Bhd (“PRG Property”), a wholly-owned subsidiary company of PRG has received a letter of intent dated 18 June 2019 from Liveintent Sdn Bhd (“Liveintent”) (“Letter of Intent”) for a conditional offer to purchase 150,000 ordinary shares in the capital of Premier De Muara Sdn Bhd (“PDMSB”), representing 60% of the issued share capital of PDMSB (“Offer”).
(PRG Property and Liveintent are referred to individually as the “Party” and collectively as the “Parties”.)
2. DETAILS OF THE OFFER
The Letter of Intent is non-binding and does not constitute an official purchase agreement.
Liveintent has seek an exclusive period of 30 days to conduct a financial and legal due diligence on PDMSB from the date of the Letter of Intent.
