曾文秀解释减持原因 避免注资全购纳音英达

（吉隆坡4日讯）两名小股东向《南洋商报》表示，大股东拿督曾文秀不断减持纳音英达機構（NICORP，4464，主板贸服股）的股权，是为了避免未来注入资产时触动全面献购的条例。

曾文秀在去年與数名投资者，购入纳音英达機構22.80%股权，这些买家当中，以曾文秀购买的部份最大，佔12.11%，崛起成为大股东。

然而，在持股不到1年，曾文秀於去年11月起逐渐透过公开市场售股，截至8月12日，手上持股仅剩5.65%。

两名出席今日特大的小股东李清福和林敦丰表示，对於总执行长曾文秀频频售股的举动，是否是“船长率先跳船”而感到担忧。

小股东披露，曾文秀在特大上强调，此举是为了接下来注入3900萬令吉产业资产而铺路，以避免个人股权过高而触动全面献购，否则，他不会选择以低价售股而承受亏损。

另一方面，李清福对於陷入亏损的纳音英达機構建议发附加股的议程，是否还能引起投资者的购兴而感到疑惑。

明年有望转盈

针对这道问题，曾文秀在特大上指出，在注入资产後，纳音英达機構明年有望转亏为盈。

目前，该公司正进行一连串企业活动，包括削资面值50%、发售附加股並送凭单。

此外，纳音英达機構在早前也建议以3900萬令吉，向Sagajuta（沙巴）私人有限公司以及Titan Formation有限公司，购入Lagenda Erajuta有限公司股权，並透过发出高达3亿5000萬股和400萬可赎回优先股做为支付方式。

曾文秀是LagendaErajuta董事，Lagenda Erajuta目前在巴生正进行一项产业发展计划，发展总值达9亿3026萬令吉。[南洋网财经]

纳音英达机构向马交所报备，定价是以过去5天交易量加权平均价（VWAP）估算。

纳音英达机构去年6月建议，以总值3900万令吉收购产业发展商Lagenda Erajuta有限公司100%股权。

耐因英達配售10%籌877萬

（吉隆坡16日訊）耐因英達機構（NICORP,4464,主板貿服組）擬私下配售佔繳足資本10%股權予特定投資者，以籌措最多877萬5千令吉來重新裝修購物中心、償還銀行貸款和作為營運資本。

該公司發文告表示，建議私下配售最高7千零20萬3千股予公司大股東和相關人士，以及1家代理機構，發售價將由董事部稍後決定，但不會以較5日成交量加權平均市價（5VWAP）折價超過10%，或低於10仙面值。

假設發售價為12.5仙，將比5VWAP的13.36仙折價6.44%，料可為耐因英達機構籌得877萬5千令吉，其中275萬令吉將用來重新裝修購物中心、72萬5千令吉來租賃新辦事處，另216萬令吉和294萬令吉則用來償還銀行貸款和作為營運資本。

在完成整個計劃後，耐因英達機構繳足資本將從7千零20萬3千396令吉擴大至7千722萬3千696令吉，淨負債比將從0.27倍減至0.24倍。

大股東股權架構也將出現變化，拿督曾文秀持股將從5.53%減至5.03%，而QuantumDiscovery私人有限公司持股則從8.24%降至7.49%。（星洲日報）

文告指出，阿德阿兹任期从即日起生效。

（吉隆坡28日讯）拿督曾文秀沽清纳音英达机构（NICORP，4464，主板贸服股）所有股权，不再是大股东。

纳音英达机构向马交所报备，曾文秀上周二至周五（21日至24日）期间，以每股12.5仙的价格，逐步脱售纳音英达机构的股权。

他是通过场外交易，以总额485万令吉，脱售纳音英达机构3883万6600股，相等于缴足资本的5.53%。

收购方为纳音英达机构两名董事拿督萧瑞鑫（译音）和拿汀邱丽华，前者如今持有公司5.07%股权，后者间接持有8.79%股权。

曾文秀8月中从公司总执行长，转任为非独立非执行董事。

今天闭市时，纳音英达机构报12仙，跌0.5仙或4.35%，成交量有96万股。

房地产发展商起家的曾文秀，于2012年2月收购纳音英达机构8500万股或12.11%股权，成为大股东。

同年同月，他也晋升为丰升工业（HARVEST，9342，主板工业产品股）大股东，促使股价单日内涨升逾1.7倍，且3个月内从5仙涨至73仙。

他当年入股多家公司，曾引领一阵小型股炒风。
