AWC获3174万合约

（吉隆坡25日讯）AWC（AWC，7579，主板贸服股）从公共工程局获颁合约，以维修布城通讯与多媒体部的建筑大楼，总值3174万令吉。

AWC向交易所报备，公共工程局已接受早前由该公司所呈交的竞标书。而AWC子公司Ambang Wira私人有限公司，也已在周五接受中标函。

合约为期5年，从9月1日直至2022年8月31日。

AWC董事经理兼集团总执行长拿督阿末卡比尔，通过文告表示，公共工程局对公司的能力有信心，并将此合约颁发给公司，他心怀感激。

（吉隆坡14日讯）AWC（AWC，7579，主板贸服股）从主承包商中国中冶马来西亚公司（MCC Overseas）获颁分包合约，负责管道工程，总值3260万令吉。

AWC今日向马交所报备，旗下Qudotech私人有限公司，在8月30日接获MCC Overseas的得标书，负责8 CONLAY项目的管道工程。

位于吉隆坡武吉免登大道的8 CONLAY项目，是由Damai City有限公司所发展，将分阶段施工，包括凯宾斯基酒店、零售商店，和高档服务式公寓。

上述合约即日起生效，预计2021年5月杪竣工。

AWC获2438万工程部合约

（吉隆坡19日讯）AWC（AWC，7579，主板贸服股）获公共工程局（JKR）颁发合约，总值2438万令吉。

AWC向交易所报备，该项目是由旗下Ambang Wira私人有限公司（简称AWSB）所竞标，负责布城第3区LOT 3G3的设施管理，从10月1日起，直至2022年9月30日，为期5年。

双方将尽快签署正式合约。AWC相信，上述项目将在合约期中贡献净利。

获得此合约也意味着，公司的业务已从商业和保健领域，进一步多元化。

除了布城的合约，AWC也负责南部，如柔佛、马六甲和森美兰，以及砂拉越联邦政府的维修工作，为期10年，从去年1月1日，直至2025年12月31日。

AWC表示，一旦签署了专营权合约，在重要资产整修计划中，还会再签署一个新合约，以在期间进行维修和翻新工作。

新赢得的合约将进一步推高设施业务和公司整体的订单。

公积金晋大股东

另一方面，雇员公积金局（EPF）增持AWC 20万股，将持股率推高至5.032%，晋升成为AWC大股东。

AWC向交易所报备，EPF于上周三收购20万股，让股权持有规模扩大至5.032%或1328万4800股。

AWC业务包括提供综合设施管理服务和景观建筑服务。

（吉隆坡10日讯）AWC（AWC，7579，主板贸服股）宣布，子公司Ambang Wira私人有限公司（简称AWSB）和政府，已同意终止南湖镇综合交通总站（TBS）的设备管理合约。

AWC向交易所报备，该合约原本为期5年，总值1.3亿令吉。

如今，随着双方终止合约，AWC预计，这会冲击期间的财务表现，不过影响料不大，因为AWSB在过去三个月，已经赢得其他新合约。

AWC董事经理兼集团总执行长拿督阿末卡比尔，通过文告表示，对终止合约感到失望，不过，旗下设备臂膀已经在过去数月，赢得1亿3140万令吉的维修合约，因此，可以减轻TBS合约被终止的影响。

目前，设备业务的未完成订单企于8亿5160万令吉，相等于是2017财年设备营业额的7.4倍。

他说，这让公司处于能够持续增长的绝佳位置，因AWC将持续积极竞标更多合约。【e南洋】

Description	AWC BERHAD ("AWC" or "the Company")-        Mutual Termination Agreement ("MTA") Entered into Between The Government of Malaysia ("GOM") and Ambang Wira Sdn Bhd ("AWSB")
1. INTRODUCTION Reference is made to the following announcements released by AWC on 9 June 2016 and 26 August 2016 respectively: a) The announcement dated 9 June 2016 informing that AWC had on the same date received, accepted, and returned a Letter of Acceptance of Tender from the GOM for the facilities management of Terminal Bersepadu Selatan (“TBS”) in Bandar Tasik Selatan, Kuala Lumpur (“Original Contract”). b) The announcement dated 26 August 2016 informing that the commencement date for the maintenance of TBS had been deferred pending the resolution of certain operational and technical matters between the GOM and the existing contractor for TBS. The fee for the maintenance of TBS was approximately RM130.0 million over the maintenance period of five (5) years. AWC wishes to announce that AWSB, our wholly owned subsidiary, has on today’s date, agreed to mutually terminate the Original Contract by entering into a Mutual Termination Agreement (“MTA”) with the GOM. 2. CONDITIONS OF THE MTA The MTA is conditional that any payments made by the GOM todate shall be deemed as the full and final settlement of payment for the value of all work or services carried out or partially performed for the Original Contract by AWSB up to date. Todate, AWSB has not received any payments from the GOM for the Original Contract, and has incurred minimal expense in relation thereto. 3. FINANCIAL EFFECTS The MTA will negatively impact AWC’s financial performance over the intended duration of the Original Contract. However, the impact is expected to be minimal as AWSB has secured other new contracts over the last three months as had been previously announced. 4. DIRECTORS AND/OR MAJOR SHAREHOLDERS’ INTEREST None of the Directors and/or major shareholders of AWC and/or persons connected with them have any interest, whether direct or indirect, in the MTA. 行家建议：

合约终止并没有让我们太惊讶，因为AWC在8月26日时就公布展延开工，相信主要是先前承包商的问题。

近来，该公司赢得4项总值1亿3140万令吉的设备管理合约，和TBS的合约类似。

我们早前没有将这4项合约纳入计算，而且这些合约的价值足以弥补TBS合约的终止，因此不影响我们的订单预估和财测。

截至今年7月，AWC的未入账订单总达11亿令吉，其中5亿3700万令吉截至2019财年底。

其中，期长3年至10年的长期特许经营权合约，占未入账订单的6亿至7亿令吉，其余则为工程和环境业务合约。

我们维持“增持”评级和1.20令吉的目标价，如果能赢得更多合约，特别是自动化肥料收集系统和管道这类的较高赚幅合约，将可获上调估值。

前景挑战重重．11亿订单带动．AWC料获可持续收入

（吉隆坡22日讯）AWC设施方案（AWC，7579，主板贸服组）认为未来营运环境依然充满挑战，不过，相信在手握11亿令吉强劲订单支撑下，可为公司带来可持续收入。

AWC设施方案董事经理兼首席执行员拿督阿末卡比尔在股东大会后向《星洲财经》表示，该公司的策略是要确保公司有能力创造可持续性收入，同时加强现有资源，尤其是人才管理方面。

他补充，在过去5年，AWC设施方案的盈利皆有所增长，而公司必须加强人才管理，以增加员工生产力。

阿末卡比尔指出，相信未来国内外的营运环境依然充满挑战，而该公司所涉及的3项业务，包括综合设备管理、环境管理及工程业务也同样面对不少挑战。

尽管如此，他认为，在公司手握11亿令吉的强劲订单，同时，合约订单届满期包含短期及长期下，料可带来好的表现。

阿末卡比尔说，该公司手握的订单，其中最长期限的为尚有8年合约的特许经营权，剩余的订单则可在未来2至5年带来盈利贡献。

他补充，该公司所提呈的竞标合约则有5亿令吉。

暂无意进军海外

阿末卡比尔指出，AWC设施方案目前并没有进军其他海外市场的计划，主要还是国内业务已经应接不暇，因此将会专注国内业务。

AWC设施方案只有环境管理业务在新加坡设有办公室，其余两个业务皆以国内市场为主。

至于并购计划，阿末卡比尔指出，AWC设施方案不排除任何适合的机会，且将会选择能够加强该公司现有业务或带来协同效益的公司，不过，他不愿进一步透露是否有任何洽购计划在进行中。

询及小股东不满意AWC设施方案在2017财政年赚取高盈利，却派发比前期更少股息，阿末卡比尔指出，公司需要保留现金，以作为营运资本之用，以确保订单进度不受影响。

他认为，2017财政年每股派息2仙，派息率达24.2%，属于公平及合理范围。

探讨拟派息政策

阿末卡比尔也指出，AWC设施方案目前并没有任何派息政策，不过，董事部有商讨是否需要拟定派息政策。

AWC设施方案在2017财政年录得2201万9000令吉盈利，比较2016财政年录得1712万7000令吉盈利多；2016财政年则每股派息2.5仙。

AWC设施方案受工程业务由盈转亏和环境管理业务盈利下滑拖累，截至2017年9月30日止第一季净利由前期的543万8000令吉下滑6.90%至506万3000令吉。

AWC设施方案第一季营业额，也由前期的6712万3000令吉微跌1.37%至6620万4000令吉。

On behalf of the Board of Directors of AWC (“Board”), RHB Investment Bank Berhad (“RHB Investment Bank”) wishes to announce that AWC had on 28 February 2018 entered into the following agreements:- (i) a conditional share sale agreement (“SSA”) with Goh Poey Hong, Chong Kim Loong, Goh Tse Woei, Kong Keat Voon, Chong Chong Hong, Lim Huey Yih and Shaun Chan Thiam Eng (collectively referred to as the “Sellers”) for the proposed acquisition by AWC of 3,000,000 ordinary shares in Trackwork & Supplies Sdn Bhd (“Trackwork”) (“Trackwork Shares” or “Sale Shares”), representing 60% equity interest therein from the Sellers, for a total purchase consideration of RM43.50 million (“Purchase Consideration”) which will be satisfied through a combination of cash amounting to RM20.00 million (“Cash Consideration”) and the balance RM23.50 million through the issuance of new ordinary shares in AWC (“AWC Shares”) (“Consideration Shares”); and (ii) a shareholders’ agreement with Trakniaga Sdn Bhd (being a shareholder of Trackwork holding 40% equity interest therein) (“Trakniaga”) and Trackwork (“Shareholders’ Agreement”) for the following:- (a) to govern the management and operation of Trackwork between the shareholders of Trackwork upon completion of the Proposed Acquisition; (b) the granting by Trakniaga of a call option for AWC to require Trakniaga to dispose all the remaining Trackwork Shares held by it (“Option Share(s)”) (“Call Option”); and (c) the granting by AWC of a put option for Trakniaga to require AWC to acquire the Option Shares (“Put Option”). (The Call Option and Put Option are collectively referred to as the “Call/Put Options”). In conjunction with the Proposed Acquisition, the Company proposes to undertake a proposed diversification of the principal activities of AWC and its subsidiaries (“AWC Group”) to include rail related works as the Company envisages that the eventual contribution arising from the Proposed Acquisition will be more than 25% of the net profits of the AWC Group and as such will result in a diversification of the AWC Group’s existing core business. 购资产提振．AWC钱景看俏

（吉隆坡8日讯）AWC设施方案（AWC，7579，主板贸服组）近期收购的轨道工程公司Trackworks and Supplies，共握有1亿2000万令吉未完成合约，为每年2000万令吉盈利保障提供支持，分析员上调AWC设施方案财测和目标价。

联昌研究与管理层会面会后指出，Trackworks将为AWC设施方案，在未来两年分别提供800万和1200万令吉获利保证，因此决定上调AWC设施方案未来3年每股盈利，上调幅度介于3.7至30.4%。

同时，Trackworks目前正在竞标高达6亿令吉合约，管理层保守地估算将能赢取至少10%的订单。

该公司与行内众多公司合作，包括国家基建、捷运公司、马来亚铁道公司（KTM）及机场快铁等。

另外，AWC设施方案也有效仿英国铁路网络公司模式，向大马铁道营运者和政府介绍铁道资产管理模式，放眼管理高达15亿令吉铁道资产。

联昌认为该收购将大为提振AWC设施方案未来获利，给予“买进”评级，目标价为1令吉28仙。
