Type | Announcement | Subject | MULTIPLE PROPOSALS | Description | MEGA SUN CITY HOLDINGS BERHAD ("MEGA SUN" OR THE "COMPANY")(I) PROPOSED PRIVATE PLACEMENT; AND(II) PROPOSED BY-LAWS AMENDMENTS(COLLECTIVELY REFERRED TO AS THE "PROPOSALS") | On behalf of the Board of Directors of Mega Sun, Mercury Securities Sdn Bhd wishes to announce that the Company proposes to undertake the following:-
(i) private placement of up to 82,661,000 new ordinary shares in Mega Sun, representing 30% of the total number of issued shares of the Company, to independent third-party investor(s) to be identified later at an issue price to be determined later (“Proposed Private Placement”); and
(ii) proposed amendments to the by-laws governing the existing employees’ share option scheme of the Company (“Proposed By-Laws Amendments”).
(i) and (ii) above are collectively referred to as the “Proposals”.

On behalf of the Board, Mercury Securities wishes to announce that the Board has decided to revise the maximum discount for the Placement Shares from not more than 10% to not more than 20% to the 5-day VWAP of the Shares immediately preceding the price-fixing date to provide more flexibility to the Company when fixing the issue price of the Placement Shares. With this, the Company expects to be able to procure investor(s) more easily, depending on prevailing market conditions at the relevant time.
