SUNWAY BERHAD ("SUNWAY") - SETTLEMENT AGREEMENT BETWEEN SUNWAY HOLDINGS SDN BHD (A WHOLLY-OWNED SUBSIDIARY OF SUNWAY) AND LIM POH LO, LAU CHOR GEOK, LIM HWEE GUAN, KHOO CHAI EE, KHOO CHAI PEK AND PENG GAI HOCK (COLLECTIVELY, "ORIGINAL SHAREHOLDERS")
We refer to our announcements dated 9 April 2015 and 15 January 2016 in relation to the Share Sale Agreement dated 9 April 2015 (“SSA”) (as amended by the Supplemental Agreement dated 30 June 2015 and the Second Supplemental Agreement dated 15 January 2016) made between Sunway Holdings Sdn Bhd (“SunHoldings”), a wholly-owned subsidiary of Sunway and the Original Shareholders for the sale and purchase of 500,000 ordinary shares, representing 100% of the total issued and paid-up share capital of PND Hardware & Trading Pte Ltd (“PND”) at an estimated purchase consideration of approximately S$2,567,192/-.

The Board of Directors of Sunway hereby announce that SunHoldings has on 11 August 2017, entered into a Settlement Agreement in relation to the SSA with the Original Shareholders whereby the parties agree, amongst others, to the following:-

(1) the parties shall release each other from performing the second and third tranche of sale and purchase of ordinary shares in PND under the SSA;
(2) SunHoldings agrees to sell the first tranche of 300,000 ordinary shares in PND (“Sale Shares”) to the Original Shareholders at the same price which it had paid to the Original Shareholders under the SSA (i.e. S$1,540,315.20);

(3) the sale and purchase of the Sale Shares is conditional upon the completion of the sale of the land held under Lot 1666 of Mukim 7 together with a factory building within such lot and known as 13 Gul Link, Singapore 629383 (“Excluded Asset”) by PND to ELIM Pte Ltd for a cash consideration of S$3,000,000 pursuant to the terms and conditions of the Option to Purchase dated 24 March 2017;

(4) the sale and purchase of the Sale Shares shall complete within 30 days from the completion of the sale and purchase of the Excluded Asset; and
(5) Upon the completion of the sale and purchase of the Sale Shares and payments made by the Original Shareholders, the SSA shall be terminated and the parties shall not have any further rights and remedies under the SSA.

双威加影买地遇阻

(吉隆坡11日讯)双威(SUNWAY,5211,主板贸服股)指出,接获Steelwell发展私人有限公司致函,要求该公司暂停以6300万令吉收购加影地皮的计划。

本月1日,双威以6300万令吉收购位于加影,面积大约2万4281平方米的地皮及半完成的商场,进行综合发展项目,发展总值达4.6亿令吉。

双威向交易所报备,昨日收到Steelwell发展的信函,声称加影土地卖方Concept Housing发展(大马)私人有限公司事前已有协议,因此双威必须得到Steelwell发展的同意,方可进行该地皮交易。

针对此事,双威将征询法律意见。【e南洋】

We refer to our announcement on 1 August 2017 regarding the Sale and Purchase Agreement (“SPA”) entered into between Concept Housing Development (M) Sdn Bhd (“Concept Housing") and Daksina Harta Sdn Bhd ("Daksina"), a subsidiary of Sunway, for the sale and purchase of a freehold land held under Geran No. 47813, Lot No. 1, Mukim Kajang, Daerah Ulu Langat, Negeri Selangor measuring approximately 24,281.1 square metres (before taking into account/deducting the portion of the land that was compulsorily acquired by the relevant authority measuring 2,928 square metres) (“the Land”) together with a partially completed commercial complex comprising a 3-storey podium (3 units of office space) including 1 unit of Tenaga Nasional Berhad substation, a 20-storey office Block A (17 units of office space), a 12-storey office Block B (9 units of office space) and a 10-storey car park (“the Buildings”) free from encumbrances and with vacant possession for a total purchase consideration of RM63,000,000/- (excluding Goods and Services Tax) (“Proposed Property Acquisition”).  The Land and the Buildings are collectively referred to as "the Property".

We received a letter yesterday evening from the solicitors for Steelwell Development Sdn Bhd ("Steelwell") claiming that Steelwell's consent is required for the sale of the Property by Concept Housing as there was a settlement agreement between Concept Housing and Steelwell and that Daksina is not to take any further action under the SPA until settlement between Concept Housing and Steelwell with regards to the Property.

We are currently seeking legal advice in relation to our rights under the SPA.

(吉隆坡11日讯)双威(Sunway Bhd)今日宣布,委任前首相署部长兼表现管理及传递单位(PEMANDU)总执行长拿督斯里依德利斯贾拉为联合主席。

双威指出,也是国家转型计划中首相顾问的依德利斯,现在是该公司的新任独立非执行董事。

根据该集团今日向大马交易所的报备,这项变动立即生效。

1年5度购地发展
双威扩地库陆续有来

(吉隆坡17日讯)双威(SUNWAY,5211,主板贸服股)在吉隆坡再增地皮,被分析员称为“扩地库年”,虽然今年已增加55亿令吉的发展总值,但分析员相信接下来会有更多购地交易,也不排除会进一步脱售资产。

昨日,双威向交易所报备,与Huatland发展私人有限公司签署一项联营协议,以5107万令吉收购位于吉隆坡旺沙玛朱面积达4.34英亩的地皮,这是集团在今年内收购的第5片地皮。

双方将通过联营公司Sunglobal资源私人有限公司,联手在该地皮进行一项综合发展项目,主要是服务公寓,还有一些具备生活风格的零售单位,预计发展总值为5亿令吉。

近旺沙玛朱商场

这项发展计划为期5年,预计从2018年下半年开始推出。

新购的地皮,落在旺沙玛朱迅速发展地区,距离吉隆坡市中心不到8公里,而Wangsa Walk Mall购物中心及AEON BIG等设施,则在1.5公里的范围之内。

这项发展的产业单位,平均售价约55万令吉,将可达到可负担房屋客户的需求,这将与双威目前的供应相辅相成,因为集团目前没有提供太多类似价格范围的产品。

瞄准可负担市场

大马研究分析员对这项购地及发展计划感到正面,同时,认为这项发展计划是瞄准可负担市场,这也是目前需求最稳定的市场,加上地皮处于策略地点,预计可从便捷的公共交通实施受惠。

分析员也认为,收购价为每平方尺270令吉属合理价位,因落在旺沙玛朱地皮的询问价,一般介于165令吉至330令吉。

“由于预计在明年底推出该项目,因此我们预计,要到2020年财年,才能够为双威贡献显著净利。”

同时,MIDF研究分析员预计,住宅单位的可负担售价水平,可支撑认购率。

双威计划通过内部融资及贷款,为这项收购计划融资。

MIDF研究分析员认为,双威截至2017财年首季持有40亿令吉现金,所以融资不是问题。

“我们预计,双威的净负债率,将从截至首季的0.47倍,略提高至0.48倍。”



未入账销售14亿

肯纳格投行分析员相信,接下来双威将继续增购更多地皮。

“基于强劲的未入账销售达14亿令吉及具备2年的能见度、强稳的未完成合约订单达46亿令吉,提供2至3年能见度,以及其他部门也在过去数年取得亮眼增长,所以,我们有信心双威可在本财年,交出良好的净利表现。”

不过,分析员点出,疲弱的首季销售达1亿4200万令吉,低于他们及管理层目标的11亿令吉,这依然是一项忧虑。

此外,预计管理层在5年内考虑把医疗业务分拆上市。【e南洋】

双威次季净利涨28%
派息7仙


2017年8月30日
(吉隆坡29日讯)除了采石业务,旗下的所有业务贡献提高,激励双威(SUNWAY,5211,主板产业股)截至6月杪次季,净利按年上涨27.59%;并宣布派息每股7仙。

次季净利为1亿9694万3000令吉,或每股9.62仙;上财年同期净利为1亿5436万2000令吉,或每股7.82仙。

同期营业额,也从上财年的11亿5568万8000令吉,按年上涨7.38%至12亿4095万4000令吉。

半年赚3亿

累计首半年,净利按年增加18.87%,至3亿485万5000令吉;同期营业额则按年涨4.84%,至23亿3229万4000令吉。

另外,该公司也宣布派发每股7仙的股息,并会在稍后宣布享有权益及支付日期。

虽然本地房产市场依然在巩固,不过,有迹象显示市场已开始触底。

在合适的地点拥有合适的产品,双威相信公司今年即将推出的新房产项目,可录得不错的销售额。

扩大巴生谷地库

该公司将使用其强稳的财务状况,扩大巴生谷的地库。

目前疲软的房产市场,让公司有机会以合理的价位,在黄金地段收购数片土地。

基于以上原因及如无意外,双威预计今年将继续交出令人满意的业绩表现。

截至今年6月杪,产业未入账销售为12亿令吉,未完成建筑订单为43亿令吉。【e南洋】

The Board of Directors of Sunway is pleased to announce the declaration of a first single tier interim dividend of 7 sen per ordinary share in respect of the financial year ending 31 December 2017. The entitlement and payment dates in respect of the aforesaid dividend will be determined and announced in due course.

As per the announcement made by Kenanga Investment Bank Berhad for and on behalf of the Board of Directors of Sunway on 14 June 2017, the Company has proposed to undertake a bonus issue of new ordinary shares on the basis of four (4) Bonus Shares for every three (3) existing Sunway Shares held, and a bonus issue of free warrants on the basis of three (3) warrants for every ten (10) existing Sunway Shares held. In the event the entitlement date for the proposed bonus issue of shares and warrants is prior to the entitlement date for the first single tier interim dividend, the aforesaid dividend of 7 sen per share will be adjusted accordingly to 3 sen per share to take into consideration of the enlarged number of shares of the Company following the proposed bonus issue of shares.

(吉隆坡30日讯)双威(SUNWAY,5211,主板贸服组)委任拿督依德利斯担任联合主席一职,借助转型专长,将该公司迈向新的发展,除了探讨涉及科技的新业务,也伺机通过并购进一步拓展公司业务。

推升业务

双威主席兼创办人丹斯里谢富年在股东特大后表示,他期望透过依德利斯在商场的经验,以让双威业务更上一层楼。

“我们现有的业务做得不错,但需要寻找新的业务发展,以提振后续的成长。”

依德利斯曾担任首相署部长、主要负责表现管理和履行单位(PEMANDU),他亦曾出任马航首席执行员,曾促使马航转亏为盈。

双威总裁拿督周志坚表示,公司正在物色科技领域,因科技创新莅临,公司正在审视科技如何促使公司走向更具备竞争力。

谢富年说:“我们不能只是坐着等而什么都不做,所以希望进军科技领域,以加强公司的表现。”

谢富年透露,公司正在洽谈新业务,以加强现有及核心的业务表现,惟他拒绝透露更多详情。

“我们经常都会拓展核心业务,除了内部成长,也会透过合并或收购的方式完成,。”

针对正在拓展中的医疗业务,谢富年说,双威白沙罗、槟城与柔佛双威伊斯干达医院已经获得相关执照。

该公司董事经理谢燕蒂补充,槟城的医院正在建造中,槟城医院预期在2020年杪可竣工。

冀医疗业务分拆上市

医疗业务属于“朝阳”业务,该公司未来3至4年内,将把医疗业务分拆。

在产业方面,谢燕蒂说,公司今年已经收购了5片地库,主要集中的中部地区,发展总值为5亿5000万令吉,可供未来3年至5年的发展。“公司将持续物色中部地区的地库,并注重公共交通导向发展(TOD)。”

有关建筑业务,该公司每年的竞标合约总数介于100亿至150亿令吉,从过往得标率来看,每年可攫取新合约的总值为15亿至25亿令吉左右,得标率介于10至20%。

谢富年补充,上述合约并不包括公司内部合约。该公司也会在区域国家如中国、缅甸及印尼寻求更多的机会。“我们的目标,是将建筑业务成为大马三甲的建筑公司。”

(吉隆坡12日讯)趁着房产市场仍滞缓,双威(SUNWAY,5211,主板产业股)计划抓住有利时机购买更多地皮。

双威集团新马区房地产发展部门董事经理谢燕蒂指出:“我们继续致力拓展地库,尤其是市中心或是低价值地皮,以开拓公共交通导向发展(TOD)项目。”

她今日在双威伟乐城酒店推介礼后,向记者透露上述消息。

她补充,年初至今该公司已收购位于巴生谷的5块地皮,发展总值高达5亿5000万令吉,其中包括加影和旺莎玛珠,可供未来3至5年发展。

强攻医疗业

“我们冀望拥有多元化的地点,将专注基建项目周边和具有增值效益的地块,例如捷运与轻快铁附近。”

截至目前,双威地库逾3330英亩,主要坐落在巴生谷、柔佛、槟城、新加坡和中国,发展总值为550亿令吉。

另外,谢燕蒂放眼医疗旅游业日益增长,将致力扩展属于朝阳业务的医疗领域。

她说:“总值为3亿令吉的蕉赖双威伟乐城医疗中心,料在明年首季竣工。”

目前,位于八打灵再也双威镇的双威医疗中心,医疗旅游的客户来自新加坡、印尼和中国等。

至于酒店业务,双威目前专注于大马,但也会评估海外的拓展机会。【e南洋】

1. INTRODUCTION
The Board of Directors of Sunway Berhad (“Sunway”) wishes to announce that Sunway Parkview Sdn Bhd (“Sunway Parkview”), a 60%-owned subsidiary of Sunway, has established a Medium Term Notes Programme of up to RM999.0 million in nominal value (“MTN Programme”) and made the first issuance of medium term notes (“MTNs”) of RM300.0 million (“Tranche 1 MTNs”) on 29 September 2017.

Sunway Parkview had on 22 September 2017, lodged with the Securities Commission Malaysia, the required information and relevant documents relating to the MTN Programme pursuant to the Guidelines on Unlisted Capital Market Products Under the Lodge and Launch Framework.

Public Investment Bank Berhad is the Principal Adviser and Lead Arranger for the MTN Programme.

2. DETAILS OF THE MTN PROGRAMME AND TRANCHE 1 MTNS
The MTN Programme shall have a tenure of up to 30 years from the date of the first issue which allows Sunway Parkview to issue different tranches of MTNs from time to time.

The Tranche 1 MTNs are issued in four (4) series with tenure of between nine (9) to twelve (12) years. The Tranche 1 MTNs are guaranteed by Sunway up to 60% of the indebtedness and are secured by amongst others, charge over lease on ten (10) parcels of adjoining development land (“Lands”) earmarked for residential and commercial use and measuring approximately 152.73 acres in total held under issues document of titles PTD 200666, PTD 200682, PTD200683, PTD 200686, PTD 200687, PTD 200688, PTD 200689, PTD200690, PTD 200693 and Lot 165128, all in Tempat Medini Iskandar Zon F, Mukim Pulai, Daerah Johor Bahru, Johor.
The MTNs issued under the MTN Programme are unrated, non-tradable and non-transferable.

3.   UTILISATION OF PROCEEDS
The proceeds from the Tranche 1 MTNs shall be utilised to part finance or reimburse Sunway Parkview’s cost of acquiring the lease(s) over the Lands from Sunway Iskandar Sdn Bhd.

In respect of the remaining tranches of MTNs (“Remaining Tranches MTNs”), the proceeds of the Remaining Tranches MTNs shall be utilised to finance or reimburse the development expenditure of Sunway Parkview or its related corporations in relation to the development project over the Lands and other property project as may be mutually agreed between Sunway Parkview, the Tranche 1 MTNs holder (in the case where Tranche 1 MTNs holder is an existing MTNs holder at the time of each issuance) and the prospective subscribers of that Remaining Tranches MTNs.

我有1500 股,但從27.9到現在,我沒有看到什麼動靜,反而之前在  4.18 買進的股票,賬面價值跌了50%++
