Type | Announcement | Subject | OTHERS | Description | WAH SEONG CORPORATION BERHAD ("WSC" OR "THE COMPANY")- DISTRIBUTORSHIP AGREEMENT ENTERED INTO BETWEEN WDG RESOURCES SDN BHD, AN INDIRECT 60%-OWNED SUBSIDIARY OF THE COMPANY AND DOOSAN INFRACORE CO., LTD. | The Board of Directors of Wah Seong Corporation Berhad (“WSC”) is pleased to announce that its indirect 60%-owned subsidiary, WDG Resources Sdn Bhd (“WDG”) has on 22 March 2019, entered into a Distributorship Agreement with Doosan Infracore Co., Ltd. (“DOOSAN”), a company duly incorporated in accordance with the laws of South Korea, for the appointment of WDG as an exclusive distributor of DOOSAN construction equipment (“Products”) within East (Borneo) Malaysia for the sales and services of the Products and to promote sales of the Products through mutual cooperation (“Borneo Distributorship Agreement”).
With the completion of the signing of the Borneo Distributorship Agreement, WDG will be the exclusive distributor for DOOSAN in both West and East Malaysia accordingly. WDG had on 1 June 2017 entered into the Distributorship Agreement with DOOSAN for the exclusive distributorship in West (Peninsular) Malaysia.
WDG is principally involved in the manufacturing, fabrication, trading, distribution and service of industry machinery, equipment and parts.
The Borneo Distributorship Agreement shall remain effective until 31 December 2020, unless otherwise terminated by the parties and the term shall be extended by written agreement by the parties upon the terms and conditions as are stipulated in the Borneo Distributorship Agreement.
The Distributorship is expected to contribute positively to the earnings of WSC Group over the period of the Borneo Distributorship Agreement.
Save and except for the interest of Mr. Chan Cheu Leong and Mr. Chan Wei Keat, a person connected to him, none of the other Directors, major shareholders of WSC and/or persons connected to them have any interest, direct or indirect, in the Borneo Distributorship Agreement.

Wasco CPM is principally involved in engineering, procurement and construction of onshore and near shore of hydrocarbon, water and slurry pipelines and associated facilities.
ECSB is a private limited company incorporated in Malaysia on 6 December 2016 and having its registered office at No. 36B, 2nd Floor, Jalan Tun Mohd Fuad 2, Taman Tun Dr Ismail, 60000 Kuala Lumpur. The total issued and paid-up share capital of ECSB is currently RM10,000.00 comprising 10,000 ordinary shares. ECSB is principally involved in engineering, procurement, construction and commissioning (EPCC) of pipelines for the oil and gas industry.
CPMC, is a company incorporated in Malaysia and having its registered office at SOHO Suite @ KLCC, 41st Floor, Suite 2, No. 20, Jalan Perak, 50450 Kuala Lumpur and holds 9,500 ordinary shares (“ECSB Shares”) which is equivalent to 95% of the equity interest in the total number of issued and paid-up share capital of ECSB. CPMC is principally involved in engineering, procurement and pipeline construction for the oil and gas industry.
Upon the completion of the Acquisition, ECSB shall become a 95%-owned subsidiary of Wasco CPM and an indirect subsidiary of the Company.
The Acquisition is not expected to have any material effect on the earnings, net assets and gearing of WSC for the financial year ending 31 December 2019.
None of the Directors, major shareholders of WSC and/or persons connected to them have any interest, direct or indirect, in the abovesaid Acquisition.
