Type | Announcement | Subject | OTHERS | Description | MGB BERHAD ("MGB" or "THE COMPANY") - UPDATE ON JOINT VENTURE AGREEMENT WITH SANY ALAMERIAH INDUSTRIAL, KINGDOM OF SAUDI ARABIA | Reference is made to the Company’s announcements dated 27 July 2023 and 8 February 2024 in relation to into the Joint Venture Agreement (“JVA”) between MGB International For Industry (“MGBI”), an indirect wholly-owned subsidiary of the Company with SANY Alameriah Industrial (“SA”), a branch of SANY Alameriah For Construction Co., Ltd..
The Board of Directors of MGB Berhad (“MGB” or “the Company”) wishes to update that MGBI had on 10 March 2025 accepted two (2) Purchase Orders from SA for a total of approximately Saudi Riyals Seventy-Five Million Sixty Three Thousand One Hundred and Eight (SAR 75,063,108.00) (equivalent to approximately Ringgit Malaysia Eighty Eight Million Five Hundred Seventy Four Thousand Four Hundred Sixty Seven and Cent Forty-Four (RM88,574,467.44) at foreign exchange rate of 1.18), in relation to a contract signed between SA and Shapoorji Pallonji Mideast L.L.C. with Commercial Registration No. 1010280219, a limited liability company incorporated in the Kingdom of Saudi Arabia (“SPM”) for the supply and installation of precast elements for Al Arous - Phase 1 single family residential units – Zone B & C and public amenities within the prestigious ROSHN ALAROUS development located north of Jeddah, the Kingdom of Saudi Arabia (“KSA”). Other scope of work includes design & build, engineering, fabrication and rectification, amongst others. The supply and installation of the precast concrete products, estimated to comprise 42,000 cubic metres of precast concrete products, equivalent to 326 units of properties (“Purchase Order”).
The ROSHN ALAROUS development, nicknamed “The Bride of the Red Sea”, will offer more than 2,200 single family units, as well as pedestrian-friendly streets and neighbourhoods, green spaces alongside retail, sports and other recreational amenities. ROSHN is a national real estate developer in the KSA, backed by the Public Investment Fund, which is the sovereign fund of the KSA with over USD700 billion in assets under management.
The entire scope of supply and installation of precast elements shall be completed within fourteen (14) months from the commencement date, which is the date of issuance of bank guarantee to SPM.
SPM is a subsidiary of Shapoorji Pallonji International (“SPINT”), the international arm of Shapoorji Pallonji Engineering & Construction (“SP E&C”), which operates under Shapoorji Pallonji And Company Pvt. Ltd., that specialises in comprehensive end-to-end solutions in engineering and construction projects outside India.
The Purchase Order will have no effect on the share capital and shareholding structure of the Company but it is expected to contribute positively to revenue and gross profit of the Company.
None of the Directors, major shareholders and/or chief executive of the Company and/or persons connected with them has any interest, direct or indirect in the Purchase Order.

BHD. | (For consistency purposes, the abbreviations and definitions used throughout this announcement shall have the same meanings as those previously defined in the announcement dated 5 August 2019, where applicable, unless stated otherwise or defined herein.)
Reference is made to the Company’s announcement dated 5 August 2019 in relation to the Joint Venture Agreement (“JVA”) entered into between Sinaran Kencana Sdn. Bhd. (“SKSB”), an indirect wholly-owned subsidiary of the Company, and Aset AZG Sdn. Bhd. (“AASB” or “Landowner”)
The Board of MGB Berhad (“MGB” or “Company”) wishes to update that as of the date of this announcement, SKSB has yet to commence any development on the Development Land. Pursuant to the JVA, AASB has confirmed that AASB has paid for the land cost and vesting the registrable ownership of the Development Land in favour of AASB in the total sum of Ringgit Malaysia Eleven Million Four Hundred Forty-Six Thousand Two Hundred (RM11,446,200.00) only (“Land Costs”). SKSB further confirmed that as at the date of the JVA, SKSB has made partial payment of the Land Costs to AASB amounting to Ringgit Malaysia Five Million Five Hundred Thousand (RM5,500,000.00) only. SKSB and AASB (SKSB and AASB collectively referred to as “Parties”) have mutually agreed that SKSB shall make the reimbursement of the balance Land Costs in respect of the Development Land to AASB in the sum of Ringgit Malaysia Five Million Nine Hundred Forty-Six Thousand and Two Hundred (RM5,946,200.00) only (“Balance Land Costs”) together with the interest for non-development of the Development Land in the fixed sum of Ringgit Malaysia One Million Two Hundred Eighty-Three Thousand Three Hundred and Forty (RM1,283,340.00) only (“Agreed Interest”).
In connection with the above, SKSB has on 22 April 2025 entered into a Settlement Agreement with AASB for the proposed settlement of the Balance Land Costs and Agreed Interest of totalling Ringgit Malaysia Seven Million Two Hundred Twenty-Nine Thousand Five Hundred and Forty (RM7,229,540.00) only (“Full and Final Settlement”), subject terms and conditions as stipulated in the Settlement Agreement (“Proposed Settlement”).
Further details of the Proposed Settlement are set out in the attachment enclosed.
