(吉隆坡13日讯)尽管亚通(Axiata Group Bhd)和Telenor ASA取消了合并,但亚通移动臂膀天地通亚通(Celcom Axiata Bhd)表示,为了保持通讯业的可持续性,马来西亚移动网络业者最终将会整合。
天地通总执行长Mohamad Idham Nawawi表示,通讯市场竞争越来越激烈,从长远来看,“超竞争”可能对市场产生负面影响,因为通讯公司不断需要大量资金再投资于其网络。
因此,他表示,市场力量将导致通讯公司整合以求生存。
Mohamad Idham昨日在天地通业务表现媒体汇报会上说:“如果你看一下周边的其他市场,你会发现每个市场已经整合到大约三个到最多四个运营商。这是全球趋势。”
“(问题是)以我们当前的业者数量,市场能否持续。”
他补充说:“我认为,(通讯公司)迟早会整合,或者必须整合。因为很难让所有业者都保持盈利,或者能够获利并继续投资。这是一个小市场。”
作为一家资本密集型企业,Mohamad Idham列举了当前通讯业的一些问题,例如需要持续的高投资来维持其服务、竞争相同和有限数量的用户,以及对难以跟上的新技术的需求不断增长。
询及政府是否应该干预,以鼓励领域整合时,他说:“不管怎样,市场会照顾好自己。”
Mohamad Idham发布上述评论,是因为天地通的母公司亚通及Telenor ASA(数码网络最大股东Telenor Asia Pte Ltd的母公司)双方同意终止洽谈合并亚洲通讯与基建设施资产。
经过4个月的精密审核,亚通及Telenor上周五决定终止合并,因合并涉及“一些复杂问题”。虽然双方都承认合并具有强大的商业价值,但它们没有进一步说明合并失败的原因。
运作如常
Mohamad Idham昨日拒绝就合并失败发表评论,称他不能代表亚通这样做,但坚称天地通“运作如常”。
他补充说:“我认为,这是股东之间的事情。是的,当然,如果成功交易,它涉及天地通,但更多是由股东驱动。我不认为我能比亚通说更多。”
天地通财务总监黄翠芬补充说,即使首次公布合并计划时,该公司也没有停止今年的任何计划。

尽管竞争越来越剧烈,但天地通在截至今年6月杪首半年获得3亿6500万令吉税后归属股东净利(PATAMI),比去年同期的3亿2700万令吉,增加了11.7%,得益于持续成本优化。
然而,营业额从36亿1000万令吉,下跌7.9%至33亿3000万令吉,主要是调整批发价格所致。移动服务收入也从30亿2000万令吉,下降4.1%至28亿9000万令吉。
对于2019财年,黄翠芬表示,天地通已拨出大约10亿令吉资本开销,其中上半年已花费大约3亿令吉推出LTE网站、频谱重组及继续网络现代化。2016至2018财年资本开销分别是13亿3000万令吉、12亿8000万令吉及10亿6000万令吉。
该通讯公司声称拥有马来西亚最强大和最大的网络,4G人口覆盖率为93%,而4G LTE-A覆盖率则增加到81%。在2018年第二季度,天地通的LTE覆盖率为89%,而LTE-A的覆盖率为76%。
目前,天地通在全国拥有超过1万1000个站点,包括9000个LTE站点。该通讯公司还声称在10个州拥有超过96%的LTE人口覆盖率,包括槟城、雪兰莪、柔佛和霹雳。
展望未来,Mohamad Idham表示,天地通将通过“智能投资”进一步加强对盈利能力和卓越运营的关注,其中包括以更低的运营成本不断提升网络基础设施,以及探索增长和创新的新领域。
他补充说:“我们建立了一个非常强大的网络。现在的问题是我们接下来应该在哪里投资、如何进一步加强网络、何时何地升级及投资等等。”

Rationale for the Voluntary Liquidation and Dissolution of Subsidiaries of ADAS - The Voluntary Liquidation and Dissolution of Subsidiaries of ADAS is a formal dissolution and liquidation of redundant and unused entities.
- All activity for AAS in Singapore has been transferred to another Singapore entity, ADAS in 2018. Hence, there are cost savings arising from administration and compliance fees in maintaining only one local entity.
- ADK HK has always been an investment holding and had not been actively trading. Hence, there will be cost savings from administration and compliance fees upon ADK’s liquidation.
- KAH has always been an investment holding and had not been actively trading. Hence, there will be cost savings from administration and compliance fees in maintaining only one local entity.
- All activity for KNPI in Philippines has been transferred to another Philippines entity, ADA Digital Philippines Inc, a subsidiary of ADAS in 2017. Hence, there are cost savings arising from administration and compliance fees in maintaining only one local entity.
Financial or Operational Effects of the Dissolution
The Voluntary Liquidation and Dissolution of ADAS subsidiaries will not have any financial or operational effect on Axiata Group.

Axiata wishes to inform that the Tribunal in the BIT Arbitration has today, granted Axiata UK and Ncell’s application for a Provisional Measures Order (“PMO”) ordering that Nepal, its agencies and officials, including the Large Taxpayer Office of Nepal (“LTPO”) and the Inland Revenue Department ("IRD"), be restrained (until an Award or a reconsideration by the Tribunal of its decision) from:
a) taking any steps to enforce or otherwise give effect to the demand letter served by the LTPO against Ncell dated 6 December 2019 in which the LTPO demanded that Ncell pay NPR 22,445,397,955.05 in allegedly outstanding capital gains tax (including interest and penalties) in connection with the sale by TeliaSonera Norway Nepal Holdings AS to Axiata UK of 100% of the share capital of Reynolds Holdings Limited in 2016; and
b) taking any steps which would alter the status quo between Axiata UK, Ncell and Nepal or aggravate the present dispute.
Nepal and its agencies and officials (including the LTPO and the IRD) are obliged under international law to comply with the PMO.
