This announcement should be read in conjunction with the earlier announcement dated 8 April 2016 ("Announcement"). The terms used herein, unless the context otherwise stated, bear the same meaning as those defined in the Announcement.

The Board of Directors of HCK is pleased to announce that HPBSB, an indirect 70% subsidiary of HCK, has on 18 May 2016 entered into a JVDA with DBSB for the development of 147 terrace houses, 18 semi-detached houses and 144 apartment units at Lot 946 of Block 6 Matang Land District, Kuching, leasehold land containing approximately 22.45 acres.

向许志国等购3公司
HCK资本发新股筹7343万


2016年6月7日
(吉隆坡6日讯)为拓展核心业务,HCK资本(HCK,7105,主板产业股)通过发行新股方式,向大股东兼执行主席丹斯里许志国等人,购入3家公司。

根据文告,HCK资本和独资子公司HCK产业于上周五(3日),和许志国及执行董事许道隆签署有条件股权买卖协议,以1158万1039令吉全购Andaman Daya私人有限公司(ADSB)的100%股权。

这项收购计划将通过发行HCK资本每股的454万1583新股支付。

接着,HCK产业向许志国及HCK资本人力资源和行政部高级经理刘亿玲(译音),出价229万517令吉全购Fidelity Ventures私人有限公司(FVSB)的股权,以及偿还FVSB拖欠许志国旗下Joyview产业(JPSB)的5483万9983令吉,各别通过发行HCK资本的89万8242万股和2150万5875股新股支付。

许志国持股增至71%

另外,HCK产业向HCK资产,以现金2令吉收购USAS管理私人有限公司(UMSB)的100%股权,再承接后者拖欠许志国总数471万4000令吉的债务,同样以发行HCK资本184万8628股新股支付。

所有新股的发行价为每股2.55令吉,相等于总值7343万令吉。

一旦完成收购,ADSM、FVSB和UMSB将成为HCK产业的独资子公司。

同时,许志国的持股权也将从55.23%提高至70.54%。

ADSB主要业务是产业投资和产业管理,在雪州雪邦拥有一块35.47英亩的租赁商业空地,估值3770万令吉。

FVSB主要从事投资控股和产业贸易,旗下独资子公司为JPSB,同时拥有一栋位于雪州梳邦的服务式办公楼,兴建进展达40%,估计在明年次季竣工,其中50.1%的单位已售出。

至于UMSB则在雪州士毛月持有一块面积35.25英亩的地段,市值4607万令吉。

转型产业相关业务

HCK资本指出,公司自去年9月脱售涉及工业机械设计、制造和安装的Golsta公司后,从主板工业产品股转换组别至产业股,以反映出公司新的核心业务为产业贸易、产业投资和产业发展。

该公司建议的这一系列收购计划,符合持续在巴生谷和其他策略地点,寻求合适和可行的收购机会,包括收购地库和产业项目,以扩大公司的业务。

On behalf of the Board of Directors of HCK ("Board"), RHB Investment Bank Berhad ("RHBIB") is pleased to announce the following proposals:-

i.  HCK and HCK Properties, a wholly-owned subsidiary company of HCK had, on 3 June 2016 entered into a conditional share sale agreement with Tan Sri Clement Hii and Clifford Hii (collectively referred to as the "Vendors of ADSB") ("ADSB SSA") for the proposed acquisition by HCK Properties of 15,000,000 ADSB Shares ("ADSB Sale Share(s)"), representing 100% of the equity interest in ADSB, for a total purchase consideration of RM11,581,039 ("ADSB Purchase Consideration") to be satisfied entirely via the issuance of 4,541,583 new HCK Shares at an issue price of RM2.55 per HCK Share ("ADSB Consideration Shares");

HCK and HCK Properties had, on 3 June 2016 entered into a conditional share sale agreement with Tan Sri Clement Hii and Liew Ik Ling (collectively referred to as the "Vendors of FVSB") ("FVSB SSA") and a deed of assignment with Tan Sri Clement Hii ("JPSB DOA") for the proposed acquisition by HCK Properties of 2,500,000 FVSB Shares ("FVSB Sale Share(s)"), representing 100% of the equity interest in FVSB and the assumption of advances owing to a director of FVSB's wholly-owned subsidiary company, JPSB, for a total consideration of RM57,130,500 ("FVSB Total Consideration") comprising a purchase consideration of RM2,290,517 for the FVSB Sale Shares ("FVSB Purchase Consideration") to be satisfied entirely via the issuance of 898,242 new HCK Shares at an issue price of RM2.55 per HCK Share ("FVSB Consideration Shares") and the assumption of advances owing to a director of JPSB, namely Tan Sri Clement Hii, of RM54,839,983 ("Advances in JPSB") ("JPSB DOA Consideration") to be satisfied entirely via the issuance of 21,505,875 new HCK Shares at an issue price of RM2.55 per HCK Share ("JPSB DOA Shares"); and

HCK and HCK Properties had further on 3 June 2016 entered into a deed of assignment with Tan Sri Clement Hii ("UMSB DOA") for the assumption of advances owing to a director of UMSB, namely Tan Sri Clement Hii, of RM4,714,000 ("Advances in UMSB") ("UMSB DOA Consideration" and collectively with the UMSB Purchase Consideration, "UMSB Total Consideration") to be satisfied entirely via the issuance of 1,848,628 new HCK Shares at an issue price of RM2.55 per HCK Share ("UMSB DOA Shares").

The Board of Directors of HCK wishes to announce that its wholly owned subsidiary, HCKP, has on 15 July 2016 acquired 2 ordinary shares of RM1.00 each, representing 100% of the total issued and paid up share capital of VRSB at par for cash from Shairah Begum Binti Kadar Bashah and Norulhuda Binti Abu Bakar (“the Acquisition”).

VRSB is a private limited company incorporated in Malaysia under the Companies Act, 1965 on 6 June 2016. It has an authorised capital of RM400,000.00 divided into 400,000 ordinary shares of RM1.00 each, of which 2 shares have been issued and fully paid up. The intended principal activity of VRSB is property trading and related business.

The Acquisition was funded through internally generated funds and it is not expected to have any immediate material impact on the earnings, net assets and gearing of HCK Group for the financial year ending 31 December 2016.

None of the directors and major shareholders of HCK and its subsidiaries and/or persons connected with them, have any interest, direct or indirect, in the Acquisition.

發展值高達80億 HCK資本3年推出9計劃

(吉隆坡29日訊)HCK資本集團(HCK,7105,主要板工業)計劃在未來3年內推出9項綜合發展計劃,總發展值將高達80億令吉,涵蓋住宅、商業及工業單位。

HCK資本集團執行董事克里福希指出,上述住宅及商業項目將坐落在吉隆坡滿家樂北部、古晉馬當(MATANG)、怡保、雪蘭爾的賽城、士毛月、實達安南(Setia Alam)及雙溪毛糯;工業項目則計劃建在古晉的慕拉德巴(MUARA TEBAS)。

克里福希向“馬新社”指出:“上述項目看好可刺激HCK資本集團的聲譽及願景,並期望可崛起成為房地產領域的大型業者。”

發展綜合教育項目

報導指,HCK資本集團一共擁有超過80.94公頃地庫。

另外,HCK資本集團房地產部門總營運長馮鵬耀(譯音)指,總發展值13億令吉位于實達安南的H Educity項目目前已在進行中。

馮鵬耀說,上述佔地4.8公頃的項目涵蓋44個商業單位、1783個服務式套房及公寓,並將包括一家澳洲男女校“The Peninsula School”,提供獲世界高等院校認可的大學入學資格證書,即“維多利亞州教育證書”。

“被稱作V-Sentral Hub的商業組合及教育組合將在今年第4季推介,估計明年底可竣工,而住宅單位也看好可在之后的短時間內完成,屆時將開始讓學生及家長入住。”

馮鵬耀對上述項目表示樂觀,因為臨近輕快鐵、國家衛生研究院及實達城購物中心,因此將可吸引買家。

展望未來,他說,集團已指定幾個地點,包括賽城、士毛月、柔佛地不佬及怡保,以在未來發展綜合教育元素的發展計劃,因為集團有意推動涵蓋住宅、購物及教育于一體的綜合項目,因為教育城將是推動城鎮發展的關鍵。【中国报财经】

书香引客.许志国塑造教育城

这些年在全国累积320英亩地库的富商丹斯里许志国,正准备大胆逆势而上,3年内推展80亿令吉与教育挂钩的“H Edusentral”教育城产业计划,并放眼成为一家中型发展商。

谈到为何在此低迷期逆势而上,这名来自砂州诗巫的58岁富商预测,低迷情况大约维持两年多;如果目前什么都不做,待得需求回温或走高时,工期已太迟或赶不上需求。

“目前分阶段规划与贯彻,相信届时可赶上升势。”

许志国集团执行主席的许志国,同时亦是世纪教育(SEG,9792,主板贸服组)创办人兼董事经理指出,2006年开始在哥打白沙罗设世纪教育总部,后来带动人潮后,邻近的公寓计划雨后春笋般设立。

打造教育相关发展计划

“因此,在这方面累积了一些经验,要打造与教育有关的发展计划。”

目前是HCK资本(HCK,7105,主板产业组)执行主席的许志国,也看好与教育相关的产业,可快速带动买气与需求。

将推展的教育城计划包括:

(一)实达阿南教育城

实达阿南(Setia Alam)“H Edusentral @ Setia Alam教育城与赛城H Educity @ Cyberjaya>”

教育城,将最先推出;这包含住宅、商业和教育元素。

目前,在实达阿南购物中心对面的12英亩教育城计划已开始建筑,并预计2017年8月建竣。

“实达阿南教育城内将进驻澳洲墨尔本的国际学校Peninsula School,也打造零售与住宅空间,整项计划总发展值达13亿令吉。”

(二)赛城教育城

在赛城多媒体大学对面24英亩地的赛城H Educity @ Cyberjaya H教育城,亦已大兴土木,将建2亿8000万赛城医科大学学院,可吸纳大约1万名学生。

赛城教育城连同大学、零售与住宅产业总共释放18亿令吉发展值,许志国集团为首要发展计划管理商,并透过持股70%子公司Aspen Entity有限公司发展这项计划。

实达阿南与赛城的教育城总共31亿令吉计划建竣后,将租赁予教育营运者。

(三)H教育城

在士毛月邻近诺丁汉大学的30英亩土地,也会推展H教育城;其对面为绿盛世(ECOWLD,8206,主板产业组)和森那美(SIME,4197,主板贸服组)之产业计划,将打造涵盖住宅、商业之教育城。

另一方面,他也计划在赛城的赛城谷(Cybervalley)15英亩商用地段,推展H教育城。

土毛月和赛城谷的两项教育城,总发展值达22亿令吉。

推展这么庞大计划需要资金,谈到融资问题,他表示可从内部资金或从银行贷款获取。

至于在满家乐与古晋的马当(Matang)推展住宅计划,总发展值达3亿7000万令吉。

在古晋青山岩(Muara Tebas),也将发展1亿5000万令吉工业计划。

他说,在古晋的地库面积达230英亩,不过离市区有30分钟车程;人们一般会回用午餐,办公处与住家一般只有10分钟车程。

长远来说,他也有计划在巴生河流域或古晋的宽大地段,发展国际主题公园,辅以商业与住宅计划吸引国内买家或游客,正与美国投资家洽谈中。该集团也正分别在八打灵14区,新山地不佬与双溪毛糯,展开联营洽谈,正如火如荼进行中。双溪毛糯预计10英亩土地,预计推出15亿令吉综合产业计划。

其私人公司许志国投资集团正在怡保万里望的60英亩地段,发展6亿令吉教育相关产业计划;同时侧重教育与住宅计划,已35%完成。

不创先河也需具有特征

谈到为何那么踌躇满志,推出80亿令吉计划;许志国说,在发展计划上,即便不能开创先河,也要有本身的特征。

“我们将建一些市场上未曾面世的产品,同时从过往人们的错误中学习;只要在有威望的大型发展商产品中“再加值”,那就将形成与众不同的产品。”

他举例说,即将于10月推展的实达阿南首期计划,所建44间店屋将服务1万2000人(包括公寓居民与学校学生),应有生意可做。

他说,很多投资者是出租公寓予学生,总之只有在发展理念上让发展商与业主皆双赢,才能跑得更远。

H教育城取自姓氏Hii
意味全程投入信守诺言

许志国说:“在怡保万里望、士毛月和赛城谷,我们在洽商,谁要营运,我们便长远租赁。”

在万里望之计划,仍不肯定会注入世纪教育或者HCK资本;他表示尝试不混合。

他指出,所有教育城,不全然会注入世纪教育。

为何叫H教育城?

他指出,H Edusentral”前头冠上“H”字眼,是因(Hii)为其姓,意味全程投入和将以无比热诚完成,因此也就以真名示人。这确保会把产品销售后,仍保持关注,因为里头有冠以其姓的英文字母。

他说,尽管不是著名发展商,然而面临的压力甚至会更大,主要是确保信守诺言。

“事实上,很多事情不需信誓旦旦,能够履行职责更为重要。”

贯彻有素质最重要

许志国说,每个人皆能规划和架设愿景,不过能够付诸实行,且又照顾到素质才最重要。

他强调,有了素质,人们才会有信心,并造就一批批忠心追随者,或产生良好口碑,往后业务才能更为顺利。

他表示,行情好时,每个发展商都热卖;尽管目前低迷,他做好心理准备接受挑战。

计划成功
销售是关键

他说,在低迷时节,拟定大蓝图与按照计划贯彻非常重要;其二是计划好施工与建筑的工期与管好现金流,其三是获取发展令(DO),其四是建筑图测,其五则是策划行销配套,乃至宣传攻势。

“对我而言,发展计划要成功,销售是关键;我对队伍各成员说,要成其大,销售最为关键。”

他说:“建好一项计划并非难事,你透过竞标找到承包商,请了绘测师与顾问,这个过程需有配套与监管,这才能确保素质。”

“要知道,有这么多计划紧接而来,需要创造一批忠心追随者;第一个计划须成功,否则将冲击接下来的计划。”

“因此,在贯彻的过程中,赚钱可以赚少些,让客户有愉悦的体验更为重要;有了欢喜的客户,就自然形成口碑;这是很多成功发展商所走过的路程,而其中很多忠心追随者是其成功关键。”

继续累积地库

许志国说,320英亩地库,皆是透过上市的HCK资本,或其私人持有的公司许志国投资集团这些年来所累积。这些地段座落于霹雳、巴生河流域和砂州。

他披露,HCK资本前名为金星机械(GOLSTA,7105,主板贸服组)(Golsta Synergy Berhad),原以制造业挂帅的工业产品组上市公司。2015年11月,基于业务的营收与盈利以产业为核心,因而获批准转型为主板产业组公司。

地皮稀缺
买地错不了

“至于负债比,上市公司方面的负债仍极微;至于私人方面,多年来一直收购地段,有些银行贷款,但仍处舒适水平。”

未来,他仍将在全国累积足够的地库,因为紧随人口增长与地皮稀缺,地段皆会增值。

他说,买地是不会错的决定,国家的发展建屋与各项设施,土地只有越来越少;除了一些填海工程,可使土地告增则属例外。

“土地只有越来越稀缺,物以稀为贵,最终土地只有越来越值钱。”

当发展从市区跨出外郊时,许志国集团过去5年来便在外围逐步累积地库。

这名HCK资本大股东,6月间宣布把很多产业注入上市HCK资本中,同时也发股作为购买更多地库用途。

屋业计划由策划到执行

许志国说,在屋业计划的策划阶段,也需确保适任者担任适当任务;策划阶段是整个发展过程中的一个环节,更重要的是如何付诸实行。

“一些计划可能看起来构想很好,如果没有适当的人选确保计划良好执行,那不过是纸上的构想图。”

如何确保计划受良好监控?

他说,不管在屋业与其他事务方面,他都亲力亲为,自己动手负责,尤其是核心部份和行销方面,更出力不少。

他追溯世纪教育(或前身Systematic学院)时代,起初只有6名学生,进行了倒置收购、合并等企业活动,学生慢慢增长至目前的2万名。回首来时路,他认为这归功于包装与行销。

“实干”比指挥更令人信服

许志国表示不喜欢只会在办公室的经理(armchair manager),只是交待别人怎样做,自己不下手。

他不相信这样的指挥模式可获得信服,和卓有成效。

他说,即使其公子,他亦让他以“实干”模式,追随在其身边5至6年,从销售做起而一路攀升。

他指出,目前的商业环境瞬息万变,因此不管在决策与贯彻计划,速度非常重要。

创意让公司走更远

许志国认为,尽管不能成为先行者,然而在营运一家公司,也不能缺乏创意,不然将面临末路。

他指出,譬如说苹果手机,日本、韩国早有其他产品,是在iPOD或其他产品的基础上再进步;苹果手机一出,基于设计与造型方便美观兼实用,才改变了整个游戏格局。

通过社媒了解市场脉动

许志国目前担任许志国投资集团执行主席,涉足教育、产业、媒体与投资业务,旗下世纪教育的教育事业逐步壮大。

世纪教育创办人兼董事经理的许志国说,世纪教育目前有2万4千名学生,6千多名外国学生,2年内增至1万名外国学生。目前大部份来自中国、中亚的哈萨克等国。

作为一名由媒体晋身企业的企业家,许志国集团内有首席创意员(CIO),而许志国媒体也有一组工艺人员。

许志国善用社交媒体的力量,他架设脸书,听取市场脉动。

他说,他本身拥有媒体公司与社交媒体平台,为感觉社群的脉动,他自己也架设脸书。

他留意在脸书上,人们如何对新闻做出反应,从中了解大马社会真相。

这名20岁就担任英文《婆罗洲邮报》总编辑,曾在英文《星报》担任副执行主席的媒体人追述,9岁时为了赚零用钱,还卖过报纸。

由于个人销售稍嫌赚得不多,他动起生意头脑,以集合朋友大批售卖赚取额外零用钱,这些点子目前用于产业的大批采购上。

办报有利企业品牌

谈到其媒体业务,许志国披露,英文FOCUS财经周刊已具有3万9千份的销售,其中以电子版超越对手。

根据马来西亚印刷媒体公证局(ABC)数据,在印刷版比对手少,然而在电子版方面,基于人们已习惯电子化,因此积极促销下这方面有不俗成长。

不过他指出,尽管在电子与社交媒体获很高浏览率,以营收计算还是实体版报纸带来更多获利。因此预料媒体业务,可能需要一段时间才能盈亏持平。

他自我调侃说,有人买私人飞机,有人买足球俱乐部,而他却不知何以独醉心于办报。

不过他表示会耐心经营,主要是媒体对其企业品牌有利。

谈到世纪教育2013年获最佳表现股只,让他获殊荣,他说,那是在3年内在贸服股中获最高回酬,由1亿令吉股本,增长至10亿令吉,增长4倍多,而获取上述殊荣。

时过境迁,他认为,目前,已不很在意奖项,而是以企业表现最为最重要。

销售产业须适当包装

许志国披露,有很多学生家长,尤其是中国或中东的,在此购买产业让孩子居住兼投资。

“然而数量还是不多,主要是各州对外国人购买产业,仍有不同的限制。”

他表示,作为发展商,他将选择以更适当的包装,销售其产业。

他说,世纪教育每年都派息,目前不会增派息,不过将根据过往纪录,有一贯的派息率。

误诊患癌打击沉重

多年前被误诊癌症,并度过了一段艰辛的疗程,是许志国生命中一记很沉重打击;不过他让自己忙碌,并善用每一刻,从而忘记身心煎熬。

他说,虽然起诉新加坡医生的首轮官司输了,不过他还是会上诉,因为同样的个案,发生在同一个医生的诊断上;最新疑受误诊之苦的,是名相识之朋友。

儿子加入公司
从销售做起累积经验

进一步询问时,许志国说其儿子许道隆(Cliford Hii),将在产业与企业方面扮演更大角色。

“儿子已受委董事部内,担任执行董事,负责集团品牌与企业策略;当然也希望儿子有一天能扮演更大角色。”

不过许志国不相信能凭一人之力纵横全场;他本身不信单打独斗,而更笃信团队所发挥的力量,这确保每个商业的环节都很强。

他说,儿子加入公司时,并未一加入就掌高职,而是从销售做起,然后往行政慢慢攀升上来,追随左右的各经理亦是如此慢慢累积经验后,才晋升事业阶梯。

他指出,其儿子将在产业方面扮演更显著角色,目前负责企业策划的儿子,也负责企业的所有业务,如媒体与其他投资,其公子也主动涉足餐饮业。

The Board of Directors of HCK wishes to announce that its indirect wholly-owned subsidiary, HCK Properties Sdn Bhd (“HCKP”) had on 13 March 2017 acquired 1 ordinary share representing the remaining 50% of the issued and paid-up capital of Binary Binajaya Sdn Bhd (“BBSB”) form Tiara Tegasjaya Sdn Bhd (“TTSB”) at a purchase consideration of RM1.00 (the “Acquisition”).

HCKP currently held 1 ordinary share representing 50% equity interest in BBSB. Upon the Acquisition, BBSB has become a wholly-owned subsidiary of HCKP, which in turn is a wholly-owned subsidiary of HCK.

BBSB is a private limited company incorporated in Malaysia on 23 August 2016 under the Companies Act, 1965. It has an issued and paid-up share capital of RM2.00 comprising 2 ordinary shares. BBSB is currently dormant and its intended principal activity is investment holding and property development.  

The Acquisition is funded through internally generated funds and it is not expected to have any immediate material impact on the earnings, net assets and gearing of HCK Group for the financial year ending 31 December 2017.

None of the Directors, major shareholders and/or persons connected with them has any interest, direct or indirect, in the Acquisition.

The Board of Directors is of the opinion that the Acquisition is in the best interest of HCK Group.

1.0       INTRODUCTION
Pursuant to Paragraph 9.19(24) of the Main Market Listing Requirements of Bursa Malaysia Securities Berhad, the Board of Directors of HCK wishes to announce that its indirect wholly-owned subsidiary, HCK Properties Sdn Bhd (“HCKP”) had on 6 April 2017 entered into a Share Sale Agreement (“SSA”) with Axventure Interior Sdn Bhd (“Axventure”) for the disposal of 300,000 ordinary shares (“Sale Shares”) representing 75% of the issued and paid-up capital of Oscar Springs Development Sdn Bhd (“OSDSB”) by HCKP to Axventure for a cash consideration of RM800,000.00 (the “Disposal”).

Upon completion of the Disposal, OSDSB shall ceased to be a subsidiary of HCKP and in turn, a sub-subsidiary of HCK.

2.0       INFORMATION ON OSDSB
OSDSB was incorporated in Malaysia under the Companies Act, 1965 on 20 May 2015 as a private limited company. The intended business of OSDSB is that of property development. OSDSB has not commenced any business activities.      

The issued and paid-up share capital of OSDSB is RM400,000.00 comprising of 400,000 ordinary shares. The remaining 100,000 ordinary shares are held by Ideal Management & Services Sdn Bhd.

OSDSB does not have any subsidiary or associated company.

3.0      INFORMATION ON AXVENTURE        
Axventure was incorporated in Malaysia under the Companies Act, 1965 on 8 December 2015 as a private limited company. Axventure is principally involved in the business of renovation work, interior and exterior design.

The issued and paid-up share capital of Axventure is RM100.00 comprising of 100 ordinary shares.

4.0     DETAILS OF THE DISPOSAL
4.1     DISPOSAL CONSIDERATION
The Disposal Consideration is to be satisfied by cash in accordance with the terms of the SSA.

4.2       BASIS OF ARRIVING AT THE DISPOSAL CONSIDERATION
The Disposal Consideration was arrived at based on negotiations between HCKP and Axventure on a “willing-buyer willing-seller” basis.

4.3       UTILISATION OF PROCEEDS
The Disposal Consideration will be utilized as working capital for HCK Group.

4.4       COMPLETION OF THE DISPOSAL
Completion of the Disposal shall take place on the date of the SSA in accordance with the terms of the SSA.

5.0       RATIONALE FOR THE DISPOSAL
The Disposal is undertaken for the purpose of disposing the non-operating subsidiary and to reduce the cost of maintaining the non-operating subsidiary.      

6.0       EFFECTS OF THE DISPOSAL
6.1       Issued and paid-up share capital
The Disposal does not have any effect on the issued and paid-up capital of HCK.

6.2       Net Assets and Gearing
The Disposal does not have any material effect on the net assets and gearing of HCK for the financial year ending 31 December 2017.

6.3       Earnings
There is no gain or losses for HCK Group arising from the Disposal.

7.0       PERCENTAGE RATIOS
The highest percentage ratio applicable for the Disposal, pursuant to Chapter 10 of the Main Market Listing Requirements of Bursa Malaysia Securities Berhad is 0.45%.

8.0       DIRECTORS' AND SUBSTANTIAL SHAREHOLDERS' INTEREST
None of the Directors or Substantial Shareholders of HCK or persons connected to them has any interest, direct or indirect, in the Disposal.

9.0       DIRECTORS’ STATEMENT
The Board after having considered all aspects of the Disposal is of the opinion that it is in the best interest of HCK.
