购Mayfair股权 兴隆独立发展白沙罗地皮

(吉隆坡2日讯)兴隆(THRIVEN,7889,主板產业股)宣布,与成荣集团(MUDAJYA,5085,主板建筑股)子公司MJC发展私人有限公司和Mayfair签署一项结算协议,终止于2013年8月30日签署的认购和股东协议。
该公司文告指出,三方于2013年11月13日和20日分別签署一项附加协议,兴隆將认购Mayfair公司的102万股或51%股权以及25万5000可赎回优先股。
根据认购和股东协议,兴隆和MJC发展公司共同发展位於白沙罗Tropicana2块毗邻的土地。
不过,根据最新签署的结算协议,兴隆將以102万5000令吉,收购MJC发展私人有限公司持有Mayfair的98万股或49%股权,以及4万5000张可赎回优先股。
同时,兴隆也必须解决MJC预支Mayfair的款项,连同利息为5288万零670令吉。
一旦完成以上协议,Mayfair將成为兴隆的独资子公司。
Mayfair將在其位於Tropicana的土地上,建设发展商业和服务式公寓,称为LumiTropicana项目,目前正在进行中。土地面积为2万5948平方米,预期总发展价值为8亿3550万令吉。【东方网财经】

Thriven全球霹雳联营可负担屋

(吉隆坡12日讯)Thriven全球(THRIVEN,7889,主板产业股)与霹雳州秘书机构(SSI)达成联营协议,共同发展在霹雳州慕亚林(Muallim)的11块土地,兴建可负担房屋项目。
前身为马化置地的Thriven全球,今日向马交所报备,双方成立联营公司,发展总面积43.297亩地皮。
在这项联营中,Thriven全球能获得项目的税前净利75%,而作为该土地拥有者的SSI则能得剩余25%。
另外,SSI还可分2次,获得总值649万4550万令吉,由该项目的发展户口支付。
上述项目不会影响Thriven全球2017财年的盈利、每股资产和负债率。【e南洋】

Thriven全球卖地亏1141万

(吉隆坡12日讯)Thriven全球(THRIVEN,7889,主板产业股)宣布,子公司Mulpha Argyle产业私人有限公司,以总值2751万8166令吉脱售位于吉隆坡面积达1万226平方米地皮。
这项Thriven全球昨日向交易所报备,脱售地会面对大约1141万2948令吉的税后亏损,而今财年每股净利将减少大约1.55仙。
该公司原本计划在该地皮上发展6间各约1.1万平方尺高档独立洋房,均价则达198万令吉。
不过,基于目前产业市场疲弱,所以公司决定脱售地皮,把资源放在拥有更高市场需求的发展项目上。
从该项交易取得的资金将用于偿还给欠债者,赎回地皮,而剩余的净现金将达1985万205令吉,会用于融资资本开销和营运资本。【e南洋】

张启华.亏损售黄金地?
大马近几年产业市场需求有些冷飕飕,不过,上市的产业公司亏损脱售黄金地,这毕竟还是罕有的,相信是今年内头一遭!
THRIVEN环球(THRIVEN,7889,主板产业组)51%持股子公司,约10年前以3074万5058令吉购该黄金地,最近发出公告宣布以2751万8166令吉,脱售吉隆坡东姑山土地予加拿大籍华裔。
根据该公司文告,这块2.5英亩或1万零226平方公尺土地,原规划建6栋洋房,但碍于市况疲弱,决定将之脱售筹得之逾1985万令吉(扣除银行贷款约712万令吉),以集中资源发展吉隆坡以外的现有发展计划。
在完成卖地行动后,THRIVEN环球将蒙亏1141万2948令吉,并导致截至2017年12月31日财政年每股盈利减1.55仙,负债比料从0.99倍降至0.95倍。
该公司原计划在黄金地建6单位独立洋房,每单位1万1000平方英尺,每单位叫价1980万令吉,总发展值1.188亿令吉。
该公司舍黄金地带,是把资源调动到所谓需求较佳的八打灵区Lumi Tropicana,乃至甲洞、霹雳美冷(BEHRANG)、吉打居林Desa Aman,威南高渊武吉班卓可负担房屋和店屋发展。
该地段在英殖民地时期,叫Kenny Hills,嗣后易名东姑山;该社区范围所住的非富则贵,各州皇室行宫乃至首相、部长私邸,皆坐落于此。
产业发展首重黄金地带,切合黄金地带的要求,即使无法独力发展产业,也可透过“借力发力”方式──即伙同财雄势大、品牌良好的发展商联营,当可释放更高价值!
再说,在作出售地以融资其他发展计划时,还有很多选项,譬如通过发股、发债筹资,或者向银行融资;把黄金地带脱手,看来让人惋惜,却也是很大的无奈!
发展产业,最愁没有黄金地,有黄金地在手,却因没有恒持力,不堪每年需为该地段耗上550万令吉融资成本,手握黄金地转头成空;又因时不我予,欲售洋房市价价差达300万至400万令吉,这才是令该公司惊惶之事。
光有“地利”还不足成事,缺乏“天时”与“人和”,万事难成矣!

Thriven拟售子公司以弥补损失

(吉隆坡17日讯)Thriven Global Bhd 正在洽商收购已持股51%的子公司Mulpha Argyle Property私人有限公司(MAPSB)其余的49%股权,之后计划脱售整家子公司。
脱售所得将用以弥补之前在MAPSB的投资损失。
这家产业发展商今日向大马交易所发文告报备,该集团已和MAPSB的另外两名股东Modern State Management Ltd和Liberty Partner Ltd展开洽商,各别向两名股东收购MAPSB的39%和10%股权。
“本集团(Thriven)将适时作出宣布。若成功收购MAPSB的剩余49%股权,我们将把脱售所得的净现金重新投资予本集团其他的产业发展项目,以弥补之前投资予MAPSB所蒙受的损失。”
Thriven补充道,该集团自掏腰包近2700万令吉予MAPSB,以摊还MAPSB的利息及降低贷款,而Modern State和Liberty Partner自2010年起就没有再支付费用。
“根据本集团(Thriven)在MAPSB的51%持股比例,这笔2700万令吉狂想超过其按照持股比例理应支付的数额,垫款超出约1300万令吉。
“因此,脱售所得约1985万令吉净现金(扣除截至2017年3月31日支付予MAPSB贷款人的未偿还本金712万令吉)将全额偿还予Thriven。”
Thriven在4月11日宣布,MAPSB与Mount Well私人有限公司签订一项协议,以2752万令吉脱售一幅位于Bukit Tunku的永久地契地段。
然而,Thriven脱售上述地皮的举措遭受大量抨击,因为此举将导致该集团蒙受1140万令吉的脱售损失。
Thriven最初在2007年投资3075万令吉在这块地皮,并计划兴建6间高档别墅,但该集团尔后决定重新部署资源,并专注于现有发展和可负担房屋项目。
在摊还约712万令吉予贷款人后,这项脱售计划筹措约1985万令吉,充作Thriven的资本开销和营运资本。

The Board wishes to provide the following additional information:
a) the Company has continued to advance on its own an additional sum of approximately RM27 million to MAPSB to service interest and pay down the loans taken by MAPSB, without any further contributions from the other 2 shareholders holding the remaining 49% in MAPSB since 2010. Under the shareholders’ agreements between the 3 shareholders, such shareholders’ advances are meant to be provided proportionately based on each shareholder’s equity stake in MAPSB. Based on the Company’s shareholding proportion of 51% in MAPSB, this sum of RM27 million represents additional advances of approximately RM13 million over and above what is required from the Company. Hence, the net cash proceeds raised of approximately RM19,850,205 (after repayment of the outstanding principal payable to the Lenders of RM7,117,598 as at 31 March 2017) from the Proposed Sale of Land shall be entirely repayable to the Company by MAPSB; and
b) the Company has initiated negotiations with Modern State Management Limited (one of the other two (2) shareholders of MAPSB) to acquire its 39% equity stake in MAPSB and will initiate negotiations with Liberty Partner Ltd (the other shareholder of MAPSB) to acquire the remaining 10% equity stake in MAPSB. The Company will make the appropriate announcement(s) in due course if and when the proposed acquisition of the remaining 49% equity stake in MAPSB is successful and use the net cash proceeds raised from this disposal to reinvest in other property development projects undertaken by Thriven Group to recoup the losses suffered from the investment in MAPSB.

财报误差82%
Thriven去年实亏1015万

(吉隆坡27日讯)因脱售武吉东姑(Bukit Tunku)地皮的减值,Thriven全球(THRIVEN,7889,主板产业股)宣布,截至去年底财年经审计净亏损,比未审计净亏高459万令吉。
Thriven全球昨日向交易所报备,经审计净亏损实为1014万5000令吉,与之前宣布的净亏556万令吉,落差幅度高达的82%。
2007年,Thriven全球以3075万令吉买下位于武吉东姑,占地1万226平方米的永久地契地皮。
截至2016财年,该地皮的净账面价值为3838万令吉。
今年4月11日,Thriven全球持股51%的子公司——Mulpha Argyle产业私人有限公司,以总值2751万8166令吉脱售武吉东姑地皮,给Mount Well 私人有限公司。
脱售地皮后,Thriven全球面对大约1141万令吉亏损,且需减值亏损达881万令吉。
以Mulpha Argyle产业持股51%计算,必须入账Thriven全球的减值亏损达449万令吉,包括9万1000令吉税务拨备。【e南洋】

Bhd. (“MAPSB”), representing 39% equity interest in MAPSB for a total cash consideration of RM1.00 only from Modern State Management Limited (BVI Company No. 1395783) (“MSM”) (hereinafter referred to as the “Acquisition”). Upon completion of the Acquisition, MAPSB will be a 90%-owned subsidiary of Thriven.
