Unless otherwise defined in this announcement, all terms used herein shall have the same meaning as those defined in the announcement dated 21 March 2018. Further to the announcement dated 21 March 2018, M&A Securities Sdn Bhd, on behalf of the Board wishes to provide the following information with regards to the utilisation of proceeds from the Proposed Private Placement for further clarity. With respect to the proceeds used for DGSB’s Malaysian operations, the Board proposes to utilise RM2.54 million of the proceeds to rent 6 additional support centres targeted to be located at the Klang Valley region and major cities in the Northern, Southern as well as East Malaysia, the sizes of which is yet to be determined but shall depend on, amongst others the cost and location of the support centre. Additionally, the Board proposes to recruit approximately 35 additional software engineers and consultants for the Group’s Malaysian operations to provide customers with better turnover time. This is expected to lead to increase staff costs and general office equipment expenses through the setting up of support centres. The new support centres are expected to be opened with third party software support companies (either through partnership, joint venture or other forms of business collaboration, depending on the outcome of negotiations with these companies) and expect to commence their operations in the 3rd quarter of 2018. This announcement is dated 26 March 2018.
