就是(6% x rm1.00)/4 = rm0.015
[除于4因为该loan stock一年6%利息,但分四次给-就是每一季一次]

马顿目前的股价使够低啦, 但想到未来房地产有很大下跌的危机,又有些怕怕。 以前的TALAM就是个好例子。

(吉隆坡10日讯)马顿(Malton,6181,主板产业股)与峇都加湾发展私人有限公司,联手在槟城峇都加湾一块占地300英亩的土地,进行综合发展项目,预计发展总值高达38亿令吉。
马顿说:“上述联营计划符合公司持续拓展核心业务———产业发展与建筑业务的方向,预计可为马顿及子公司带来中长期盈利贡献。”
马顿独资子公司———Silver Setup私人有限公司,将全权负责整个发展的融资活动,占发展总值的82%。

马顿柔佛机构换资產 1.4亿售办公楼

(吉隆坡13日讯)马顿(MALTON,6181,主板產业股)宣布以交换资產的方式,以总值1亿4000万令吉,將一栋坐落在八打灵再也的20层楼商业建筑物卖给柔佛机构(JohorCorp)旗下子公司,从中获利5460万令吉。
配合宣布以上消息,马顿已从今日上午9时01分起,暂停交易一个小时,至上午10时01分才恢復交易。
马顿今日股价上涨2仙,或3.419%,报0.605令吉,全天共有974万9000股易手。
该股盘中一度暴涨4仙,或6.8%,走高至0.625令吉。
马顿独资子公司--Khuan Choo產业管理私人有限公司(KCPM),是以总值1亿4000万令吉,將一栋商业办公楼(VSQ產业)脱售给柔佛机构旗下的Bukit Damansara发展私人有限公司(BDDSB)。
据了解,该办公楼包括964个停车位,是沿著乌打拉路(Jalan Utara)VSquare@PJ City Centre的第一座楼,可出租面积达16万3504平方尺。
截至2012年6月30日,KCPM在VSQ產业的初始投资成本及账面净值皆为8540万令吉。VSQ產业是由KCPM发展的,后者是在2007年9月收购一片租赁土地,並在2012年9月完成VSQ產业的建筑。
换取PBD办公楼
脱售VSQ產业后,KCPM將换取白沙罗中心(PBD)广场的一栋办公楼建筑物。
另一方面,Impian Expresi私人有限公司(IESB)向KCPM授予卖股选择权(putoption),以便把所换取的资產脱售给IESB,並由IESB来重新发展该面积达18万6667平方尺的办公空间。
这主要是为了方便KCPM提早退出其在办公楼的投资,若行使卖股选择权获得现金,则將充作马顿的营运资本、未来土地收购以及偿还银行贷款。
马顿大股东兼主席拿督林晓春,亦是IESB的间接大股东,持有后者的51%股权。林晓春与妻子--拿汀陈桂香,即马顿大股东兼执行董事,都被视为这宗交易的利益相关者。因此,夫妻俩不能参与马顿的董事局会议、进行商议或投票。
除了董事局会议,马顿也需要召开股东特大,寻求其他非利益相关股东的通过。
文告称,该公司审核委员会认为以上交易是公平与合理的,並已委任KAF投行作独立顾问。若无意外,上述资產交换活动料在今年末季完成。
完成脱售VSQ產业后,预计將为马顿2014財政年(截至6月30日止)带来贡献。[东方日报财经]

(b) Conditional Sale and Purchase Agreement ("Office Entitlement SPA") between KCPM and BDDSB for KCPM to acquire the Subject Entitlement (as defined in the attachment) from BDDSB for the purchase price of RM140,000,000 to be fully satisfied when the absolute beneficial ownership of VSQ Properties is vested unto BDDSB pursuant to the terms and conditions of the VSQ SPA ("Proposed Office Entitlement Acquisition").
The Proposed VSQ Disposal and Proposed Office Entitlement Acquisition are hereinafter collectively referred to as the "Proposed Asset Exchange".
Simultaneously with the Proposed Asset Exchange, IESB has agreed to grant KCPM a put option giving KCPM the right to require IESB to acquire the Subject Entitlement from KCPM, subject to the terms and conditions of the Put Option (as defined in the attachment).
