金獅林業購新加坡Willet投資30%

（吉隆坡29日訊）金獅林業（LIONFIB，8486，主板消費品組）以300萬新元（約732萬令吉），向聯營公司金獅亞洲投資收購新加坡Willet投資餘下的30%股權。

金獅林業發文告表示，上述收購藉旗下AMB資源進行，並將以內部資金進行。

Willet投資目前持有中國南京金城精密機械的38.63%股權。基於金獅亞洲投資早前擬脫售Willet投資的30%股權，而AMB資源也已全面脫售在南京金城精密機械的47.73%股權，管理層相信以上收購符合時宜。（星洲互動）

（吉隆坡20日訊）金獅木業（LIONFIB，8486，主要板消費）第二季營業額雖按年增1.67倍至2億1655萬令吉，淨利卻按年減少1倍至67萬4000令吉。

截至12月底本財年上半年，該公司營業額亦獲1.7倍增長至4億2285萬令吉，淨利卻同樣以近1倍跌幅，掛825萬8000令吉。

該公司文告指出，脫售子公司所得拉高營業額，但需支付高達4000萬令吉法律賠償，導致盈利減少。

（1）聽說金獅林業（LIONFIB，8486，主板消費品組）有很多現金，請問每股現金值多少？
（2）該公司借貸給母公司的款項有多少，是否已清還？
（3）母公司控制金獅林業近80%，將之私有化的幾率有多少？如私有化合理價該是多少？
（4）此股是否算股海遺珠，目前股價約1令吉40仙可否大量存積？

答：
金獅林業早前因全面脫售旗下銀石盾（Silverstone）而擁有很多現金，截至2012年3月31日止的最新財報顯示，擁有約1億8千187萬令吉的現金。

根據金獅林業2011財政年年報，該公司在2010財政年借給母公司的款項為1千913萬2千令吉，但在2011財政年，控股公司已沒有任何欠款，惟按公司水平言，子公司卻在2011財政年拖欠金獅林業5億2千177萬4千令吉。

私有化幾率參半
分析員認為，金獅林業私有化的幾率參半，主要是該公司雖在賣出上述資產後擁有龐大現金並有能力進行私有化，但因金獅集團的股權架構較複雜，所以，私有化金獅林業可能較繁瑣，並需要較長時間和程序。

該分析員不建議，投資者把大筆資金投注在金獅林業，這是因為該股在賣了相關資產後，業務方向仍不明確，如果投資者不介意資金被鎖住，不妨買進，看該股會否宣佈私有化或派息等企業消息。

金獅林業是在2010年10月，以4億6千200萬令吉，脫售銀石盾的100%予日本東洋橡膠工業株式會社（ToyoTire & Rubber）。當時，分析員預計，該公司會把脫售所得的80%派發給股東，預計特別股息達每股1令吉38仙，但後來投資者的“特別”期待落空了，因該公司最終僅捎來30仙的特別股息。（星洲日報／投資致富‧投資問診室）

（吉隆坡5日讯）金狮森林工业（LionFIB，8486，主板消费产品股）独资子公司，以6375万美元（约1亿9763令吉）现金，向两家公司收购印尼PTVarita Majutama（简称PT Varita）100%股权。

金狮森林工业向大马交易所报备，金狮森林工业独资子公司———金狮森林工业种植私人有限公司，与两位卖家达成协议，收购PTVarita的全数股权。

两位卖家是PTKarya Tekhnik Utama及新加坡Kyosen Transport有限公司，两者各持有PT Varita的70%和30%股权或相等于1万2600股（价值4462万美元，约1亿3834万令吉）及5400股普通股（价值1913万美元，约5929万令吉）。

收购计划将于明年1月完成，金狮森林工业将透过内部集资和贷款方式来融资。

根据印尼法律，外国公司仅可持有当地公司最高95%的股权，并需至少一名印尼股东。

完成买卖协议后，金狮森林工业种植将确认一名印尼股东。
