（吉隆坡5日讯）Masterskill教育（MEGB，5166，主板贸服股）以7970万令吉，脱售三块土地资产给Brilland产业私人有限公司，并在完成交易后，回租其中一块包括建筑物在内的土地。

文告显示，Masterskill教育以4120万令吉脱售一块位于八打灵再也的土地、以1280万令吉脱售一块位于柔佛马赛（Masai）土地，并以2570万令吉脱售同样位于马赛的土地。

完成交易后，公司将向Brilland产业回租该建筑物，租约细节稍后公布。

Masterskill教育指，脱售资产所获资金的2670万令吉将用来偿还欠债，剩余的5300万令吉则充足未来一年的营运资本。

易名Asiamet教育

公司指，上述决定是配合了重整财务状况的计划，该公司因收生率下滑，业绩表现自两年前每况愈下，目前是亏损公司。

另外，Masterskill教育通过另一文告指，中止换名为MEGB Metropolitan Berhad的计划，并改为建议易名为Asiamet教育集团（Asiamet Education Group Berhad）。

早前，SMRT控股（SMRT，0117，创业板）与私募基金公司Creador II献议，联合收购Masterskill教育50%股权，冀以一系列改革转亏为盈。【南洋网财经】

MASTERSKILL教育還有得選嗎？

上週，MASTERSKILL教育（MEGB，5166，主板貿服組）公佈，打算以7千970萬令吉現金價，向西瓦古瑪售後回租3項資產，其中一項在八打靈再也、兩項在柔佛馬賽。

上述出價雖然高於MASTERSKILL教育資產截至2013年12月31日止的淨賬面值7千520萬令吉，卻比獨立估價師開出的8千870萬令吉折價10%。

處境不佳的MASTERSKILL教育真的需要折價脫售資產？該公司有否尋求其他對這些資產感興趣的買家？

該公司舉步維艱，不是應該盡可能提高任何一項資產的價值嗎？

同樣重要的是，獨立董事應該確保該公司盡力為資產以至股東爭取最佳價值。這些嘗試，也必須知會所有股東。

儘管西瓦古瑪正洽售MASTERSKILL教育的股權，但過後他仍將持有23%股權，控制該公司高達8千650萬股。

值得一提的是，他並非第一次部署MASTERSKILL教育的資產售後回租計劃。就在去年12月中，他收購MASTERSKILL教育蕉賴、亞庇、古晉和巴西古當資產的計劃才告吹，因為他提出的7千500萬令吉出價，與Cheston國際（吉隆坡）私人有限公司的1億1千零400萬令吉估價相去太遠。

顾问： SMRT出价不公平不合理 Masterskill股东应拒献购

（吉隆坡16日讯）独立顾问指出，大股东全购Masterskill教育（MEGB，5166，主板贸服股）“不公平且不合理”，建议其他股东拒绝献议。

独立顾问BDO资本顾问公司表示，大股东出价每股60仙，较Masterskill教育合理价格低2.38%至9.77%。

相比公司接获全购前的闭市价，献购价是折价15.49%。

相比5天、1个月及3个月交易量加权均价，献购价是折价8.97%至16.48%。

独立顾问也点出，公司股票流动量稳定，大股东有意维持公司上市地位，也希望继续公司营运，让业务转亏为盈。

私募基金公司Creador II与SMRT控股（SMRT，0117，创业板）上月初建议收购Masterskill教育50%。

Creador II子和SMRT控股，是分别通过Strategic Ambience及Arenga Pinnata，向Masterskill教育执行董事西华古玛购股。

大股东悉售股权 Masterskill易主

二零一五年三月二十二日 晚上七时
（吉隆坡22日讯）Masterskill教育集团有限公司（MEGB，5166，贸易服务组）执行董事兼单一最大股东西瓦古玛，已经出售其全部股票予SMRT控股有限公司（SMRT，0117，创业板）。

在致给大马交易所的文件中，该教育集团透露，西瓦已经以5190万令吉总额，或每股60仙，脱售全部23%股权，包含8650万股票。

经过上述交易，Masterskill教育称，西瓦已不再是该公司的大股东。

与此同时，SMRT控股表示，该公司已透过子公司Strategic Ambience私人有限公司，完成购入Masterskill教育的23%股份。

据它各别发予大马交易所的文件显示，这项收购是透过与西瓦的直接商业交易进行。

它说，收购代价包括3630万令吉外来贷款、约1140万令吉来自私下配售筹得的净资金、及余额420万令吉由内部基金融资。

MEGB重塑品牌　3措施吸引新生

（吉隆坡19日讯）Masterskill教育集团（MEGB，5166，主板贸服股）期望透过重新塑造品牌，重整公司的业务，並定下3年內將学院学生人数提高至5000名的目標。

Masterskill教育集团执行董事拿督琶兰指出，今年公司的目標是提高新生入学人数35%。

他称，该公司旗下的学院生从高峰期的2万多人，滑落至目前的2870人，因此该公司决定通过3项改革措施，来吸引新生入读该学院，这分別是：

第1、该公司將在今年投入更多的心血和金钱，改善学院的硬体设备和聘请素质更好的教学人员，以期能够重拾市场对公司旗下学院的信心；

第2、公司也將易名为AsiaMedEduGroup，以崭新的名字重新出发；

第3、旗下的学院今后专攻5个科系，分別是药剂学、医疗、物理治疗、管理和专治医疗（Allied Science），该公司也將继续开发以市场需求为导向的科系，以增加学生报读该学院的意愿。

琶兰在出席今日召开的股东大会和股东特大后，向媒体发表上述谈话。

2.7亿地皮找买家

琶兰透露，公司正为手中总值达2亿7400万令吉的8片地皮寻找买家。他表示，其中2块地皮的脱售议案已经在今日的股东大会上获得批准。有关土地將出售给公司前大股东西瓦古马。

琶兰透露，该公司在出售地皮给西瓦古马后，公司將成为没有负债的公司。

公司脱售上述2项资產后將取得7970万令吉，其中的2500万令吉用於偿还贷款、其中2000万令吉派发特別股息，剩余的將用于公司重新塑造品牌所需的费用以及投资学院的经费。

截至3月31日，该公司拥有1500万令吉现金。

展望教育领域前景，琶兰非常看好教育领域的发展前景。

他指出，公司將把事业重心专注发展教育事业，並认为教育是具防御性的行业，在百业萧条时，教育仍会是人们不愿放弃的消费。

无论如何，他对公司的业务抱持谨慎乐观。

该公司已经连续3个財政年度蒙受亏损，因此今年也將採取更多有关节省成本和提高公司的营运效率的措施。

该公司2015財政年首季（截至3月31日止）蒙亏343万令吉，营业额按年大跌41.04%，至756万令吉，去年同期为1283万令吉。【东方网财经】

根据文告，AMU和盖茨黑德学院的合作，包括共同打造学术课程，联合研究活动、博士生培训计划以及交换学生活动。

通过这项合作，AMU和盖茨黑德学院能够交换员工或互访各自的教育机构，分享关于教学和研究的资讯。

（吉隆坡10日訊）Asiamet教育（AEGB，5166，主要板貿服）以850萬令吉脫售位于古晉資產，賬面虧損85萬令吉，脫售所得將充作營運資本。

該公司向馬證交所報備指出，配合脫售非核心資產策略，昨日與Pavilion Palace簽署買賣協議，脫售旗下土地及資產，其中包括8個單位房產。

文告指出，該公司投資成本為1386萬6000令吉，與售價相差536萬6000令吉，不過根據賬面淨值，截至6月底資產總值935萬1000令吉，虧損85萬1000令吉。
