億強工程 獲5.96億聯合定期貸款

(吉隆坡15日訊)億強工程(ZECON,7028,主要板建築)子公司億強Medicare已獲近5億9553萬令吉的聯合定期貸款(syndicated term loan),融資整個建設國大醫院內的小兒專科工程。
此貸款是由艾芬黃氏銀行負責安排。
億強工程今日頒發建築合約給韓國現代工程私人有限公司,后者將負責建築位于蕉賴國立大學(UKM)醫院內的小兒專科。
億強工程主席拿督海查阿末博士今日與韓國現代工程簽署合約后指出,希望能通過此合作,讓我國有一所可為人民提供先進的專業儿科服務,就像國家心臟中心出名于心臟醫療服務。
“我們相信此為期30年的經營合約,未來可貢獻37億令吉總收入。”
億強工程是在8月獲教育部及國大頒發建築總值6億600萬令吉經營合約,打敗其他10個競標者。

亿强次季亏损收窄

(吉隆坡14日讯)亿强工程(ZECON,7028,主板建筑股)旗下计划蒙受额外成本,但新计划进展不错,次季因而收窄净亏。
亿强工程次季净亏,从上财年的867万令吉,收窄至现财年的206万令吉。
公司次季营业额按年上扬25.32%,至4835万令吉,上财年营业额为3858万令吉。
相比上财年的净亏888万令吉,公司现财年首6个月净亏,收窄至513万令吉。
公司首6个月营业额,从上财年的6744万令吉,增加7.25%,至现财年的7233万令吉。
公司目前进行中的工程,为麦丁(Mydin)超商计划、古晋的Petra Jaya医院计划,以及吉隆坡Melawati花园10层楼的商用大楼。【南洋网财经】

(吉隆坡1日訊)億強工程(ZECON,7028,主要板建築)與一個大馬人民房屋計劃(PR1MA)機構,聯手在古晉發展可負擔房屋計劃。
文告指出,獨資子公司億強土地與一馬房屋機構簽署聯合發展協議,在面積54英畝土地,建設一馬房屋計劃及相關基礎設施。
該公司將在4年內建設2000單位房屋和零售單位,2家公司將分擔建設成本和開支。

The Board of Directors of Zecon wishes to announce that Zecon Land Sdn Bhd (“ZLSB" or “the Contractor”), a wholly owned subsidiary of Zeconhad today entered into a Joint Development Agreement (“Agreement”) with PR1MA Corporation Malaysia (“PR1MA”) in relation to the development and construction of PR1MA Homes, PR1MA Premier Homes and retail units together with all the necessary amenities, utilities, common facilities and infrastructure on a portion of land measuring approximately 54.157 acres, being part of the land situated at Lot 4871 Block 18, Salak Land District, Jalan Demak, Petra Jaya, Kuching, Sarawak, Malaysia (“the Said Land”) (hereinafter referred to as the “PR1MA Development”). The total acreage for Lot 4871 is measuring approximately 94.867 acres in area (hereinafter referred to as the “Master Land”)
PR1MA and the Contractor shall hereinafter be collectively referred to as “Parties” and individually referred to as “Party”.
1. DETAILS OF THE AGREEMENT
1.1 Information on ZLSB
ZLSB is a company incorporated and registered under the Companies Act, 1965 in Malaysia and having its registered office at 8th Floor, Menara Zecon, No. 92, Lot 393 Section 5, KTLD, Jalan Satok, 93400 Kuching, Sarawak.
ZLSB’s principal activity is property development and construction.
1.2 Information on PR1MA
PR1MA is a statutory body enacted pursuant to Perumahan Rakyat 1 Malaysia Act 2012 and having its place of business at Block F, 7th Floor, Oasis Square, No. 2, Jalan PJU 1A/7A, Ara Damansara, PJU 1A, 47301 Petaling Jaya, Selangor Darul Ehsan.
PR1MA is responsible to regulate matters relating to the development and construction of housing accommodation, infrastructure and facilities under the Perumahan Rakyat 1Malaysia programme in Malaysia.
1.3 Information on the Master Land
Zecon Petra Jaya Sdn Bhd (Company No. 473534-K) (“ZPJSB”), the sub-subsidiary of Zecon is at present the registered proprietor of the Master Land (“hereinafterafter referred to as “the Registered Proprietor”).
The Registered Proprietor has granted ZLSB the necessary authority to develop the Master Land vide a Power of Attorney dated 30 October 2008.
1.4 Information on the Agreement i) PR1MA Development consists of approximately 2,000units of housing accommodation and retail units. ii) Pursuant to the Sale and Purchase Agreement dated 31 October 2013, the Registered Proprietor has sold and PR1MA has purchased the Said Land for the sale consideration of Ringgit Malaysia Forty Six Million Two Thousand Thirty-Eight and cents Ninety-Four (RM46,002,038.94) only. iii) ZLSB intends to develop the Master Land with a mixed development (“hereinafter referred to as the “Master Development”). iv) PR1MA is desirous to appoint and ZLSB is desirous to accept the appointment as the design and build contractor for PR1MA Development and to submit the Revised PR1MA Planning Submission to the Appropriate Authorities. v) The Parties have agreed that a Construction Contract shall be executed subject always to the provisions of this Agreement vi) The Parties hereto have agreed to enter into this Agreement in order to set out the entire understanding with respect to, inter alia, the implementation, construction and successful completion of the Master Development upon the terms and conditions of this Agreement. vii) The Parties agree that the entire PR1MA Development shall be carried out and completedwithin the project duration of four (4) years from the date of all condition precedents in the Construction Contract being fulfilled or any extended period mutually agreed by the Parties hereto.
1.5 Salient terms of the Agreement
The salient terms and conditions of the Agreement include, amongst others, the following:- a) ZLSB shall be responsible to prepare all the required Approved Plans for PR1MA Development including but not limited to the layout and building plans for PR1MA Development with full rights and at any time and from time to time to vary the same subject always to the approval of PR1MA;
b) ZLSB undertakes at any material time that it shall not sell, transfer, assign, charge, encumber, lease, part with possession of the PR1MA Land or any part thereof or howsoever deal with any part of the PR1MA Land or allow any other person to develop, build or deal with any part of the PR1MA Land in any manner or undertake any action whatsoever which would adversely affect or be inconsistent with the development of the PR1MA Development or which would otherwise be inconsistent with the provisions of this Agreement.
c) The Parties hereby agree that the infrastructures to be constructed on the PR1MA Land shall comprise; i) Basic Infrastructures; and ii) Common Infrastructures.
For avoidance of doubt, Basic Infrastructures and Common Infrastructures shall be collectively referred to as “Infrastructures”.
d) PR1MA will be responsible to construct the Infrastructures including but not limited to roads, streets, mains, driveways, green area, street lamps, culverts, surface works, drains, sewerage mains, power sub-stations, link bridge, facilities for the provisions of electricity, water, telephone, trunking, cabling, sewerage systems, gas reticulations systems and other facilities, amenities or utilities serving PR1MA Development.
e) The costs and expenditures for the construction and completion of the Common Infrastructures shall be all the costs and expenditures actually incurred in the design, construction, supervision and completion of the Common Infrastructures or any part thereof, until the expiry of the defects liability period under the Construction Contract or the handover of the said Common Infrastructures to the relevant authorities, whichever is the later (“Actual Cost”).
f) The Parties agreed that the Actual Cost shall be shared by both Parties based on Agreed Proportionate Percentage to determine Payment Contribution of each Parties.
g) If PR1MA without any reasonable cause fails to perform or fulfil any of its obligations which adversely affect its covenants, obligations and undertakings in this Agreement then Zecon may issue a notice specifying the default by PR1MA and requiring PR1MA to remedy the same within thirty (30) days or such other period as may be agreed by both Parties from the date of receipt of such notice.
h) If Zecon without any reasonable cause fails to perform or fulfil any of its obligations which adversely affect its covenants, obligations and undertaking in this Agreement, then PR1MA may issue a notice specifying the default by Zecon and requiring Zecon to remedy the same within thirty (30) days or such other period as may be agreed by both Parties from the date of receipt of such notice
i) Save as otherwise provided in this Agreement, neither Party may assign, charge or transfer all or any of its rights, benefits, obligations and liabilities under this Agreement without the prior written consent of the other Party.
2. APPROVAL REQUIRED
a) The Agreement does not require the approval of shareholders of Zecon; and b) Where applicable, the approval of any other authorities which may be required for the completion of the Agreement.
3. FINANCIAL EFFECTS
The said Agreement is not expected to have any material impact on the earnings, net assets, share capital and substantial shareholders’ shareholdings of Zecon for the financial year ending 30 June 2015.
4. INTEREST OF DIRECTORS AND/OR MAJOR SHAREHOLDERS AND/OR PERSONS CONNECTED WITH THEM
None of the Directors and/or major shareholders of Zecon and/or persons connected with them have any interest, direct or indirect, in the said Agreement.

亿强建UTM宿舍商业中心

(新山10日讯)亿强工程(ZECON,7028,主板建筑股)签署了一项长期分租协议,以在柔佛士古来的马来西亚工艺大学(UTM)总校园旁的一片1.6公顷土地上,建设学生宿舍及商业中心。
该公司將通过其独资子公司Zecon Mutiara私人有限公司,向UTM合作社以200万令吉租用这片土地,为其30年,並有延长30年租约的选择权。
亿强工程副董事经理再努林阿末在签署仪式后透露,该公司准备投资2亿5000万令吉,以发展这项坐落于士古来-笨珍高速公路及德沙士古来花园附近的合作社商业中心。
再努林阿末预期,该工程將在5至10年內竣工。他说,该商业中心发展计划將包括一栋设有373间套房的4星级酒店、330个单位服务式公寓、商业广场及拥有800个泊车位。
「我们將呈交所有文件予负责单位,並冀望此项目能在今年內启动。」

去年同期净亏1339万9000令吉,或11.25仙。
当季营业额为3362万6000令吉,比去年同期的7619万8000令吉,大跌55.87%。
全年亏1272万
累积全年,亿强工程蒙受1271万8000令吉的亏损,比上财年同期的净亏1993万7000令吉显著改善;全年营业额则跌27.57%,获1亿5109万3000万令吉。

億強探討參與砂大「樂活」都市項目

(吉隆坡11日訊)億強工程(ZECON,7028,主闆建築股)宣佈,與砂拉越大學旗下的Unimas控股私人有限公司,簽署諒解備忘錄,以合作參與砂大「樂活」都市項目。
該項目內容為發展及興建擁有300床位的醫院、90張床位的護士宿舍、學術建築、9層樓旅館,以及服務式公寓等。因此,該公司邀請Unimas控股私人有限公司,參與所成立的特殊用途公司(SPV),并為該項目提供所需土地。
另外,億強工程在此項目中將負責技術及價格的工作,包括價格洽談;設計、興建和完成相關項目。
諒解備忘錄將敲定雙方的合作協議關係,并共同爭取該項目的合約。一旦合約到手,雙方將再簽署一項管理協議,以區分所扮演的角色。

Zecon intends to participate in the UNIMAS Health Metropolis Project that involves the development and construction of a 300 beds hospital, 90 beds nurses hostel, an annex academic block and a Commercial Block consisting a 9 storey hotel and service apartment, a 12 storey apartment, a 10 storey office tower and a 3 storey shophouses (“the Project”) and Zecon has invited UHSB to take a stake in the equity in the special purpose vehicle (“SPV”) designated to undertake the Commercial Block of the Project in consideration of UHSB providing land for the Project. Zecon shall manage all matters in the technical and price submissions, price negotiation, pursuing the appropriate authorities to issue the Letter of Intent and subsequently the Letter of Award to undertake the Project, the design, construction and completion of the Project.
The purpose of the MOU is to set out the relationship of the parties to collaborate with each other to secure the award of the Project to Zecon or the SPV and upon the award of the Project, the parties shall execute a management agreement to set up the roles of the parties and UHSB shall be accorded a 20% shareholdings in the SPV for the Commercial Block.
The MOU will remain in effect for a period of twelve (12) months or until terminated by either party by giving to the other party a three (3) months written notice and may be extended for a further period as may be agreed in writing by the Parties by issuance to the other Party of a written notice signifying its intention to renew of further the period not less than three (3) months prior to the Expiry Date. The MOU shall terminate in the event that Zecon or the SPV is not awarded the Project or in the event the Project is awarded to Zecon or the SPV, following signing of the Management Agreement or similar document between Zecon and UHSB having similar effect.
The MOU is not expected to immediately have any material effects on the earnings per share, net assets per share, gearing and share capital of Zecon for the financial year ending 30 June 2016.
None of the Directors or major shareholders of the Company and persons connected with such Directors or major shareholders have any interest in the MOU.

亿强工程首季亏损收窄

(吉隆坡30日讯)亿强工程(ZECON,7028,主板建筑股)截至9月30日,首季亏损收窄至229万4000令吉,营业额则扬30.3%,报3123万3000令吉。
根据文告,去年同期亏损达306万9000令吉。
公司表示,营业额走高主要归功于目前进行中项目贡献,如麦丁(Mydin)超商计划、Petra Jaya医院和梅拉瓦蒂花园(Taman Melawati)10层楼商业大楼。
至于税前亏损,大部分是因为目前建筑领域进行中项目涉及额外成本,以及建筑和房产的赚幅萎缩。
与一个马来西亚房屋计划(简称PR1MA)就发展古晋Vista Tunku PR1MA的洽谈,也在进行中,即将签约。【南洋网财经】

城市转型大蓝图获准 亿强工程砂拉越发展房产

(古晋3日讯)亿强工程(ZECON,7028,主板建筑股)在砂拉越Petra Jaya的超级城市转型中心(UTC)大蓝图,获得砂拉越州政府批准,将发展超过2万1000个住宅和商务单位。
上述综合发展计划,包括中央政府的行政中心。
该公司董事经理拿督再纳阿比汀,前天在该公司股东常年大会后指出,该公司周一获得政府批准该项大蓝图,以兴建1万2959个住宅单位,6089个廉价公寓,及2290商务单位。
不过他说,上述计划还需等待中央政府的最终批准。
共同发展一马房屋
城市转型中心是中央政府为人民提供便利所推动的服务中心计划,提供政府各部门机构服务及私人领域服务。
另外,再纳阿比汀透露,亿强工程子公司亿强置地私人有限公司,料于本月内与一个大马人民房屋机构(PR1MA)签署设计与建筑合约,以共同发展Petra Jaya内的PR1MA房屋。
一个大马人民房屋机构已经支付了亿强置地4600万令吉,收购Vista Tunku的土地,发展未PR1MA房屋计划。
他说:“该PR1MA房屋工程包括2331个公寓和零售单位。位于一个商务大厦上,第12到21楼是住宅单位。”
他补充,将为建筑工程招标,料耗时4年完成建筑活动。

亿强拟发债券红股 增缴足资本至2亿

(古晋7日讯)东马建筑公司亿强工程(ZECON,7028,主板建筑股)计划通过发行债券和红股,扩大公司缴足资本,从现有的1亿1900万令吉,增至2亿令吉。
该公司董事经理拿督再纳阿比汀向《星报》指出,公司计划发行不可赎回可转换无担保债券(ICULS)和发送红股计划。
他说,公司的筹资活动,旨在参与数项潜在的工程计划,同时有助巩固财务状况。
“公司已委任艾芬投行负责这项企业活动,希望能在未来6个月执行。”
亿强工程目前手握逾10亿令吉的工程,有信心在明年6月30日截止的财年,取得约20亿令吉的新合约。
亿强工程目前正忙于手上数项主要项目,而子公司亿强置地私人有限公司料于本月内,和一个大马人民房屋机构(PR1MA)签署设计与建筑合约,以共同发展Petra Jaya内的PR1MA房屋。

The Board of Directors (“the Board”) of Zecon Berhad (“Zecon” or “the Company”) would like to clarify that the Company has the intention to raise fund via the Proposed Renounceable Irredeemable Convertible Unsecured Loan Stocks with Bonus Shares (“Proposal”). Initial discussion on the Proposal has been carried out at Board level. However, the Company has yet to decide on the implementation date.
With regards to the Adviser, Zecon has identified Affin Hwang Investment Bank Berhad to be the Adviser for the Proposal but the said appointment has yet to be finalized as of now. Actually, the Zecon Berhad-Kimlun Sdn Bhd JV (“the JV”) has been pre-qualified by Lebuhraya Borneo Utara Sdn Bhd to tender for work packages under the Pan Borneo Highway Project in Sarawak and the JV has been invited to tender for the "Serian to Pantu Junction (WPC 03-SPJ)". The said project is currently in tendering stage and the JV has yet to be awarded any package.

億強工程 古晉特許經營結束

(吉隆坡18日訊)億強工程(ZECON,7028,主要板建築)在古晉敦沙拉胡丁橋的特許經營將于本月底結束。
億強工程向馬證交所報備,今日接獲砂州政府的通知,指公司在2003年10月份展開敦沙拉胡丁橋的特許權,這長達12年的收費和操作,將截至本月31日午夜。
這長達339公尺的路橋,為該公司2015財年貢獻1560萬令吉營業額。
根據報備文件,在該公司要求下,砂州政府贊成收購旗下Zecon Toll Concessionaire私人有限公司,所持有的該收費大樓和土地。
該公司指出,已將上述收費大樓和土地的細節,提呈給砂州政府作考慮。
該公司說,特許公司即Zecon Toll Concessionaire將在本月與砂州政府,簽署特許權協議變化契約(deed of variation of concession agreement ),以讓雙方終止早前的特許協議。【中国报财经】

Type | Announcement | Subject | OTHERS | Description | ZECON BERHAD- CESSATION OF TOLL CONCESSION | Further to our announcement on 18 December 2015, the Board of Directors of Zecon Berhad (“Zecon” or the “Company”) wishes to inform that the Company’s wholly-owned subsidiary, Zecon Toll Concessionaire Sdn Bhd (“Concession Company”) has on 31 December 2015, entered into a Deed of Variation of Concession Agreement (“Deed of Variation”) with the Government of Sarawak to set out the mutual termination of the Concession Agreement dated 17 July 1998 (“Termination of Toll Concession”).
The salient terms of the Deed of Variation includes the obligations of the Concession Company to cease collecting toll from midnight of 31 December 2015 and to handover to the Pengarah Jabatan Kerja Raya, Sarawak (“JKR”) possession and control of the Bridge and Associated works. The Concession Company shall also terminate or rescind any contract entered into with any other parties pertaining to the maintenance and management of the Bridge and ancillaries and contracts of all its employees, servants or agents engaged by the Concession Company in connection with its performance of the Concession Agreement.
The Termination of Toll Concession will not have any effect on the share capital and substantial shareholders’ shareholding of Zecon. It will nonetheless have the following financial effects for the financial year ending 30 June 2016:- a) material impact on the consolidated earnings and earnings per share of the Zecon; and b) not expected to have any material effect on the net asset and gearing of Zecon.
None of the Directors or major shareholders of the Company and persons connected with such Directors or major shareholders have any interest in the Termination of Toll Concession.
As a responsible corporate citizen, the Board is in support of the Government of Sarawak’s initiative to alleviate to some extent the cost of living of the people in Kuching and views that the mutual termination of the Concession Agreement is in the best interest of the Zecon Group.

(吉隆坡5日訊)億強工程(ZECON,7028,主要板建築)子公司億強土地獲首相辦公室發出工程意向書(LOA),原則上同意頒發總值7億6079萬令吉合約,建造公務員房屋計劃。
該公司向馬證交所報備指出,上述工程意向書由首相辦公室的一馬公務員房屋單位發出,發展成本7億6079萬令吉,目前已獲1億3826萬令吉輔助基金(facilitation fund)。
文告指出,根據合約,該公司將在一個馬來西亞公務員房屋計劃(PPA1M)下,在砂拉越古晉建造2117個單位雙層排屋。

金轮亿强获14.6亿泛婆大道合约

(吉隆坡10日讯)金轮企业(KIMLUN,5171,主板建筑股)和亿强工程(ZECON,7028,主板建筑股)联营公司,赢得总值14亿6077万3150令吉的泛婆罗洲大道合约。
根据文告,金轮企业独资子公司金轮私人有限公司(KLSB)和亿强工程,携手成立联营公司。
其中金轮将持股30%,另外的70%则由亿强工程持有。
该联营公司今日获北婆罗洲大道有限公司,颁发该项合约,负责承建砂拉越泛婆罗洲大道Serian圆环至PantuJunction的发展和升级工程,为期48个月。
金轮企业总执行长沈天良接受彭博社访问时指出,公司会通过内部融资和银行贷款,来筹集合约所需的资金。
“如今,市场上有很多竞标建筑订单的机会,因此,我们将更积极地竞标合约,从而让公司在接下来保持忙碌。”
