The Board of Directors of EcoWorld Malaysia is pleased to announce that SD Guthrie Land Ventures Sdn Bhd (“SDGLV”), NS Corp and EcoWorld Malaysia had on 18 April 2025 entered into a share subscription agreement (“SSA”) where parties have agreed to subscribe for shares in Eco Business Park 7 Sdn Bhd (“EBP7SB”) in an agreed proportion. SDGLV is a wholly-owned subsidiary of SDG. EBP7SB is intended to be a special purpose vehicle of a joint-venture between SDGLV, NS Corp and EcoWorld Malaysia.
On the same day, EBP7SB entered into a conditional sale and purchase agreement with SDG as the vendor and Kumpulan Sua Betong Sdn Bhd (“KSB”) as the registered proprietor (“SPA”). Pursuant to the SPA, EBP7SB shall acquire the New Land for a total cash consideration of RM572,761,989.36 (“Proposed Land Acquisition”). KSB is a wholly-owned subsidiary of SDG.
Subject to shareholders entering into a shareholder’s agreement to govern their respective rights and obligations as shareholders of EBP7SB, EcoWorld Malaysia is proposing to provide financial assistance to EBP7SB to facilitate the Proposed Land Acquisition and the development (“Proposed Provision of Financial Assistance”).
