Description
NOTION VTEC BERHAD ("NVB" OR "THE COMPANY") - PROPOSED ACQUISITION OF VACANT FREEHOLD AGRICULTURE LAND BY BENTONG RESOURCES SDN BHD, A WHOLLY-OWNED SUBSIDIARY OF THE COMPANY
The Board of Directors of the Company wishes to announce that Bentong Resources Sdn Bhd (“BRSB” or “the Purchaser”), a wholly-owned subsidiary of the Company, has on 6 February 2025 entered into a sale and purchase agreement (“SPA”) with Ng Soon Hing Dan Anak-Anak Sdn Bhd (“NSH” or “the Vendor”) for the acquisition of all that piece of vacant freehold agriculture land together with a gas pipeline and/or other government and/or utilities related infrastructure erected thereon held under Geran 45736 Lot 6079, Mukim Kapar, Daerah Klang, Negeri Selangor (“the Land”) at a purchase price of RM29,620,800.00 only, subject to the terms and conditions set out in the SPA (“Proposed Acquisition”).

Pursuant to the terms and conditions of the SPA, NSH has agreed to sell and BRSB has agreed to purchase the Land on an “as is where is” basis free from encumbrances and with vacant possession upon the terms and conditions of the SPA and subject to all conditions and category of land use expressed and implied upon relating to and affecting the Land.

Please refer to the attachment for further details of the Proposed Acquisition.
