Coastal is pleased to announce that its wholly-owned subsidiary, CHH had entered into a Share Sale Agreement (“SSA”) and a Shareholders Agreement (“SA”) (collectively known as “Transaction Documents”). Under the Transaction Documents, CHH shall acquire 100,000 shares in JOMD (“the Sale Shares”) from Richard Christopher Barnes (“Seller”) and subscribe  another 1,722,222 ordinary shares (hereinafter referred to as “the New Shares”) in JOMD. (“CS”), which is the wholly-owned subsidiary company of CPH on 23 August 2024 Both CPH and CS are private companies limited by shares with issued and paid-up capital of RM5,000.00 comprising 5,000 ordinary shares. The intended principal activity of CPH is investment holding and CS is to own and operate renewable energy assets. The investment in CPH and CS are financed through internally generated funds. The incorporation of CPH and CS are not expected to have any material effect on the earnings per share and net assets per share of COASTAL for the financial year ending 31 December 2024. None of the Directors and/or substantial shareholders of COASTAL and/or persons connected with them has any interest, direct or indirect, in the investment in CPH or CS.
