董事局或變天 TIGER董事積極吸納持股

(吉隆坡27日訊)TIGER(TIGER,7079,主要板工業)新崛起主要股東欲召開特別股東大會,撤換董事局成員在即,而現有董事積極于公開市場吸納持股。

該公司董事經理拿督陳維年、執行董事陳麗清(譯音),及林文凌(譯音)分別在11月29日、12月24日及26日轉換憑單及增持股權,3人持股增加3774萬5200股。

馬證交所文件顯示,陳維年目前直接持股達4008萬4400股或11%;間接持股則為1066萬1000股或3%,反觀陳麗清直接持股3%,間接持股則為11%。

TIGER因日前向Hayat Maya公司及Syawaras公司發出詢問撤換董事局的理由及原因未獲回應,昨日再次發出詢問。

同時要求普騰控股(Proton Holdings)前主席督斯里莫哈末納茲米、巫統前總財政拿督阿都阿欣再比及阿都拉欣阿都拉曼,出示同意出任董事簡歷。

該公司預定明年1月召開臨時股東大會,目前正等待上述兩家公司回應以確定日期。

阿都阿欣再比及莫哈末納茲米分別持有TIGER的5.39%及10.72%股權;傳兩大股東將注入30億令吉國防部合約,但至今仍未獲回應。

TIGER在另一份報備文件,匯報獨資子公司Janavista私人有限公司早前面臨的10起法律行動進展,其中遭政府索取2008年未繳納59萬8482令吉稅款,遭法庭裁決准許索款。

股價跌交投大熱
TIGER欲召開臨時特別會議,以回應撤換董事局成員一事,成市場焦點,股價雖窄幅波動,熱力欲不減,全日共易手近3500萬股,高居10大熱門股榜。

該股甫開市12分鐘交投已超過1000萬股,不過股價僅走高1仙至33.5仙,但一直保持在10大熱門股前三名位置。

TIGER休市時掛32仙,跌0.5仙,半日交投2821萬6100。

至于憑單TIGER-WA(TIGER-WA,7079WA,主要板憑單)開市及休市時皆平盤報26仙,半日交投423萬8000股。

閉市時,TIGER跌0.5仙至32仙,成交量3483萬5300股;TIGER-WA平盤報26仙,成交量554萬1000股。[ChinaPress]

金虎巴生联营8000 万产业

(吉隆坡9日讯)金虎集团(Tiger,7079,主板工业产品股)在雪州巴生、联营发展一项总值至少8000万令吉的房地产项目。

金虎集团向马交所报备,独资子公司Tiger Synergy Development私人有限公司与地主Pentas Irama私人有限公司签订联营协议,将发展上述涵盖住宅及/或商业房地产项目。

根据协议,金虎集团将负责发展计划所有成本和开支(预计2300万令吉),而PentasIrama则提供土地。

利益分配方面,以发展总值8000万令吉计算,金虎集团需支付Pentas Irama相当于发展总值35%或2800万令吉,将分4年、每半年为一期方式支付。

集团表示,将透过内部和银行借贷筹集资金。[南洋财经]

TIGER子公司遭勒令清盤

(吉隆坡9日訊)TIGER(TIGER,7079,主要板工業)宣佈,旗下子公司Janavista私人有限公司接獲清盤呈請。

該公司向馬證交所報備指出,去年9月19日,森美蘭高庭發出清盤呈請,並排期于今年12月24日聽審;Janavista于今日接獲副本通知。

在是項清盤下,Janavista需付款約75萬9825令吉。

報備文件指出,上述付款主要是來自,截至去年10月31日的損害賠償總計66萬686令吉(平均每年利率10%);07年4月28日至去年底總計9萬1138令吉(平均每年利率5%)及成本費用8000令吉。

目前,Janavista的戶頭顯示,公司仍有投資成本總額782萬3775令吉。

Janavista將委任代表律師,于2月8日提出上訴。

儘管TIGER今日全日窄幅波動,最終平盤掛31.5仙,但交投依然十分熱烈,共有2204萬4400股易手。[中国报财经]

金虎董事局特大责任失效 阿都阿津将召开特大

(吉隆坡14日讯)晋身金虎集团(Tiger,7079,主板工业产品股)大股东之一的巫统前总财政拿督斯里阿都阿津现身说法,指现任董事局举行股东特别大会的大限已过。

《商业时报》引述阿都阿津说:“董事局举行股东特别大会的责任已失效。如今问题回到我们手上。我们将宣布举行特大”。

也是国家储蓄银行前主席的阿都阿津表示,此事将交给代表律师采取下一步行动。

晋巴迪玛斯大股东
他与普腾(Proton)前主席拿督斯里纳兹米去年杪致函金虎集团,要求举行特大,以罢免5名董事,并委任3名新董事。

纳兹米和阿都阿津,间接持有金虎集团的10.72%及5.38%股权。

另一方面,阿都阿津亦在上周晋身为巴迪玛斯(Patimas,7042,主板科技股)大股东,持有5%股权。

他未与该公司董事局会面,但强调本身没有敌意。

“我入股巴迪玛斯是因为该股廉宜。巴迪玛斯是PN17公司。我们认为我们可以拯救该公司。我与多方讨论如何拯救公司,很自然就希望与管理层会谈。若他们同意我们的建议书,我会考虑增持巴迪玛斯。”[南洋财经]

金虎聯營8千萬房產

(吉隆坡17日訊)金虎(TIGER,7079,主板工業產品組)與Elitprop私人有限公司簽署聯營協議,以在雪州巴生進行發展總值達8千萬令吉的住宅或商業發展計劃。

該公司發文告表示,根據協議,旗下子公司--金虎發展私人有限公司(TSDSB)將負責承擔相關產業發展計劃的成本和開銷,發展成本料達2千300萬令吉。

金虎將透過內部資金和銀行貸款進行融資,料不會對截至2013年6月30日止財政年股本、負債比、淨資產和盈利等帶來影響。(星洲日報/財經)

金虎今日發文告說,Hayat Maya和Syawaras公司透過Yoong & Partners律師樓,1月至今共發給公司3封信函,其中Yoong & Partners在17日來信中表明客戶拒絕為罷黜動議提供合理解釋,並確認早前流傳的各種市場消息不實。

Yoong & Partners代表客戶否認的市場傳言,包括指兩位新大股東--拿督納茲米和拿督斯里阿都阿晉將以60仙全購金虎、注入價值30億令吉合約以及將政府相關計劃注入金虎。

- Yoong & Partners, representing Hayat Maya Sdn. Bhd. and Syawaras Sdn. Bhd. wrote 3 letters dated 4 January 2013, 15 January 2013 and 17 January 2013 to TSB’s solicitors and Yoong & Partners’ client Hayat Maya Sdn. Bhd. wrote a letter dated 7 January 2013 to TSB.

- TSB had vide their solicitors on 21 January 2013 responded to Yoong & Partners, representing Hayat Maya Sdn. Bhd. and Syawaras Sdn. Bhd.

- With regards to Yoong & Partners letter dated 17 January 2013, their clients have refused to provide any rationale for them seeking the removal of the entire Board of Directors. Further Yoong & Partners’ response had also confirmed that the following assertions raised in previous newspapers are untrue:

(b) “..Dato' Sri Mohd Nadzmi Bin Mohd Salleh will be implementing General Offer of shares of Tiger Synergy Berhad at RM0.60 per share” (Nanyang Siang Pao Article 8 November 2012.);
(c) “..Dato' Seri Abdul Azim Bin Zabidi.. to inject Government Link projects to the Company and to replace the entire Board of Tiger Synergy Berhad” (Nanyang Siang Pao Article 29 November 2012.);
(d) “..Datuk Seri Nadzmi Mohd Salleh and former Bank Simpanan Nasional chairman Datuk Seri Abdul Azim Zabidi, will make a move to take over the firm.” (New Straits Times Article 3 December 2012.);
(e) “..if both Dato' Seri Azim Bin Zabidi and Dato' Sri Mohd. Nadzmi Bin Mohd Salleh are to be appointed to the Board of Directors of Tiger Synergy Berhad and with the existing Board members removed, they would bring in business contracts worth RM3.0 billion to Tiger Synergy Berhad” (Nanyang Siang Pao Article 11 December 2012.).

The board of Directors of Tiger Synergy Berhad (“the Company”) wishes to announce that the Company's wholly-owned subsidiary, Janavista Sdn. Bhd. (“JSB”) has been served with a winding up petition by Cheang Ah Looi @ Cheang Chee
The details are as follows:

1. The Date of Presentation of the Winding-up Petition and the date the Winding-up Petition was served
The above winding up petition was presented at Seremban High Court on 06th February 2013 and is scheduled for hearing on 15th March 2013. JSB was served a copy of winding-up petition on 20thFebruary 2013.

2. The particulars of the claim under the Petition, including the amount claimed for under the Petition and the interest rate

    The claim under the Petition is in the sum of RM 763,719.46.

3. The details of the default or circumstances leading to the filing of the winding-up petition against JSB.

    This is due to the Judgement obtained from the High Court of Malaya in
    Shah Alam against JSB for;
    (i) Liquidated ascertained damages (“LAD”) of RM664,108.83 as of 31st October
    2012 at the interest rate of 10% per annum;
    (ii) Interest of 5% per annum on the sum of RM 91,610.63 from 28th April 2007 to
    31st October 2012;
    (iii) Cost of RM8,000.00

4. Whether JSB is a major subsidiary of the Company

    JSB is not a major subsidiary of the Company

5. The total cost of investment in JSB

    The total cost of investment currently shown in the account is

    There will be no financial and operational impact on the Group


7. The expected losses, if any arising from the Winding-Up Proceedings

    There will be no losses arises other than settlement of debts and legal costs
    incurred.

    The case is fixed for hearing on 15th March 2013. JSB will appoint their Solicitor
    to file appearance and defence to the suit.

Petition against JSB
JSB entered a Sale and Purchase Agreement (“SPA”) with the plaintiff for the sale of vacant land at Polo Vista,Section 10, Kota Damansara.
The plaintiff claimed that JSB has failed to deliver vacant possession within thirty-six (36) months from the dateof the SPA and claimed for liquidated damages at the rate of 10% per
annum of the Purchase Price.

Plaintiff had on 2 July 2012 obtained a Judgment from the High Court of Malaya in Shah Alam against JSB.

2) The estimated legal costs to be incurred
The estimated legal costs to be incurred is approximately RM50,000.00

A writ summon has been served by Tang Yit Fun (TYF) and Tang Yit Peng (TYP) on 25 February 2013 against Tiger Synergy Berhad (“the Company”), Goldenier Property Management Sdn Bhd (GPMSB) and Janavista Sdn. Bhd.(JSB), both are the wholly-owned subsidiary of the company for the following claims;


    For the sum of RM4,575,000.00;


    Specific performance and damages for breach of contract dated 19th December 2012, interest and costs;
