Unless otherwise stated, all definitions and terms used in this announcement shall have the same meaning as defined in the Company’s announcement dated 29 May 2012 in relation to the Dilution of equity interest in Paris RCG Sdn Bhd (“PRCG”) to 58% owned subsidiary company. Reference is made to the Company’s announcement dated 29 May 2012, the Board of Directors of Bonia wishes to announce that the Company had on 30 April 2014 executed a Revocation Agreement (“Revocation Agreement”) with ESPD, LTF, LTS, TSD, THH, TYM, KLM, OKM, LCH and LYC (“Minority Shareholders”) to revoke the SA dated 29 May 2012 with regards to their relationship as shareholders of PRCG (“Revocation”). The rationale and salient feature of the Revocation Agreement is to withdraw all the prevailing terms and conditions governed the conduct of business and affairs of PRCG as stated in the SA. As a result, the conduct of business and the affairs of PRCG are now governed by the Companies Act, 1965 (including any regulations, rules, orders or other statutory instruments made pursuant thereto) and the Memorandum and Articles of Association of PRCG. The Revocation does not affect the rights and benefits of Bonia and the Minority Shareholders in respect of their shareholdings in PRCG. At the same time, it will not cause any effect on the earnings, net assets or gearing ratio of the Company for the financial year ending 30 June 2014 as well. None of the Directors of the Company and to the best knowledge of the Directors, none of the major shareholders or persons connected to them has any interest, direct or indirect in the aforesaid Revocation. Having considered all relevant aspects of the Revocation, the Audit Committee and the Board of Directors of Bonia are of the opinion that the Revocation is in the best interest of the Bonia Group. The Revocation Agreement is available for inspection at the registered office of the Company at Lot 10, The Highway Centre, Jalan 51/205, 46050 Petaling Jaya, Selangor Darul Ehsan from Monday to Friday (except public holidays) during normal office hours for a period of three (3) months from the date of this announcement. 销售增长稳定 宝利获利前景佳

（吉隆坡2日讯）宝利机构（BONIA，9288，主板消费产品股）同店销售增长率（SSSG）稳定，加上立足于区域市场支撑盈利增长，因此，前景获分析员一致看好。

宝利机构2014财年第三季净利报1500万令吉，把首9个月净利推上4800万令吉，优异表现符合市场预测。

现财年第三季的同店销售增长率稳健，其中大马扬6%、新加坡微跌3%、印尼暴增56%，而精品店和柜台皆扬升6%。

大马研究分析员点出，宝利机构积极扩展到印尼和越南市场，第三季表现也显著改善，分别占集团营业额11%及9%。


他看好宝利机构的品牌强劲，并立足于多元的区域市场，拥有稳定同店销售增长率，足以支撑公集团盈利增长。

宝利机构除了店面表现优异带动业绩，集团第三季也进一步控制营运开销，顺利改善盈利表现。

低成本印尼越南设店

集团以较低装修费和开店成本，在印尼和越南增设分店。集团现财年首9个月的营运赚幅，扬升至15.2%。

联昌国际投行研究分析员相信，宝利机构将继续扩展，成为真正的区域优质零售商。

宝利机构在大马、新加坡、印尼、越南和中东，拥有1291家分店。

企业活动增股票流动

基于第三季和首9个月符合市场预期，分析员皆保持财测和评级，也看好宝利机构盈利前景。

宝利机构早前宣布红股和股票分拆计划，预计今年第三季完成。

联昌国际投行研究分析员相信，最新企业活动将提升股票流动量，股价也更廉宜，可吸引更多散户，并带动公司估值。

不过，集团面对最大的风险，是区域经济转弱，连带影响消费者情绪。

宝利冀2016税后盈利10亿

（吉隆坡7日讯）宝利机构（BONIA，9288，主板消费股）正努力达致每年12%税后盈利（PAT）增长目標，以期公司可在2016財政年（6月30日结帐）取得10亿令吉的税后盈利。       

宝利机构董事经理拿督张兴庆指出，公司目前的税后盈利涨幅仍低於10%，2014財政年首3个月的累积税后盈利成长仅9.8%，距离所设下的12%的成长水平还有一段距离。

为了能够让公司的税后盈利和业务取得更好的成绩，他表示，公司今明两个財政年將会从两方面著手，即各区域的业务扩充，以及关闭表现不理想或一直蒙受亏损的分店。

配合这项政策，他指出，宝利机构在2014年下半年將拨出3000万令吉的资本开销（Capex），其中2000万令吉作为分店扩展，1000万令吉用作仓库设施更新计划。

他在宝利机构执行董事张禎洛和財务经理王文发的陪同下，出席今日股东特大的记者会时，如此表示。

张禎洛指出，公司在今日的股东特大，已经通过派发1送1红股、1变2拆细股票，和修改公司章程的建议。

股东在会上询及和关心公司未来的派息，他表示，宝利机构今年或未来数年都会先集中于公司的扩展活动，同时也要视乎公司的盈利表现，才能够决定来临的股息派发数额。该公司2013財政年（截至6月30日止）仅派发每股5仙的股息。

他指出，宝利机构目前的主要销售市场是在大马、新加坡、印尼、越南和中东市场，除了大马和新加坡贡献佔较大比例之外，其他海外市场的贡献比重皆在10%或以下。

「由于越南市场经济稍微走缓，但我们决定採取静观其变的方式，並相信该国的经济会有所好转。」他补充，宝利机构分店共有164家，而销售柜檯则有1100个，大部份都集中在东盟地区。

同时，他表示，虽然公司在2012年毅然退出中国市场，但目前在当地仍有200个Braun Buffel品牌销售柜檯。

自该公司2012年撤出中国市场后，虽然当时没有对財务带来重大的影响，却让公司尝试到失败滋味，时隔2年，张兴庆近期宣布，宝利机构將再度进军中国市场。

有了前车之鉴，他表示，公司这次希望可以通过与合適的联营伙伴联手，他表示，这一次的合作伙伴必须有3大要素，即財务实力、相关经验和广泛的销售网络，以及对宝利品牌给予绝对信任。

裁减亏损分店

他透露，公司已与有潜力和感兴趣的伙伴进行洽商，「相信一切细节会从现在开始，在12至24个月完成。」他也透露，希望潜在合作伙伴可以是中国较大型的上市公司，拥有广泛的销售网络等条件。

另外，他也表示，公司將会裁减业绩表现不佳或常处於亏损状態的销售分店，以保留有实力的分店，进一步推高公司的税后盈利增长。

皮革產品前景乐观

大马的消费情绪还处于正面水平，整体的时尚品消费平均获得12至18%的增长，因此，张兴庆对未来皮革產品市场前景依然保持乐观。

至於明年消费税（GST）到来，他也相信公司2015財政年受影响的程度不会太大。

他指出，宝利机构的市场主要是以中上阶层为主，同时，公司的財政年结账日在6月30日，因此，2015財政年相信仍未全面反映消费税的影响。另外，他也举例，在日本实施消费税之前，高价物品需求纷纷走高。

而宝利机构主要销售的皮革產品，虽然並非必需品，但他还是相信，宝利机构在消费税上路之前，按月或可能会接近10%的成长。

宝利机构的大马市场渗透率大约为40至50%，在大马的皮革包市场上名列首3名。【东方网财经】

（2）寶利機構剛完成1送1紅股，以及股票拆細1拆2的企業計劃，使股票數目大增，從原本的2億零157萬1千850股，增至8億零628萬7千400股。

聯昌研究甫於今年7月21日最新簡評中指出，看好上述企業計劃，股票流通量大增，可吸引更多投資者參與投資。紅股等計劃沒有改變公司的基本因素，惟正面看待預期更多投資者參與將有利估值，目標價達2令吉3仙。

另一方面，大馬研究分析員於今年7月18日的報告指出，看好寶利的業務前景，主要是在皮革產品的壟斷地位，以及與外國同儕比較，其高檔產品品牌具吸引人的價格優勢。

大馬研究也看好其海外市場業務，因目前僅佔9%份額（不包括新加坡）及其積極擴張行動。

中長期的印尼業務有望轉虧為盈，越南業務則隨著其經濟复甦。

無可否認，市場擔心2014財政年的國內市場潛在消費活動放緩，不過，預料寶利的同店銷售成長持續，主要是強勁品牌透視度利好支撐。

同時，大馬旅遊年及擴張業務至海外市場，也有助營運賺幅及品牌產品持續增長。特別是它有意通過合作伙伴方式進軍中國市場，以減少投資成本。
大馬研究給它的目標價為1令吉55仙，或等於2015財政年預測本益比15倍水平，比較其5年新高的21倍水平。

宝利计划进军中泰菲市场 减轻马新放缓冲击

(吉隆坡11日讯）宝利机构有限公司（BONIA，9288，消费产品组）计划加强其海外扩张的步伐，瞄准像中国，泰国和菲律宾的新市场，以减轻本国和新加坡经济增长放缓所带来的冲击。

该集团也计划加快在印尼开设新店，该公司是于3年前进军印尼市场。

该公司执行董事张祯洛称，集团计划在2015年6月30日为止的财政年内，为宝利机构各项品牌开设10至15间新店。

在14年财政年内，该公司总共开设了20间分行包括13间在大马，而新加坡与越南各两间，至于另外3间则设在印尼。

他解释称：“看来，我们在大马和新加坡的销售增长已经接近饱和点。”

张氏称：“当然，我们在大马的市场仍然会有增长，因为经济增长是积极的，但我们的增长将不会有惊人的速度 。”

这是他在一项访谈中接受访问时作了如是称。

宝利机构目前的业务遍布在16个国家，包括台湾、汶莱、沙地阿拉伯、缅甸、越南和印尼。

它通过在购物中心超过1000个专柜台，以及通过其164家专卖店销售其产品。

在海外业务中，大马与新加坡的销售额贡献最大，带来约92.4%收益，而其余的7.6%收入是由海外带来。

张氏指出，过去3年来，公司为本地与海外的资本开支，所拨出的费用介于2000万至3000令吉。

该公司最近进军柬埔寨，并在6月间开设了首间专卖店，该店面积占1200平方尺。

他称，公司已在3年前进军海外，并以一个大方式在印尼和越南扩张。

他称：“我们相信，在印尼和越南的酝酿期已接近尾声，因此，我们看到来自印尼和越南更好的销售贡献，”

他续称，在15年财政年内，预料印尼可带来50%的销售增长率、越南却可带来40%增长贡献。

BIS was incorporated in Italy with a nominal quota capital of EUR10,000 and is intended to engage in product development, marketing, promotion and design (“R&D”). The rationale for the Acquisition is to expand the Company’s R&D capabilities and production base. The Acquisition was funded by internal resources and is not expected to have any material effects on theearnings or net assets of the Company for the financial year ending 30 June 2015. The Company will provide further updates when there is any material development. None of the Directors and to the best knowledge of the Directors, none of the major shareholders or person connected to them has any interest, direct or indirect in the Acquisition.
