（吉隆坡12日讯）成业资源（SYF Resources Bhd）与马六甲证券私人有限公司（Malacca Securities Sdn Bhd）签署了包销协议，以包销6258万令吉附加股集资活动的公开配股。

成业资源原本是家具制造商，目前已出售现有业务，并将通过倒置收购合盈证券（M&A Securities），进军金融服务行业。

成业资源在1月19日获得股东批准进行倒置收购，包括以每股22仙，发行2亿8444万股新股。

成业资源表示，Insas Bhd的股东已同意依据持股比例，认购所有附加股。

（吉隆坡30日讯）合盈控股（M&A，7082，主板金融股）宣布，随著完成成业家俬（SYF）倒置收购活动，取代后者在大马交易所主板挂牌上市。

合盈控股首日到马股主板上市备受投资者追捧，早盘以26仙开跑，一度涨至27仙，但随后回吐涨幅，截至早上11点报26仙，股价暂时无起落，共有3573万股转手，是全场第3大热门股。

文告指出，合盈证券（M&A Securities）完成成业家俬倒置收购活动后，将取代其上市公司地位，公司名称也从原本的成业家俬（SYF），易名为合盈控股（M&A），上市公司组别也从原本的消费股转为金融股。

该公司董事经理拿督陈俊㟽指出，合盈控股完成上市有助于提升知名度，并争取更多新商机，同时将积极探讨进军资产管理市场的计划，也会考虑设立纳闽投资银行，作为支援长期业务扩张的非有机措施之一。

“我们将因应持续增长的大马资金市场需求，为顾客提供更广泛多元的金融服务。”

他续指，公司短期内计划推进一系列业务扩张活动，包括扩大企业融资咨询业务、加强客户覆盖率、争取更多首次公开售股（IPO）和二级股票发行活动、强化线上交易平台以拓展股票交易和按金融资业务，以及争取中小企业之外的客户等。

上述倒置收购活动于2021年公布，是由成业资源向英莎（INSAS，3379，主板金融股）发行价值每股22仙的10亿零900万股新股，以2亿2200万令吉收购合盈证券100%股权。

此前，成业家俬已脱售橡胶木业务和土地资产，并资本回退的方式将1亿零240万令吉派发予股东。

同时，成业家俬也完成了一项集资活动，向原有股东和新股东以2配1发行附加股和受限股，每股发行价为22仙，集资约9260万令吉，用于偿还合盈控股现有的公司透支款项，以及充作营运资本。

合盈控股是一家证券交易及融资顾问公司，也透过旗下子公司经营代理人和注册服务。该公司拥有大马证券监督委员会（SC）发出的资金市场服务执照，能为市场提供证券交易和企业融资顾问服务。

另外，合盈控股是证监会认可首要顾问，同时也是大马交易所的创业板和中小型企业板上市公司保荐人。
