Spansion lists 163 Austin job cuts
By Kirk Ladendorf | Wednesday, February 25, 2009, 03:02 PM
Chipmaker Spansion Inc. has informed the Texas Workforce Commission that it cut 163 jobs in Austin this week, roughly 14 percent of its workforce
That could mean Austin was less severely affected than some other Spansion sites. The company cut 3,000 jobs, or 35 percent of its worldwide workforce.
The Austin cuts included two executive vice presidents, a vice president, three engineering directors and one product marketing director, and about three dozen engineers, according to the letter to the Workforce Commission.
They included about 60 manufacturing workers.
The Sunnyvale, Calif., company had previously declined to detail job reductions in Austin or its other locations.
Spansion has been struggling to keep its operations going in the face of a devastating downturn as it seeks to find a buyer or business partner.
It put many Austin workers on six-week-long unpaid furloughs over the holidays. Workers who are still on the job said their hours or pay have been reduced.
Workers have said that some employees with more than two decades of experience lost their jobs this week. Workers said they did not receive severance pay, except for a company commitment to pay part of their ongoing health insurance costs.
The company has been hurt by a global decline in demand along with weak prices created by a glut of memory chips.

Spansion

Spansion to axe almost half of Penang workforce
By Marina Emmanuel
Published: 2009/02/27
More layoffs are expected in Penang by the end of this week, when US flash memory chipmaker Spansion Inc sheds almost half of its Penang workforce.
Penang Chief Minister Lim Guan Eng said the State Manpower Department has informed state authorities that a voluntary separation scheme (VSS) is being instituted by the company in Penang and about 600 workers will be affected.
"We are still waiting for them to complete the VSS," he told reporters after opening the World Congress on Science, Engineering, and Technology (WCSET) 2009 in Penang yesterday.
Lim was asked what measures were being taken by the state government to assist the affected workers.
Spansion is estimated to have a 1,300 headcount in Penang.
On Monday, the debt-laden Spansion announced that it would lay off 3,000 or 35 per cent of its global workforce.
It was reported that Spansion is considering putting itself up for sale, in the face of a deepening recession which is facing the global chip industry.
Its Japanese arm filed for bankruptcy protection on February 9 with total liabilities of US$810 million (RM2.9 billion), following in the heels of Germany's Qimonda in becoming the latest victim of the global chip sector's downturn.
Analysts described it as the biggest failure by a manufacturer in Japan in 2009.
Fujitsu is reported to own about 11.4 per cent of Spansion Inc, and Advanced Micro Devices about 8.7 per cent.
"The global recession is forcing us to make this very difficult decision in order to bring our costs in line with the current expectations for significantly reduced revenues," Spansion's chief executive officer John Kispert said in a statement this week.

Penang govt awaits Spansion VSS details
Written by Regina William
Friday, 27 February 2009 13:08
GEORGE TOWN: The state government is still waiting for details of Spansion (Penang) Sdn Bhd’s voluntary separation scheme (VSS) announced to its 1,300 staff on Tuesday, said Chief Minister Lim Guan Eng.
Lim said according to the Labour Department, more than 600 people across the board would be affected.
The Edge Financial Daily reported on Wednesday that Spansion Penang offered the VSS to over 700 workers of its 1,300 staff after its parent Spansion Inc in the US said it would cut its global workforce by 35% affecting about 3,000 employees at its factories.
In an email reply, Spansion Inc director public relations Holly Burkhart said the group began shedding its workforce on Feb 23.
“This regrettable but unavoidable decision that affected not only our rank-and-file employees but members of the company’s management team is a worldwide action affecting most locations. The majority of the positions affected are at Spansion’s global manufacturing sites, as the company resizes the organisation due to current market conditions,” Burkhart said.
When asked about the severance package and when the exercise would be completed, Burkhart said Spansion was not disclosing details of the exercise but would follow all legal guidelines based on geographic location.
She also declined to reveal what production processes would halt in Penang or transferred elsewhere.

Laid-off employees outraged over execs' pay increases
By Steve Johnson
Mercury News
Posted: 02/26/2009 06:01:17 PM PST
Earlier this week, as 3,000 employees of Spansion, the Sunnyvale semiconductor company, were being laid off, many of their bosses were getting pay increases.
That juxtaposition — against the backdrop of the deteriorating economy and nationwide anger about greedy executives — has triggered outrage among the workers who have been let go.
Scores of the laid-off workers jammed a West San Jose pizza parlor Thursday to join two class-action lawsuits against the firm and to vent their anger.
"It's just callous," said 38-year-old Eric Rebaker of Boulder Creek, who lost his job as a Spansion plant maintenance specialist. "To hurt all these families — it makes me absolutely angry."
The employee layoffs, constituting about 35 percent of Spansion's global workforce, were announced as a cost-cutting measure in a company news release Monday. In a separate filing with the U.S. Securities and Exchange Commission the same day, Spansion disclosed that its board had rescinded a six-month 10 percent pay cut imposed in October on some managers.
The decision to restore the pay was "to provide an incentive for executive officers and certain other key employees to remain employed by the company," the filing said.
Layoffs 'regrettable'
In a prepared statement Thursday, Spansion called the layoffs — which affected 615 California employees — "regrettable." But it added that "the board of directors made a strategic decision to restore the full salaries of our key executives to ensure their continued commitment to the company's future."
In an interview, Russ Barck, Spansion's chief of staff, declined to say how many people had their pay restored, except to note that it was "a very small subset of the company."
Although "none of us feel good about the reduction in force," Barck said, "it was one of those things we felt from a business perspective we had to do." He added that Spansion is confident the layoffs were done lawfully.
However, two class-action suits filed in U.S. District Court in San Jose on behalf of fired Spansion employees dispute that. Both claim that Spansion failed to adhere to federal and state law, known as the WARN Act, requiring large employers to give a two-month notice before laying off more than 50 workers.
"What we're seeking on behalf of the folks who were recently let go by Spansion are damages in the form of back pay and other benefits that they likely were entitled to but didn't receive," said Eric Gibbs, a San Francisco lawyer handling the cases.
Company spokeswoman Holly Burkhart said Spansion filed a WARN Act notice Monday, but that it has an "exemption" to the 60-day notice requirement. The company would not elaborate.
Neither suit addresses the issue of the executives' pay being restored. But the attorneys handling the suits said that issue may become relevant later in court.
"Right now I just think that's a very unsavory aspect of it," said San Francisco attorney Ken Sugarman, who filed one of the suits. He questioned Spansion's claim that restoring the pay would help keep key employees from leaving.
With so few companies hiring in this economy, Sugarman asked, "Where are they going to go?"
Maker of flash chips
Spansion was formed by Sunnyvale computer chip maker Advanced Micro Devices and Fujitsu, the Japanese technology company, in 1993 under the name Fujitsu AMD Semiconductor Limited. In 2003, AMD and Fujitsu renamed it Spansion, and the firm became an independent public company in December 2005.
Its bread and butter is so-called flash memory chips used to store data in cell phones, cars, printers and other electronic devices. But it has struggled, especially during the worldwide recession, which has reduced consumer demand for gadgets containing such chips.
The company has consistently lost money since it went public and was $133 million in the red for the third quarter of 2008, the most recent period for which it has disclosed financial data. The company's stock closed Thursday at 5 cents; its 52-week high is $3.70.
In addition to the layoffs, Spansion recently announced it would delay paying some of its debt and consider selling itself or merging with another company.
Making sure its top executives stick around during tough times could be an important selling point if Spansion wants to attract a buyer, said Jim Balassone, an executive in residence at Santa Clara University's Markkula Center for Applied Ethics.
But Spansion's decision to pay the executives more while laying off others doesn't look good, he said, adding, "It appears there is no shared sacrifice."
A lot of those who lost their jobs feel the same way.
"It's greed," said Jose Alejandrino, 50, of San Ramon, who said he worked in a Spansion testing area. He worries how he will pay his mortgage and three kids' college bills.
"I've had a really hard time sleeping the last few nights," added 54-year-old Paula Rao of Santa Clara. "I guess the bottom line is they have money to reward the execs that trashed the company, but not a crumb for the employees that truly deserved better."

Former Spansion CEO, concerned about fired employees, returns severance
By Steve Johnson
Mercury News
Posted: 02/27/2009 05:31:24 PM PST
Declaring "I am literally in tears" over the firing of 3,000 employees at computer chip maker Spansion, the company's former chief executive told the Mercury News on Friday he is returning $403,000 in severance money he got from his recent retirement in hopes it can be used to help the laid-off workers.
"My heart is broken to see that large amount of great people have been laid off without any severance," Bertrand Cambou also said in a letter sent Friday to the board of directors of Sunnyvale-based Spansion.
Cambou, 53, retired Feb. 2 after serving as president and CEO since 2003. In an interview with the Mercury News, he said, "I hope they are going to take some of that money and give it to the people" who were laid off.
Cambou, who noted he is still consulting with Spansion but looking for a full-time job, said he received $751,000 in severance, and all but $403,000 went to taxes.
"We appreciate Dr. Cambou's symbolic gesture and his concern for the welfare of Spansion and its employees," the company said in a prepared statement, adding, "We are talking with Dr. Cambou about his offer." The statement did not indicate how Spansion might use the money.
Many workers are outraged that they were fired Monday without severance payments, while Spansion's board the same day boosted the pay of some executives and other key employees by rescinding a six-month 10-percent pay cut that had been imposed on those top employees in October.
The fired workers also have claimed they were let go without proper notice under the state's so-called WARN Act, which generally requires large companies to give a 60-day notice before laying off 50 or more people.
Two class-action lawsuits filed Thursday in U.S. District Court in San Jose claim the company failed to comply with the WARN law. But Spansion officials have said they didn't have to comply with the prior-notice provision because they qualified under a legal exemption that they have declined to specify.
Cambou's gesture touched 38-year-old Eric Rubaker of Boulder Creek, who was among those fired and is named as a plaintiff on one of the class-action suits.
"Oh my gosh, wow!" Rubaker responded. "He really is a nice man."
Among other things, Rubaker urged Spansion to use Cambou's money to pay for the laid-off workers' health insurance. "That could really help everybody out," he said.
"I'm floored," added laid-off 54-year-old Paula Rao of Santa Clara, when informed of Cambou's action. "I think it absolutely should be given to the employees who were separated from the company. ... Maybe it's too little too late. But it would still salve the wounds a little bit."

Tech Company Breaks "No Greed" Rule
By Scott Budman
NBCBayArea.com
updated 12:17 a.m. ET March 1, 2009
Once again, it seems someone didn't get the memo.
When we, as a nation, recently decided that a company/bank/agency, in the face of big layoffs, can no longer add to the insult by giving executives extra money, someone apparently forgot to tell Spansion.
On the same day that Spansion (SPSN) announced 3,000 layoffs, it also announced a plan to give executives money back, which the company previously decided to cut in the name of good corporate citizenship.
So, massive job cuts and executive suite pay raises from a publicly traded company.
And it gets even better. Because unlike Wells Fargo, which after hearing the outcry from shareholders and other public citizens, canceled its plan to send employees to high-priced hotels in Las Vegas, Spansion responded to its own crisis -- with relative silence.
No executive would talk on camera, only a short printed statement expressing "regret" about the layoffs, and pointing out that some of those getting the raise were below the VP level. Do you suppose that makes any of the 3,000 who lost their jobs feel any better?
Apparently not, because some are now filing a lawsuit against the company, claiming that not enough notice was given before the layoff was announced. As for the executives and employees who got the money, I asked Jim Basallone of the Markkula Center for Applied Ethics at Santa Clara University if he thought employee retention could be behind the pay boosts. Basallone, who comes to Santa Clara with decades of tech industry experience, asked me, in this market, where would they go?
He has a point.
He calls the message sent by the company "at best, insensitive to irresponsible."
At a time when public relations is of crucial importance, Spansion dropped the ball, plain and simple. But maybe they're not as worried about image as most other publicly traded companies. As I write this, Spansion stock trades at 5 cents a share.

FormFactor sues Spansion over unpaid $8.1 million order
Posted by Jack Davis on February 27th, 2009 at 4:48 pm
FormFactor has sued Spansion for $8.1 million it says the Sunnyvale flash memory maker owes it for product ordered and delivered but never paid for, according to information found in the Livermore company’s 10-K annual financial report filed with the SEC Friday.
The law suit was filed in Santa Clara County’s superior court a week ago, days before Spansion slashed its payroll by 3,000 employees, or more than a third of its work force.
The Livermore maker of wafer probe cards used in semiconductor manufacturing is seeking payment of the amount owed as well as an injunction stopping Spansion from “divesting itself of any monies” it recieved from a “certain third party entity, as well as costs and attorney’s fees.
Spansion has hired a new chief executive, John Kispert, paying him four months of his $900,000 salary up front, which is his to keep should he quit before four months are up. Spansion’s board also promised Kispert a $1.75 million bonus if he can arrange a merger of the company or sell off its assets.
Sounds like he’ll have to play beat the clock, though. To get the bonus he must make sure the procedes from any deal will cover all of its secured creditors claims and that he makes it happen before any trustee is appointed “in connection with any bankruptcy proceedings.”
Looks like FormFactor will have to stand at the back of the line if (er, when?) Spansion seeks protection in bankruptcy court.
Spansion seemed to add insult to injury to the workers it laid off earlier this week when its board reversed 10 percent pay cuts some of its executives took last year the very same day, characterizing the move as a an effort to keep the executives from quitting.

Spansion to fire 75 in Israel
The company, which acquired Saifun Semiconductor 18 months ago, is cutting its global workforce by 35%.
Tzahi Hoffman24 Feb 09 17:18
Flash memory maker Spansion Inc. (Nasdaq: SPSN) will fire 75 employees in Israel, 40% of its local workforce of 190. Spansion Israeli activity is based on its acquisition of Saifun Semiconductor 18 months ago. The layoffs are part of a 35% reduction in the company's total workforce - 3,000 employees will lose their jobs worldwide. This is one of the company's streamlining measures.
Spansion already tried to shorten its workweek to four days, a measure being taken by a number of high-tech companies. That measure was of little help, and the company is now slashing its workforce.

BRIEF: Hope and doubt remain after Spansion Japan bankruptcy: Executive changes may imply progress toward an investment or acquisition.

Feb 12, 2009 -- Spansion Inc.'s subsidiary Spansion Japan Ltd. earlier this week sought bankruptcy protection under the Corporate Reorganization Law (Kaisha Kosei Ho) of Japan in order to obtain protection from creditors while it continues restructuring efforts. Spansion Japan has $800 million in liabilities, and its 1,300 employees amount to 13 percent of the company's global workforce.
Spansion's own future remains in doubt. The company is currently traded at a market cap of just $10 million. It has $1.5 billion in liabilities and $250 million cash. Spansion said that it did not expect the filing in Japan to materially affect its global operations.
