場外售7.84%‧成功集團成功汽車重組恐生變

（吉隆坡22日訊）成功集團（BJCORP,3395,主板貿服組）上週四和週五（14和15日）大手筆在場外賣出成功汽車（BJAUTO,5248,主板貿服組）8千974萬6千600股或7.84%股權，令部份市場人士揣測成功集團和成功汽車管理層之間的股權重組計劃或出現變數。

總持股減剩14.04%

資料顯示，原本持有成功汽車21.88%股權的成功集團，已在上週四和週五透過場外交易，賣出7.84%股權，使總持股減剩14.04%。

另外，在成功集團宣佈賣股之際，負責替雇員公積金局（EPF）管理資金的基金經理，卻巧合地在上週四和週五大量替公積金局增購成功汽車3千101萬股股票，使總持股從7.29%增加至9.37%。

公積金局增持9.37%

由於成功汽車上週四和週五在公開市場的總成交量，分別只有695萬和335萬股，意味公積金局所購入的3千101萬股不可能來自公開市場，而成功集團又剛好在場外賣股，使一些市場人士懷疑成功集團所賣出的股權，或有一部份流到公積金局手上。

若真如此，則暗示成功集團上週二（12日）與成功汽車管理層簽署、志在把公司控制權轉交成功汽車管理層的備忘錄，有告吹風險，否則成功集團不太可能在簽署正式協議前繼續賣出成功汽車。

根據備忘錄，持股21.88%成功集團，和持股約10%的成功汽車管理層，原本計劃把合計持有的31.88%成功汽車股權注入一家特別用途公司（SPV）；事成後，管理層將掌握SPV的66.67%股權，晉升成功汽車最大股東，掌握控制權，反觀成功集團到時只會持有SPV的33.33%股權，在成功汽車的間接權益也將稀釋剩約10.6%。

有鑑於此，若成功集團提早把成功汽車的部份股權賣出給SPV以外的投資者，則暗示原定的股權重組計劃可能告吹；另外，由於成功集團至今未和成功汽車管理層簽署最終協議（交易所網站未出現相關文告），成功集團上週賣出成功汽車股票，買家也不太可能是SPV。

無論如何，目前沒有任何證據顯示公積金所增持的股票來自成功集團，畢竟成功汽車的機構股東數量繁多，公積金增持的股票也有可能來自這些機構股東。（星洲日報／財經‧報道：李三宇）

传成功汽车获韩国双龙经销权

（吉隆坡21日讯）传成功汽车（BJAUTO，5248，主板贸服股）赢得韩国双龙（Ssang Yong）汽车大马独家经销权。

《The Edge》引述消息报道，在汽车领域当中，双龙汽车的品牌非常弱，因此，如果要让相关独家经销权交出良好表现，就需要投入大笔资金。

“双龙汽车是不能贸然接手的品牌之一，所以，除非成功汽车为此投入资产，否则双龙汽车的品牌将难以复苏。”

今年1月，成功汽车宣布会通过菲律宾双龙成功汽车公司，在菲律宾销售双龙汽车的Tivoli、Korando及Rodius车款，从而把该品牌重新引进当地。

根据菲律宾媒体报道，成功汽车已赢得在主要东盟市场，经销双龙汽车的权利。

而获得双龙汽车独家经销权的条件，就是公司必须在大马组装前者的主要车款。

因此，市场传成功汽车正把目光投向东方实业（ORIENT，4006，主板消费产品股）位于柔佛的汽车组装厂。【南洋网财经】

傳搶下雙龍經銷權‧ 成功汽車評級維持

（吉隆坡23日訊）成功汽車（BJAUTO,5248,主板貿服組）傳言取得韓國雙龍汽車（Ssang Yong）的大馬或主要東盟市場經銷權，分析員看好這項潛在新發展，惟在消息證實之前，暫維持其財測及評級。

MIDF研究指出，市場傳言，成功汽車已取得雙龍汽車在大馬或主要東盟市場的經銷權，條件是須在大馬裝配，以提高雙龍汽車價格競爭力，因大多數東盟國家的稅務架構較為偏高。

MIDF看好有關發展，主要有助刺激潛在盈利及為產品營造經濟規模。惟該行暫時維持其財測不變。

MIDF指出，有關發展也並非完全令人感到意外，因成功汽車菲律賓持有雙龍-成功汽車菲律賓的8%股權，後者在菲律賓經銷雙龍汽車。

成功集團（BJCORP,3395,主板貿服組）及兩名本地股東則持有雙龍-成功汽車菲律賓的其餘股權。

MIDF表示，成功汽車目前與馬自達擁有很好聯係，惟它與休閑車為主的雙龍沒有太多的產品重疊，不過它可能會出現利益衝突。預料成功汽車將設立一間聯營公司以經營雙龍經銷業務，以避免利益衝突。

預料資本開銷將不成問題，因為成功汽車擁有堅穩的資產負債表，即持有2億5千萬令吉現金及每年可營造約2億令吉的現金流，特別是它僅需要較少的資本開銷。

大馬投行指出，雙龍在大馬銷售量日益減少，去年僅賣出109輛汽車，比2014年的207輛更少（2013年為292輛及2012年為238輛），僅占大馬2015年總汽車銷售量的0.02%。

大馬投行表示，雙龍汽車去年淨虧6千190萬韓元，營業額則為34億韓元。它全球銷售14萬4千764輛汽車，其中45%或4萬5千100輛是海外市場銷售，大部份為完全整裝汽車。（星洲日報／財經）

（吉隆坡13日讯）成功机构（BJCORP，3395，主板贸服股）宣布独资子公司成功集团（Berjaya Group）以共2亿3730万令吉，脱售成功汽车（BJAUTO，5248，主板贸服股）的剩余1亿1300万股，或9.86%股权。

根据文告，首先，成功集团以2亿1861万令吉，或每股2.10令吉脱售价，将1亿410万股或9.09%的成功汽车股权，脱售给特别用途公司，后者将以现金加新股的方式认购。

此外，成功集团也通过直接商业交易，以1869万令吉，或每股2.10令吉，脱售890万或0.77%的成功汽车股权。

完成脱售后，成功机构将不再直接持有成功汽车，不过，通过持股33.3%的特别用途公司，间接持有成功汽车的17.11%股权。

成功汽车末季净利减6.6%

国内营运子公司的盈利贡献减少，拖累成功汽车（BJAUTO，5248，主板贸服股）截至4月30日末季净利按年减少6.6%。

集团末季净赚5161万8000令吉或每股净利4.51仙，低于上财年同期的5526万4000令吉，或每股4.85仙。

此外，营业额从上财年同期的4亿2434万令吉，按年增长26.01%，至5亿3471万令吉，因国内和菲律宾的汽车销量增加。

不过，国内营运子公司的税前盈利却下跌，主要因为激烈竞争、外汇亏损，以及汽车成本增加，导致总盈利赚幅受压。

至于全年净利按年收窄6.76%，至1亿9801万令吉或每股净利17.35仙，而营业额则提高15.4%，至21亿1224万令吉。

今日，董事局亦公布派发每股2.5仙的第四次中期单层股息，以及每股7.5仙的特别单层股息。

菲业务潜在上市·成功汽车可持续高派息

（吉隆坡14日讯）成功汽车（BJAUTO，5248，主板贸服组）2016年财政年净利表现符合或超越市场预测，分析员看好该公司，因为预料2017年汽车销售将有增无减，加上该公司旗下菲律宾业务自行上市潜能丶净现金公司和股息派发有望提高等利好加持。

由於第四季派息有惊喜，该公司股价走高，一度起5仙，收市报2令吉32仙，起4仙；成功汽车持续成为一些分析员的首选汽车股。

达证券将成功汽车的2017年及2018年的净利预测上调2.7%及2.8%，分别至2亿2920万令吉及2亿4330万令吉，而新推介的2019年净利预测则为2亿5840万令吉。

肯纳格研究将成功汽车2017年净利预测上调9%至2亿4250万令吉，以反映旗下马自达车款较佳销售预测，并推介2018年净利预测为2亿5850万令吉。

推新车款及菲业务潜在上市
重估评级催化因素

联昌研究表示，成功汽车业绩符合预测，若该公司成功推介新车款及菲律宾业务潜在上市活动，将是潜在的重估评级的催化因素，继续为首选汽车股。

成功集团（BJCORP，3395，主板贸服组）以2亿1861万令吉，脱售成功汽车其馀9.86%股权给特别用途公司，联昌认为，这对成功汽车股东有利，因管理层料将派发更高股息以偿还收购股权债务，使股东有机会获取更高的股息。

第四季派息10仙有惊喜

两年周息率预测上调至7%该公司第四季派发10仙股息，包括7.5仙特别股息，被分析员认为有惊喜。

成功汽车第四季派发每股2.5仙终期股息及7.5仙的特别股息，全年每股股息派发率为16.9仙，或是周息率达7.4%。MIDF研究将2017年及2018年的周息率预测上调至7%；看好该公司派息前景，是因为该公司拥有3亿7200万现金，可进行并购计划；工厂资本开销则由旗下拥有30%股权的马自达大马公司自行融资。

达证券也看好该公司在2017至2019财年，可以维持7至8%的周息率。

肯纳格对成功汽车的未来前景较为乐观，主要是比同侪较少受到宏观经济逆风的影响，因锁定中高收入群较少受到生活成本扬升影响的特定客户群，较为稳定的赚幅丶以及推出较具吸引力的马自达车款。

达证券认为，虽然2016年的大马汽车总销售量料下跌至65万辆，惟预料成功汽车的销售量将有增无减，主要是放眼对经济下跌较不敏感的利基市场，客户多是年轻专业人士，後者将不难取得汽车贷款。

面对汇率风险财测或需调整同时，该公司的新厂扩充预料在2017财政年第二季完成，主攻出口市场，有助加强联号公司贡献。

不过，MIDF提及该公司面对汇率风险，日圆波动可能造成成本压力，损及赚幅，财测或需要调整。

大马投行也认为，日圆兑马币走高已经损及该公司赚益，从去年的16.8%降至12.9%，不过鉴於该公司减少在日圆曝露，有关伤害或会改善。

（吉隆坡5日讯）日圆上涨，成功汽车（BJAUTO，5248，主板贸服组）预计以更多组装车销售抵销冲击，分析员并看好该公司展开“管理层收购”后有望派更高股息。

拟销售更多组装车款

达证券说，成功汽车组装车款成本已固定，具有事先同意的赚益，不受日圆走强影响。为减少日圆走强冲击，管理层打算销售更多组装车款，组装与整装进口的销售比例这个财政年维持在52对比48。

至于整装进口车款会受日圆成本影响，可能冲击2017财政年赚益；去年第四季3.55兑100日圆，目前汇价大约是3.90；倘若日圆继续走强，管理层料继续维持旧价，以增消费信心。

最近欲透过设立的特别用途工具（SPV）涉管理层收购，这项收购以借贷和发售SPV股融资，预料完成收购后，SPV的Dynamic Milestone将有17.1%股权。同时，管理层持有SPV的66.7%股权，成功集团（BJCORP，3395，主板贸服组）持股33.3%。

达证券相信这可能有股息上扬之潜能，管理层潜在提高股息以降低借贷。成功汽车2016年4月截止财政年派息率97%，手握3亿7160万令吉现金，每年有逾2亿令吉现金流。

其髹漆厂预计如期于明年首季竣工，产能可从2万辆倍增至4万3千辆左右，而且2千万美元资本开销全由日本马自达支付，显见对大马作为出口枢纽的信心。

“成功汽车预计明年1月出口至菲律宾、印尼和泰国，最迟6月出口至中东地区；管理层透露将专攻CX-5车款，以获取更丰赚益。”

为方便髹漆厂之扩展，该厂曾于6月关闭3至3周半；此举不会对供应构成干扰，因为5月间已事先扩大产量，只对联号公司如马自达大马有限公司和Inokom公司有些微影响，组装之车辆可能减低。

在菲律宾，2017年的销售目标是5200辆，主要受新CX-3车款驱动，其他国家销售目标削减，有助增加菲国销售预测。新任总统迪泰特宣布以65亿美元改善道路等基建，这有助提振菲国销售。

菲国的组装CX-3车款的推展，暂时无法实现，整装进口的涡轮增压柴油车款的马自达6，和组装涡轮增压柴油CX-5于7月推展。

“随后，明年首季将推展CX-9，下半年推展全新的CX-5组装车款，这些新车款的推出，有助集团2017财政年1万6200辆汽车销售。”

尽管汽车业疲弱，然而其销售比较不受严谨车款批准程序和经济低迷冲击。大马作为马自达的生产枢纽，菲国市场增长潜能亮丽，周息率仍吸引人，维持“买进”评级，目标价2令吉86仙。

扩大组装和出口．成功汽车力抗强势日圆冲击

（吉隆坡7日讯）尽管近期受日圆走强冲击业绩，成功汽车（BJAUTO，5248，主板贸服组）采取积极步骤扩大组装车销售和扩大出口，料有助提振盈利。

成功汽车自今年4月杪，就因停止护盘而曝露于日圆波动风险，造成45%比重的整装进口车近期受负面冲击。日圆自7月起增长7.7%；日圆每1%上扬冲击该公司2017财政年盈利2.4%。

MIDF研究调低该公司2017与2018财政年财测13%与4%，但目前该公司管理层积极扩大组装车出口，进而抵销日圆走强侵蚀盈利，同时从2017财政年第三季，将开始出口至印尼、中东与菲律宾。

该公司所采的步骤包括专注组装车款销售和减低整装进口（CBU），特别是赚益低的马自达2。出口方面，该公司汽车目前只出口至泰国。

MIDF基于周息率达7%的慷慨派息、占市值14%的丰沛现金流与所采取的上述策略，仍维持成功汽车“买进”评级与2令吉50仙目标价。

组装车车款由成功汽车向30%持股联号公司马自达汽车有限公司，以固定的马币价购买，吸纳了外汇波动。目前，只有CX5和马自达3在国内组装，这两车款占据马自达车款的55%。

MIDF强调，成功汽车组装车（CKD）比重一直增长，由2015财年的52%，增加至今年1月的48%，4月进一步成长至55%，预期2017财政年再上一层楼至65%。

在出口市场方面，尽管搁置在大马组装CX3的计划，出口市场的扩张可提振盈利；成功汽车持有马自达汽车有限公司30%股权，并在INOKOM有限公司持股29%，一些组装程序外包INOKOM。

出口印尼|
销售获翻倍

“印尼的汽车总销售比泰国的每年80万辆大30%，一旦出口印尼，其潜在出口市场可轻易翻倍。菲律宾车市虽小，但每年亦增长20至30%。2017财政年的出口市场可从2016财政年的低基础复苏；在3月推展CX5之前，很难见到出口到泰国的活动。”

MIDF预料联号公司2016财政年盈利贡献，也将从6%增长至2018财政年的19%，并预测联号公司马自达汽车有限公司所组装的汽车，将由2016财政年的9519辆，增长至2018财政年的2万7000辆，包括出口的车款。”

菲律宾Bermaz拟上市

（吉隆坡8日讯）成功汽车（BJAUTO，5248，主板贸服股）宣布，旗下持股达60.4%的子公司菲律宾Bermaz汽车公司，计划在菲律宾交易所寻求上市。

根据文告，Bermaz汽车公司通过菲律宾的授权经销商，分销万事达（Mazda）汽车和零件。

一旦该公司拟好上市计划的细节，以及成功汽车董事部已经过商讨和批准上市计划，将会进一步作出公布。

此外，该公司在首季业绩文告表示，预计菲律宾业务营运可持续增长，因该公司扩大提升和扩展分销商网络。

同时，成功汽车在当地逐步推出新车款，来确保稳定的销量增长。

首季净利跌21.25%

成功汽车截至7月31日首季净利按年下跌21.25%，达4111万1000令吉，相等于每股净利3.59仙，低于上财年同季的5220万3000令吉或每股4.58仙。

这主要是因为营业额下跌，以及日元对令吉显著增值，压缩集团赚幅。

同时，集团营业额从5亿1255万令吉，按年减少3.69%，至4亿9362万令吉，因为国内市场的万事达汽车销量下滑。

成功汽车指，疲弱的消费者情绪、国内及全球经济不稳定，以及部分本地组装汽车（CKD）款式的供应吃紧，拖累营业额按年收窄。

国内销售更多CKD汽车

成功汽车表示，接下来会关注在国内市场销售更多CKD汽车，因为购买价是以令吉计算，这将缓冲部分的外汇压力。

由于会在未来生产CKD汽车用于国内及出口市场，联号公司大马万事达有限公司将会继续提升居林厂房的喷漆车间，提高产能及维持增长步伐。

此外，成功汽车也宣布派发每股3仙首次中期单层股息，除权日落在10月4日。

CBU业务受日元升值影响

MIDF研究分析员指，成功汽车仅有整装进口（CBU）业务会直接受日元波动影响，而日元近期走高的幅度，的确会对公司短期盈利表现带来负面影响。

CBU汽车占了该公司2016财年总销量约45%。

“根据计算，日元兑令吉每变化1%，会影响2017财年盈利预测2.4%。”

因此，分析员把成功汽车的2017财年盈利预测下修13%，而2018财年盈利预测降低4%。

“虽然如此，受益于强稳周息率、菲律宾市场潜在价值，以及出口市场扩展，成功汽车的前景持续正面。”

此外，分析员说，成功汽车也扩大出口市场，从2017财年第三季起出口至印尼和中东，并可能进军菲律宾。【e南洋】
