（吉隆坡7日讯）鲁斯特工业（Luster Industries Bhd）出现董事部变动，47岁的香港商人 Gary How Soong Khong成为公司董事经理。

他是取代今日起调任为公司执行董事，年届60的林时星。

这家高精密塑料零部件制造商今日向大马交易所报备，How的任命即日生效。

根据鲁斯特工业，How是香港一家私人公司 Citi-Champ International Ltd的董事经理，并管理包括酒店、产业、制造和博彩的家族企业。

在此之前，他曾在香港商界就任多个管理职位，主要集中在商业可行性研究和管理家庭现有业务，同时寻找新的投资。

他目前也在鉴定和扩大家族企业的海外投资范畴。他还曾在马交所上市公司出任执行董事。

除此之外，他的配偶Yap Yoke Chuan和大舅 Yap Kean Kok也受委为公司执行董事，即日生效。

鲁斯特工业通过子公司，组装印刷电路板、制造精密塑料零部件和局部装配塑料部件和产品。

该公司在另一份文告指出，一些目前的董事部成员，包括两名执行董事Lim See Meng和Lim See Hwa已经辞职，并专注于子公司的业务和营运。

根据文告，这项备忘录记载了双方对股权认购的特定考量因素，随后将进入最终售股协议和股东协议。

双方必须在签署备忘录后的6个月内，对收购的细节达成协议。

New Harvest Asia目前正对SS Ventures公司进行收购，后者是一家专注于提供呼叫出租车技术平台的公司。

香港昌城的股东侯宋刚（译音）和叶玉川（译音），也是鲁斯特工业董事。

Since then, nothing has materialised.” We wish to clarify the following: Pan Cambodian Lottery Corporation Limited is already in operation and had recorded an audited profit after tax of USD0.5 million in financial year ended 2015. 鲁斯特偕Cosmo产业管理
发展哥市Alwaqf综合项目

（吉隆坡13日讯）鲁斯特工业（LUSTER，5068，主板工业产品股）获得Cosmo产业管理私人有限公司颁发合约，携手合作完成Alwaqf综合发展计划。

该公司上周五向马交所报备，通过独资子公司Pembinaan LSP（简称PLSP）私人有限公司，与Cosmo产业管理签约，为哥打峇鲁的Alwaqf综合发展计划进行工程。

根据合约内容，PLSP将接管Alwaqf的剩余工程，而Cosmo则被任命为分包商。

之前，Cosmo产业管理获颁上述合约，目前部分工程已完成，建筑结构已达12层。

上述项目的业主，是吉兰丹州务大臣机构。

针对鲁斯特工业获颁合约，达证券分析员持中和态度。

“我们认为，合约赚幅会较低，介于2%至5%，因为项目涉及风险有限。”

财测微幅上修

假设鲁斯特工业的净利赚幅为3%，分析员会将2017财年的净利预测，微幅上调40万令吉至390万令吉。

获4500万合约．鲁斯特盈利目标微调

（吉隆坡13日讯）鲁斯特工业（LUSTER，5068，主板工业产品组）接获总值4500万令吉建筑合约，达证券对此持中和态度，主要是合约赚益低对盈利拉抬效果不彰，微调2017财政年盈利目标40万令吉，至390万令吉。

鲁斯特工业上周接获Cosmo产业管理私人有限公司一纸合约，以在哥打峇鲁完成名为“Alwagf”的综合产业发展计划，达证券认为，Cosmo产业才是整个工程的分包商，鲁斯特工业只扮演工程管理角色。

“假设营运盈利赚益为3%，我们上调现财政年盈利目标40万令吉，至390万令吉，但维持未来2个财政年财测不变。”

达证券总结，认为新合约对鲁斯特工业盈利帮助不大，维持其“守住”评级及10仙目标价不变，未来股价催化因素将是第二期的Taman Tasik 1 Malaysia工程。

该公司甫于2月28日宣布第四季业绩，截至2016年12月31日，第四季净亏损进一步扩大，达到2456万4000令吉（每股净亏1.42仙），前期净亏损为1433万9000令吉（每股净亏0.86仙）。

2016年全年，净亏损为2451万7000令吉（每股净亏1.42仙），前期亏损为1786万8000令吉（每股净亏为1.07仙）。

第四季营业额下跌至2809万9000令吉，前期为3103万8000令吉。全年营业额1亿1388万6000令吉，前期为1亿1901万5000令吉。该公司每股资产值为7仙。

该公司宣布业绩时谈到业务前景，制造业务将继续有别于其他制造业者，为客户提供更多加值工作与服务，包括在设计及发展、创新加值加工、完整的加工生产及更具竞争力的成本。

产业发展及建筑领域方面，霹雳州的可负担住宅计划已开始建筑，预料在2017年竣工。

至于博彩及休闲领域，该公司将与合作伙伴一同努力，加强博彩市场的地位。

该公司之前收购柬埔寨数字彩票经营执照后的发展，根据达证券于去年11月杪的报告指出，鲁斯特工业已经暂时搁下赌场计划。至于测字博彩业务，随着该公司在2016年展开系列行销活动，预料2017年将可达到群聚效应，有望扭转劣势及取得盈利。

该公司是于2015年4月30日宣布以420万美元收购泛柬埔寨彩票机构有限公司的60%股权，并于2015年8月20日完成收购，后者在柬埔寨拥有经营数字彩票的执照。

而在2016年中，鲁斯特高层曾经指出，该公司在柬埔寨博彩业务渐入佳境，不过，为了加速发展，或许会引进合作伙伴。

惟在宣布最新业绩时表示，随着赌场计划170万令吉定金被没收的消息看来，相信赌场计划已经终止。

业务多元却是亏多赚少

鲁斯特的业务确实很广，除了涉足印刷电路板装配、精密塑胶零件产品制造业务，也涉足矿业、建筑业及柬埔寨的博彩业。

根据最新业绩显示，有关业务是亏多赚少，主要由多项因素造成，包括制造业务的销量下跌、为总值1670万令吉的整合活动的商誉摊销（前期是1210万令吉）。

除此之外，该公司也为制造业务的产业／工厂／器材领域亏损减值150万令吉、摊销矿业业务的250万令吉矿务定金（因矿务活动暂停）、以及随着赌场计划终止后的170万令吉定金被没收等。

鲁斯特工业拟私下配售 筹达2711万令吉

（吉隆坡22日讯）鲁斯特工业（Luster Industries Bhd）计划私下配售最多10%新股，以筹集高达2711万令吉，充作产业发展开销和营运资本。

该公司今日向大马交易所报备，打算将股票配售予稍后确定的独立第三方投资者。

该公司指出，配售价格也将在稍后确定，并指不会较5天成交量加权平均市价（VWAP）折价超过10%。

根据每股11仙的参阅价，预计可筹措高达约2711万令吉。

鲁斯特补充，私下配售计划预计将在获马交所批准后的6个月内完成。该计划于去年5月获股东同意。

截至去年12月31日，该公司的应付款约为2148万令吉，而贷款为462万令吉。现金净额为1677万令吉，这将用于现有建筑项目和日常营运资本。

迎新股东．股价走高．鲁斯特赌场料启动

（吉隆坡13日讯）达证券认为，近期股价节节攀升的鲁斯特工业（LUSTER，5068，主板工业产品组），可能迎来新股东和新计划，不排除是柬埔寨赌场计划或扩增房产业务。

达证券表示，该公司去年6月至今发生戏剧性变化，近期股价又走高，让人摸不着边际。

首先，侯松孔（音译）和两名相关人士进入董事部，促使该公司与侯松孔的公司Citi-Champ签署备忘录，探讨进军香港拖车市场。该行指出，当时这一连串活动令人以为该公司正多元化营收来源，以降低依赖单一业务的风险。

后来，上述备忘录在去年12月终止，侯松孔和两位董事也在上任7个月后卸任。

达证券发现，该公司创办人林时星去年10月至今年1月出脱股票，虽然管理层以个人财务规划为理由，但该公司过后宣布私下配售10%股票，进一步稀释林时星的股权和控制权。

数据显示，林时星以6至8.5仙脱售股票，而该公司较早将配股价位定在10.5仙。

达证券指出，林时星减持股票之际，该公司股价却逆市走高。去年10月至今，其股价由6仙涨至昨日的12仙，林时星同时卖出1000万股。

“该公司赢得新合约，虽是股价上扬的原因之一，但我们怀疑背后另有其他原因。”

达证券分析配股资金后发现，该公司计划将99%资金或2690万令吉拨作房产开发费用和营运资本，主要分配给两项计划，分别是TT1M和Alwaqf。

掌握1600万净现金

“不过，我们并不明白，这家公司为何在拥有充裕的净现金时筹集资金。截至2016年12月，该公司掌握1600万令吉净现金。”

有鉴于此，达证券认为，该公司可能很快公布新的大型交易，包括启动柬埔寨赌场项目或进一步扩展房产开发业务，而林时星也可能逐步淡出，让位给新股东。

无论如何，达证券目前选择静观其变，暂时保持该公司财测和10仙目标价，并将评级定为“检讨中”，以待该公司宣布更多详情。

今日闭市，鲁斯特工业以平盘价12仙挂收。
