成功集團放棄星巴克 7170萬注入成功食品

（吉隆坡25日訊）成功集團（BJCORP，3395，主要板貿易）將星巴克（Starbucks）注入今年3月上市的成功食品（BJFOOD，5196，主要板貿易），涉及7170萬令吉現金交易。

成功集團向馬證交所報備，與持股74.3%的子公司成功食品簽定股權買賣合約，以現金約7170萬令吉，脫售手上的50%成功星巴克咖啡公司給成功食品。

成功星巴克是在1998年5月7日成立，繳足資本達2300萬令吉，由成功集團和國際星巴克咖啡，各持股50%。

成功集團是以每股6.23令吉，售出1150萬股成功星巴克。

目前，成功星巴克在我國擁有119間星巴克分店。

成功食品目前的業務有肯尼羅傑斯餐廳（Kenny Rogers Roasters），並在未來計劃收購國內13家特許經營食品品牌，壯大業務和加強派息。[ChinaPress]

7170萬購成功星巴克‧成功食品5配4附加股籌資

（吉隆坡25日訊）成功食品（BJFOOD, 5196, 主板貿服股）建議以7千170萬令吉現金向成功集團（BJCORP, 3395, 主板貿服股）收購成功星巴克咖啡公司的50%股權。

附加股售價65仙
另送4憑單
同時，該公司也建議以每5股配售4股附加股和4張憑單的方式，配售至多1億1894萬股附加股和同額的憑單，附加股發售價為65仙，最高籌措7千731萬4千令吉融資收購。

成功食品發出文告表示，該公司和成功集團獨資子公司成功集團（BGroup）達致有條件售股協議，以收購成功星巴克咖啡。

賣主為成功集團
成功星巴克的主要活動是在大馬發展星巴克咖啡品牌，目前在全馬擁有119間分店。

此收購計劃的條件是成功食品必須落實其配售附加股和憑單的計劃。

成功集團擁有成功食品74.30%股權，將須以5487萬令吉認購附加股和憑單，該公司將以脫售所得的7千170萬令吉從中抵銷，余額1683萬令吉現金則歸成功集團。

此計劃將可讓成功集團整合其食品和飲料業務於成功食品公司之下，從而改善營運效率。

此建議須獲得當局和成功食品股東批准，預計可在明年首季完成。（星洲日報／財經）

（吉隆坡3日讯）成功食品（BJFOOD，5196，主板贸服股）向马交所报备，早前拟以7169万令吉收购成功星巴克50%的价码，是以本益比的13.5倍计算，并强调是合理的价格。

成功食品回复马交所的询问时表示，基于大马公司收购的价码一般介于本益比的10.7倍至19.0倍，因此，公司的收购价是正常的。

成功星巴克截至今年4月30日已稽查财报显示，税后盈利为1062万令吉。

上月25日，成功机构将旗下所拥有的成功星巴克以7169万令吉转卖给成功食品。成功星巴克的缴足资本为2300万令吉，目前在大马有119间分店，上财年营业额达1亿4500万令吉。

成功食品将通过发售附加股完成上述收购，若不足则会以内部资金或向银行借贷。[NanYang]

On behalf of BCorporation, Inter-Pacific Securities Sdn. Bhd. wishes to announce that it has received today a letter dated 6 September 2011 from Bursa Malaysia Securities Berhad (“Bursa Securities”) approving in principle the listing of and quotation for up to 33,012,712 new ordinary shares of RM1.00 each in BCorporation which are to be issued pursuant to the Proposed Acquisition on the Main Market of Bursa Securities. The new ordinary shares are to be issued at RM1.18 per share.

Hence, all the conditions precedent pursuant to the Proposed Acquisition have been fulfilled as at 7 September 2011 (“Unconditional Date”).
