NON RELATED PARTY TRANSACTIONS | Description | (I) PROPOSED DISPOSAL OF 100% EQUITY INTEREST IN PIRAMID INTAN SDN. BHD. FOR A TOTAL CASH CONSIDERATION OF RM16,000,000.00; AND(II) PROPOSED DISPOSAL OF 100% EQUITY INTEREST IN IMMENSE FLEET SDN. BHD. FOR A TOTAL CASH CONSIDERATION OF RM24,349,764.88.(COLLECTIVELY REFERRED TO AS "PROPOSED DISPOSALS") | The Board of Directors of W T K Holdings Berhad (“WTK” or “the Company”) wishes to announce that the Company, had on 7 March 2025, entered into the following:-
(i) a Sale and Purchase of Shares Agreement between WTK (as the “Vendor”) and Huang Qian Wen (as the “Purchaser”) for the disposal of 100% equity interest in Piramid Intan Sdn. Bhd. ("PISB"), consisting of 6,000,000 ordinary shares in PISB to the Purchaser for a total cash consideration of RM16,000,000.00; and
(ii) a Sale and Purchase of Shares Agreement between WTK (as the “Vendor”) and Huang Qian Wen (as the “Purchaser”) for the disposal of 100% equity interest in Immense Fleet Sdn. Bhd. ("IFSB"), consisting of 28,000,000 ordinary shares in IFSB to the Purchaser for a total cash consideration of RM24,349,764.88.
