Type | Announcement | Subject | MEMORANDUM OF UNDERSTANDING | Description | Press Metal Aluminium Holdings Berhad ("PMAH" or "Company") - Memorandum of Understanding with Bintulu Development Authority ("BDA") on Solar Frame Extrusion Project | 1. INTRODUCTION
The Board of Directors of PMAH wishes to announce that the Company had on 27 February 2025 entered into a Memorandum of Understanding (“MOU”) with Bintulu Development Authority (“BDA”) (the Company and BDA to be collectively referred to as “the Parties”) for a proposed joint venture related to a solar frame extrusion facility with an annual production capacity of 80,000 tons, to be located in Bintulu ("Proposed JV").
2. INFORMATION ON BDA
BDA is referred to as Bintulu Development Authority, a statutory body established under the Bintulu Development Authority Ordinance, 1978, and governed by the laws of Sarawak, Malaysia, having its principal office at Bintulu.
BDA was formed following the discovery of huge reserves of natural gas and oil offshore in Bintulu to undertake implementation of development projects. Under the Ordinance mentioned, BDA was established to serve as government agency to take charge of physical planning and development in Bintulu Division of Sarawak.
3. RATIONALE
The MOU has been entered into between the Parties to establish a cooperative framework for the Proposed JV and mutual commitment to determine the commercial viability, feasibility and necessary terms for successful implementation of the Proposed JV.
4. SALIENT TERMS OF THE MOU
Under the terms of the MOU, the Parties agreed, inter-alia, on the following:
(a) Develop partnership between the Parties via locally formed special purpose vehicle with PMAH or its subsidiary holding 80% stake, and BDA holding the remaining 20% stake;
(b) Leverage on their respective expertise and resources to establish a robust production facility for solar frames to serve local and international markets;
(c) Total investment for Proposed JV is estimated to be RM600 million, comprising capital injection of 20% and external financing of 80%;
(d) Commencement of the operation expected to be around mid of 2026; and
(e) Determine and finalise further structures or processes of the Proposed JV within the duration of the MOU.
5. DURATION OF THE MOU
The MOU is effective from the date of the MOU and shall remain in force and effect for a valid term of three (3) months unless early termination by the Parties. Any extension shall be subject to the Parties’ mutual agreement in writing.
6. FINANCIAL EFFECTS
The MOU is not expected to have any material effect on the earnings, net assets and gearing of the Company and of the Group for the financial year ending 31 December 2025.
The MOU will not have any effect on the issued and paid-up share capital of the Company as well as its directors’ or its substantial shareholders’ shareholdings.
7. APPROVAL REQUIRED
The MOU is not subject to the approval of the shareholders of PMAH or any other relevant authorities.
8. DIRECTORS’ AND MAJOR SHAREHOLDERS’ INTERESTS
None of the directors, major shareholders and/or persons connected with a director or a major shareholder of the Company, have any interest, direct or indirect, in the MOU.
