Description	ELSOFT RESEARCH BERHAD ("ELSOFT" OR THE "COMPANY")PROPOSED ACQUISITION
On behalf of the board of directors of Elsoft ("Board"), Affin Hwang Investment Bank Berhad ("Affin Hwang IB") wishes to announce that the Company (“Purchaser”) had on 8 March 2023 entered into a conditional share sale agreement ("SSA") with Ang Aik Beng and Tan Hui Ien @ Tan Kui Yen ("Vendors") for the proposed acquisition of 30,000 ordinary shares in Xyrius Solutions Sdn Bhd ("Xyrius") ("Xyrius Shares"), representing 100% equity interest in Xyrius, for a total purchase consideration of RM10,100,000 ("Purchase Consideration") to be satisfied via a combination of cash of RM500,000 ("Cash Consideration") and the balance of RM9,600,000 by the issuance of 16,000,000 new ordinary shares in Elsoft ("Elsoft Shares")  ("Consideration Shares") at an issue price of RM0.60 per Consideration Share ("Issue Price") ("Proposed Acquisition").
