The Board of Directors of the Company (“Board”) wishes to announce that Catcha Connect had on 14 August 2025, entered into a share sale agreement (“SSA”) for the proposed acquisition of 300,000 ordinary shares in One International  [Company Registration No. 201101044979 (973099-P)] (representing 60% equity interest in One International) (“Sale Shares”) with Lim Kean Boon (“Vendor”), for a total purchase consideration of RM11,377,598.00 subject to such adjustments as set out in the Appendix I of this announcement (if any) and to be satisfied entirely in cash (“Purchase Consideration” or “Purchase Price”). Kindly refer to the attachment for further information on the Proposed Acquisition. This announcement is made on 14 August 2025.

Query Letter Contents	We refer to your Company’s announcement dated 14 August 2025, in respect of the aforesaid matter. In this connection, kindly furnish Bursa Securities with the following additional information for public release:- 1. A statement as to whether the Expected PATAMI is realistic, taking into consideration the historical performance and future prospects of One International group. 2. Details of Catcha Digital Berhad/Catcha Connect’s right of recourse in the event the Expected PATAMI is not met.
Reference is made to the Company’s announcement dated 14 August 2025 (“Announcement”) and query letter from Bursa Malaysia Securities Berhad dated 15 August 2025 (Reference No. IQL-15082025-00002) in relation to the above subject matter.
