NON RELATED PARTY TRANSACTIONS | Description | DIGISTAR CORPORATION BERHAD ("DIGISTAR" OR THE "COMPANY")PROPOSED DISPOSAL BY MULIA OPTIMA SDN BHD, A WHOLLY-OWNED SUBSIDIARY OF DIGISTAR OF TWO PIECE OF FREEHOLD LAND HELD UNDER GM 1687, LOT 19543, MUKIM CHENG, DAERAH MELAKA TENGAH, NEGERI MELAKA MEASURING APPROXIMATELY 0.7767 HECTARES IN AREA ("THE SAID PROPERTY 1"); AND GRN 57119, LOT 19545, MUKIM CHENG, DAERAH MELAKA TENGAH, NEGERI MELAKA MEASURING APPROXIMATELY 3.343 HECTARES IN AREA ("THE SAID PROPERTY 2") ("THE SAID PROPERTY") | The Board of Directors of Digistar Corporation Berhad (“DIGISTAR” or the “COMPANY”) wishes to announce that Mulia Optima Sdn Bhd (“MOSB” or the “Vendor”), a wholly-owned subsidiary of DIGISTAR, had on 10 October 2023 entered into a Sale and Purchase Agreement (“SPA”) with Earning Base Sdn Bhd (“EBSB” or the “Purchaser”) for the proposed disposal of two piece of freehold land held under GM 1687, Lot 19543, Mukim Cheng, Daerah Melaka Tengah, Negeri Melaka measuring approximately 0.7767 hectares in area (“the said Property 1”); and GRN 57119, Lot 19545, Mukim Cheng, Daerah Melaka Tengah, Negeri Melaka measuring approximately 3.343 hectares in area (“the said Property 2”) (collectively referred to as “the said Property”) for a total cash consideration of Ringgit Malaysia Seven Million Seven Hundred Sixty Thousand Twenty-Five (RM7,760,025) (“Purchase Price”) only subject to the terms and conditions contained in the SPA (“Proposed Disposals”).

FUND RAISING | Description | DIGISTAR CORPORATION BERHAD ("DIGISTAR" OR THE "COMPANY")PROPOSED PRIVATE PLACEMENT OF UP TO 30% OF THE TOTAL NUMBER OF ISSUED SHARES OF DIGISTAR ("PROPOSED PRIVATE PLACEMENT") | On behalf of the Board of Directors of Digistar, UOB Kay Hian Securities (M) Sdn Bhd wishes to announce that the Company proposes to undertake a proposed private placement of up to 169,986,774 new ordinary shares in Digistar (“Digistar Share(s)” or “Share(s)”), representing up to approximately 30% of the total number of issued Digistar Shares at an issue price to be determined and announced at a later date after receipt of all relevant approvals for the Proposed Private Placement (which includes obtaining the approval of the shareholders of the Company at an extraordinary general meeting to be convened).
The Proposed Private Placement is in line with the Company’s ongoing business strategies to enhance the earnings of Digistar and its subsidiaries (“Digistar Group” or the “Group”) as well as steering the Group towards financial stability. The proceeds to be raised from the Proposed Private Placement will be primarily allocated to fund and support the business expansion plans for the Group’s newly launched internet television services platform as well as the repayment of the Group’s bank borrowings. Please refer to Section 2.6 of the announcement for further details on the utilisation of proceeds for the Proposed Private Placement.
For shareholders’ information, the Company had previously undertaken various fund-raising exercises since 2016, collectively raising approximately RM36.91 million in proceeds with the aim to support the operational growth of the Group as well as to strengthen the capital base and lower the gearing ratio of the Group. The proceeds raised from these initiatives have been fully utilised. Please refer to Section 2.7 and Appendix I of the announcement for further details of the said fund-raising exercises.
