The Board of Directors (“Board”) of Minda Global Berhad wishes to announce that Asiamet (M) Sdn Bhd (Company No. 442341-P) (“Asiamet”), a wholly-owned subsidiary of Asiamet Education Group Sdn. Bhd. (Company No. 746920-M), which in turn is a wholly- owned subsidiary of the Company has on 25 February 2020 entered into a Main Sale and Purchase Agreement (“Main SPA”) with Ascent Resource Holdings Sdn. Bhd. (Company No. 1076315-T), (“the Purchaser”) for the disposal of institutional premises comprising fifteen (15) contiguous units of four (4) storey terraced shop offices/offices (Academic Block), a single storey auditorium, eleven (11) units of stratified ground floor shop offices/offices, five (5) units of stratified first floor shop offices/offices and three (3) units of stratified second floor shop offices/offices and a car park area (collectively referred to as “the Properties”) for a total cash consideration of Ringgit Malaysia Thirty Million (RM30,000,000.00) only (“Disposal Consideration”) (“Proposed Disposal”).

We refer to your Company’s announcement dated 25 February 2020 in respect of the aforesaid matter.
In this connection, kindly furnish Bursa Securities with the following additional information for public release:-
  • Approximate age of the Building.
  • Any liabilities, including contingent liabilities, in relation to the Proposed Disposal which remain with Minda Global Berhad (“MINDA”) or Asiamet (M) Sdn Bhd, together with the details and justification for such arrangements.
  • Any guarantees given by MINDA to Ascent Resource Holdings Sdn Bhd.
  • Quantification of the market value of the Properties as appraised by Cheston International (KL) Sdn Bhd.

We refer to our announcement dated 25 February 2020 in relation to the disposal of institutional premises comprising fifteen (15) contiguous units of four (4) storey terraced shop offices/offices (Academic Block), a single storey auditorium, eleven (11) units of stratified ground floor shop offices/offices, five (5) units of stratified first floor shop offices/offices and three (3) units of stratified second floor shop offices/offices and a car park area (collectively referred to as “the Properties”), held by Asiamet (M) Sdn Bhd (“Asiamet”), to Ascent Resource Holdings Sdn. Bhd. (“the Purchaser”), the Board of Directors of the Company wishes to provide the following additional information :

1. Approximate age of the Properties.
20 years

2. Any liabilities, including contingent liabilities, in relation to the Proposed Disposal which remain with Minda Global or Asiamet, together with the details and justification for such arrangement.
There are no liabilities, including contingent liabilities, in relation to the Proposed Disposal which remain with Minda Global or Asiamet.

3. Any guarantees given by Minda Global to the Purchaser.
There are no guarantees given by Minda Global to the Purchaser.

4. Quantification of the market value of the Properties as appraised by Cheston International (KL) Sdn Bhd
Based on the valuation of 31 December 2018 as appraised by Cheston International (KL) Sdn Bhd, the Properties are valued for RM31,300,000.00 using the comparison and investment methods.

5. Details of the working capital for which part of the proceeds will be used
Working capital requirement is for Minda Global and/or its subsidiaries day-to-day operations and administrative expenses which include, but are not limited to, trade and other payables, utilities, salaries, sales and marketing expenses, and any other operating expenses.  The proceeds to be utilised for each component of the working capital cannot be determined at this juncture.

We refer to our announcements dated 29th August 2019, 16th January 2020 and 30th January 2020 in relation to the disposal of nineteen (19) units of three (3) storey intermediate terraced shops/offices, three (3) units of three (3) storey end terraced shops/offices and one (1) unit of three (3) storey corner terraced shops/offices held by Asiamet to the respective Purchasers and wish to inform the following:

1. EXTENSION OF TIME FOR COMPLETION OF SALE AND PURCHASE AGREEMENTS

Asiamet has agreed that the Completion Date in respect of the GNP SPAs shall be extended until 31st December 2019 free from interest and the Extended Completion Date shall fall on or before 15th September 2020 subject to the Purchaser, G N P Properties Sdn Bhd paying to Asiamet late payment interest in the fixed sum of RM24,000.00 during the Extended Completion Period.

2. COMPLETION OF FIVE (5) SALE AND PURCHASE AGREEMENTS WITH G N P PROPERTIES SDN BHD

Asiamet has received the partial payment for the sum of RM50,000.00 on 30th March 2020, RM50,000.00 on 9th April 2020 and RM124,000.00 on 2nd September 2020 and our Solicitors have received the sum of RM1,600,000.00 in cleared funds on 9th September 2020 from the Purchaser towards full settlement of the Balance Purchase Price and late payment interest in respect of the sale and purchase of the following properties:

ii. Pajakan Negeri 7695 Lot 616 (formerly known as H.S.(D) 3566 PT No. 322) Seksyen 17, Jajahan Kota Bharu, Bandar Kota Bharu, Negeri Kelantan Darul Naim measuring approximately 145 square meter in area with three storey terraced shop/office erected thereon.

The SPAs provides that the Balance Purchase Price shall be paid by the Purchaser within three (3) months from the date of the SPAs (hereinafter referred to as “Completion Period”, the last day of such Completion Period shall hereinafter referred to as the “Completion Date”). In the event the Purchaser is unable to pay the Balance Purchase Price on or before the Completion Date, Asiamet shall automatically grant the Purchaser an extension of time of three (3) months (hereinafter referred to as “Extended Completion Period”, the last day of such Extended Completion Period shall hereinafter referred to as the “Extended Completion Date”) from the Completion Date to pay the Balance Purchase Price subject to the Purchaser paying Late Payment Interest at the rate of eight per centum (8%) per annum on the outstanding sum calculated on daily basis until the receipt of the same in full by Asiamet on or before the Extended Completion Date.

Taking into considerations the market condition and the requests by the Purchaser, Asiamet had agreed to extend the Completion Date to 31 December 2019 and the Extended Completion Date to 15 October 2020. Asiamet has also agreed to waive the Late Payment Interest payable by the Purchaser.
