We refer to the Company’s announcement dated 14 June 2019 with respect to the signing of the term sheet between UEMS group and TAR&H group in relation to the Proposals (“Term Sheet”). On behalf of the Board of Directors of UEMS (“Board”), CIMB Investment Bank Berhad (“CIMB”) wishes to announce that the Company and its subsidiaries have today entered into several agreements with Themed Attractions Resorts & Hotels Sdn Bhd (“TAR&H”) and its subsidiaries to effect the following:
(i)     Restructuring and variation of the existing joint development of residential resort in Desaru, Johor Darul Ta’zim (“Desaru Development”) to a smaller size via the cancellation of part of the original intended land acquisitions and transfers for the Desaru Development (“Proposed Variation”). The resulting refunds will be utilised for part settlement of the purchase consideration for the Proposed Acquisition (defined below).

To effect the Proposed Variation, UEMS group have on even date entered into a restructuring agreement together with various supplemental agreements with TAR&H group (“Restructuring Agreements”); and

(ii)     Proposed acquisitions of properties in Puteri Harbour from TAR&H group for RM145.0 million, of which RM107.0 million is settled via the refunds from the Proposed Variation above and the balance of RM38.0 million will be paid to TAR&H group progressively in cash.

To effect the proposed acquisitions, UEMS’ indirect wholly-owned subsidiary, UEM Sunrise Nusajaya Properties Sdn Bhd has on even date entered into the following sale and purchase agreements with TAR&H group:

(a)     Sale and purchase agreement with TAR PH Sdn Bhd (“TAR PH”), PH Marina Boulevard Sdn Bhd (“PHMB”) and TAR PH Family Entertainment Sdn Bhd (“TAR PH FE”) for the acquisitions of a stratified 2-level retail mall together with 247 car park bays (“Retail Units”), a stratified 4-storey purpose-built indoor family entertainment theme park centre together with 63 car park bays (“FEC Building”), and a double-storey open-sided pergola (“Pergola Land”), located in Puteri Harbour, Iskandar Puteri, Johor Darul Ta’zim (“SPA 1”).

TAR PH, PHMB and TAR PH FE are part of the TAR&H group and are collectively referred to as the “Vendors”; and

(b)     Sale and purchase agreement with PHMB for the acquisitions of 13 strata parcels of properties which form part of the retail component of an integrated commercial development known as “Somerset Puteri Harbour” (“A3 Parcels”) (“SPA 2”).

The above (ii)(a) and (ii)(b) are referred to as the “Proposed Acquisition”.

For the purposes of this Announcement, the Proposed Variation and the Proposed Acquisition are collectively referred to as the “Proposals”.   

Further details on the Proposals are set out in the attachment.

Description

We refer to the announcement dated 30 August 2019 in relation to the Proposals (“Announcement”). Unless otherwise stated, the abbreviations and definitions used herein shall have the same meaning as the Announcement.

On behalf of the Board of Directors of the Company, CIMB wishes to further announce the following:

1.     Reference: Sections 2.1 and 2.4 of the Announcement

The total contribution by the UEMS group to the JVCOs of RM202.2 million as at 28 August 2019 as set out in Section 2.1 of the Announcement comprised the following:

Notes:
*    The RM146.5 million contribution by UEMS group above, together with the subscription of RM47.6 million of RPS in the JVCOs by the joint venture partners (i.e. TAR&H group) totalling RM194.1 million were used by the JVCOs to part pay for the acquisition of the lands (as set out in Section 2.4 of the Announcement).
**    The other contributions relate to miscellaneous development expenses incurred by the JVCOs totalling RM8.9 million.

2.     Reference: Sections 2.3 and 2.4 of the Announcement

The purchase consideration of RM120.8 million for the 228 acres of Retained Land under the Proposed Variation (as set out in Sections 2.3 and 2.4 of the Announcement) is the original purchase price as provided for in the original Sale and Purchase Agreement dated 11 June 2012 that was entered into by DNCR and the Landowner for the North Course Land (which originally totalled 370.3 acres).

3.     Reference: Section 7 of the Announcement

Further to the rationale as set out in Section 7 of the Announcement, the agreements relating to the Proposed Variation and Proposed Acquisition were executed concurrently as it provides UEMS group with the opportunity to realise its intended objectives under the Proposed Acquisition (as explained in Section 7 of the Announcement) without having to fork out any immediate capital outlay for the acquisition by utilising the RM107.0 million refund arising from the Proposed Variation for the First Payment for the Proposed Acquisition (as explained in Section 3.2 of the Announcement); whilst at the same time the UEMS group is able to achieve its objectives of the Proposed Variation as set out in Section 7 of the Announcement.  The refocusing of capital and management resources under the Proposals, from the Desaru Development to the Puteri Harbour development is expected to be beneficial to the UEMS group in the immediate future.

4.    Completion

The settlement of the First Payment via the utilisation of the RM107.0 million refund arising from the Proposed Variation and the handover of the PH Assets were effected on 1 September 2019. As such the Proposals are deemed completed; and the Final Payment (as set out in Section 3.2 of the Announcement) will be paid in accordance with the terms of the SPAs.

We wish to further announce the following:

1. Reference: Section 2.1 of the Announcement

The divestment was undertaken via an open competitive bidding process as means to attain the most favourable commercial offer that reflects the current market conditions.

2. Reference: Section 2.5 of the Announcement

The amount that the Vendor can forfeit in the event of a breach is the 5% Deposit, and not 10% of the Price Consideration.

3. Reference: Section 3.4 of the Announcement

The condition precedent to the settlement as per the Contract of Sale is the FIRB Approval. If the FIRB Approval is not secured within 45 business days from the Contract of Sale date (“Approval Date”), either party may terminate the contract by issuing a notice to the other, or both parties may mutually extend the Approval Date. The Purchaser cannot terminate the contract unless it has complied with its obligation to secure the FIRB Approval.

If the Contract of Sale is terminated pursuant to the Purchaser’s failure to secure the FIRB Approval, all monies paid by the Purchaser under the contract will be refunded.

4. Reference: Section 7.3 of the Announcement

The Company has yet to determine the allocation of the utilisation of proceeds as well as its timeline as UEMS group is still exploring various potential opportunities.

5. Risk Factors in Relation to the Proposed Divestment

The Proposed Divestment is expected to be completed by year end. UEMS group is expected to recognise a revenue of AUD$107,088,888 (RM304,132,442) and a net disposal gain of AUD$19,124,233 (RM54,312,821). However, the target settlement date of 20 December 2019 is subject to the written approval from FIRB, failing which, the Proposed Divestment may be aborted and UEMS group may seek an alternative potential buyer. Although there are strong interests by other interested parties to acquire the Property, UEMS group may take some time to complete the alternative transaction, hence may not be able to recognise the sale during this financial year.

The Board of Directors (“Board”) of UEMS wishes to announce that UEMS has on 24 April 2020, redeemed a total of 123,340,418 UEMS RCPS out of the share capital account of the Company for a redemption sum of RM150.0 million at approximately RM1.22 for each UEMS RCPS (“Redemption Amount”) following a redemption notice issued to UEMG on 17 April 2020 in accordance with the provision of Article 23 of the Company’s Constitution (“Redemption”).

UEM SUNRISE BERHAD ("UEMS" OR THE "COMPANY") PROPOSED EN-BLOC DISPOSAL OF THE SERVICED APARTMENT COMPONENT IN AURORA MELBOURNE CENTRAL, MELBOURNE, AUSTRALIA TOGETHER WITH 10 CAR PARK LOTS AND PART OF THE GROUND FLOOR RETAIL MEASURING A GROSS FLOOR AREA OF APPROXIMATELY 14,900 SQUARE METERS TO SCAPE AUSTRALIA MANAGEMENT PTY LTD FOR A CASH CONSIDERATION OF AUD$125.0 MILLION
Capitalised terms and all abbreviations used in this announcement shall have the same meanings as that used in our announcements dated 22 November 2019 and 26 November 2019 unless stated otherwise.

The Company wishes to announce that its wholly-owned subsidiary, UEMS LaTrobe or Vendor has today entered into a Deed of Variation (“Deed”) with Scape or Purchaser to vary and/or supplement the Contract of Sale dated 22 November 2019 in relation to the Proposed Disposal as follows:
  • Balance 90% of the Purchase Price shall be paid in the following manner:
    (a) 10% or AUD$12.5 million to be paid on 30 May 2020; and
    (b) 80% or AUD$100.0 million to be paid on 30 October 2020.
  • First deposit paid on 22 November 2019 and second deposit paid on 20 December 2019 amounting to AUD$12.5 million (collectively defined as “Initial Sum”) will be released to the Vendor on or after the Deed has been executed.
  • Another AUD$12.5 million will be paid to the Vendor on or before 30 May 2020 and released to the Vendor after the Deed has been executed. This payment and the Initial Sum are non-refundable.
  • General expenses shall be apportioned accordingly with the Vendor being responsible for such expenses up to and including the Settlement Date i.e. 30 April 2020. The Purchaser is responsible for all costs after 30 April 2020. Maintenance and utility costs will be borne by the Purchaser from 30 April 2020.
  • Vendor will procure for Aurora Melbourne Central’s Owners Corporation (“OC”) to enter into an agreement with the Purchaser for the swimming pool plant license, rubbish chute and lift license and assignment of waste management agreement, on or before 30 October 2020.
  • Under the Deed, the new Settlement Date is 30 October 2020.
Save for the variations disclosed herein, the Contract of Sale shall remain the same and be in full force and effect as agreed between the parties.

The Board of Directors of UEM Sunrise ("Board") has in the late evening of 2 October 2020 received a letter dated 2 October 2020 ("Proposal Letter") from UEMG proposing a merger between UEM Sunrise and Eco World into an enlarged group via an exchange of shares and warrants, with the subsequent delisting of Eco World from Bursa Malaysia Securities Berhad ("Proposal").

A copy of the Proposal Letter is attached with this announcement.

The Board will deliberate on the Proposal and decide on the next course of action. Accordingly, a further announcement will be made in due course.
