Disposal Of 51% Equity Interest In Intelligent Edge Systems Sdn. Bhd. 13 Aug 2009, 17:46 Disposal Of 51% Equity Interest In Intelligent Edge Systems Sdn. Bhd. Intelligent Edge Technologies Berhad (IET Or Company) - Disposal Of 51% Equity Interest In Intelligent Edge Systems Sdn. Bhd. (IES) 1. INTRODUCTION The Board of Directors of IET wishes to announce that its wholly-owned subsidiary, IE Ventures Sdn. Bhd. (IEV) has on 13th August 2009 dispose off 229,500 ordinary shares RM1.00 each representing 51% of the total issued and paid-up capital of IES, a wholly-owned subsidiary of IEV to Encik Ahmad Nashrif Bin Ahmad Najib for a total cash consideration of Ringgit Malaysia One (RM1.00) only (the Disposal). Following the Disposal, IES has ceased to be a sub-subsidiary of IET. 2. INFORMATION ON IES IES is a private limited company incorporated in Malaysia and having its registered office at Level 15-2, Faber Imperial Court, Jalan Sultan Ismail, 50250 Kuala Lumpur. The authorised share capital of IES is RM500,000.00 divided into 500,000 ordinary shares of RM1.00 each whilst its issued and paid-up share capital is RM450,000.00 comprising of 450,000 ordinary shares of Ringgit Malaysia One (RM1.00) each. 3. ACTIVITIES OF IES IES is principally involved in interactive digital entertainment content integrator and enabler. 4. FINANCIAL EFFECT The Disposal is not expected to have any material effect on the earnings per share, net assets per share, share capital and substantial shareholders shareholdings of IET. 5. RATIONALE FOR THE DISPOSAL The rationale for disposal is to establish a bumiputera owned Company for the purpose of bidding and tendering related government projects. 6. APPROVAL REQUIRED The Disposal is not subject to the approval of the shareholders and the relevant government authorities. 7. DIRECTORS AND SUBSTANTIAL SHAREHOLDERS INTERESTS None of the directors and/or major shareholders of IET and/or persons connected with them have any interest, whether direct or indirect, in the Disposal. 8. STATEMENT BY DIRECTORS. The Board of Directors of IET is of the opinion that the Disposal is in the best interest of IET. This announcement is dated 13th August 2009
