LISTING'S CIRCULAR NO. L/Q :  53682 OF  2009

Kindly be advised that the aforesaid Company has changed its name to "GENTING

MALAYSIA BERHAD".  As such, the Companys shares will be traded and quoted

under the new name with effect from 9.00 a.m., Thursday, 25 June 2009.

The Stock Short Name will be changed as follows:-

Announcement Details : Atthe last Annual General Meeting of Resorts World held on 23 June 2008,the shareholders of Resorts World had approved the following: (i) renewal of the authority for Resorts World to purchase and/or hold its own shares of an aggregate amount of up to 10% of its prevailing issued and paid-up share capital at any time (“Renewed Share Buy-Back Authority”); and (ii) the exemption under Practice Note 2.9.10 of the Code to Genting Berhad (“Genting”) and persons acting in concert with it (“PACs”)from the obligation to undertake a mandatory take-over offer on theremaining voting shares in Resorts World not already owned by them,upon the purchase by Resorts World of its own shares pursuant to theRenewed Share Buy-Back Authority. TheRenewed Share Buy-Back Authority and the said exemption will expire atthe conclusion of Resorts World’s forthcoming Annual General Meeting. Onbehalf of Resorts World’s Board of Directors, we wish to announce thatResorts World intends to seek the approval of its shareholders for theproposed renewal of the authority for Resorts World to purchase and/orhold its own shares of an aggregate amount of up to 10% of ResortsWorld’s prevailing issued and paid-up share capital at any time (“Proposed Share Buy-Back Renewal”) at a general meeting to be convened (“General Meeting”). AsGenting directly holds approximately 48.45% of the voting shares inResorts World, and together with the PACs, collectively holdapproximately 48.54% of the voting shares in Resorts World as at 20March 2009, the purchase by Resorts World of its own shares (pursuantto the Proposed Share Buy-Back Renewal) may trigger an obligation byGenting and the PACs to undertake a mandatory take-over offer on theremaining voting shares in Resorts World under the Code. In thisregard, Genting and the PACs intend to apply to the SecuritiesCommission (“SC”) for an exemption under Practice Note 2.9.10 of the Code (“Proposed Exemption”).Pursuant to the Code, the SC may consider granting the ProposedExemption if the approval of the independent shareholders of ResortsWorld is obtained. Accordingly, Resorts World proposes to table theProposed Exemption together with the Proposed Share Buy-Back Renewal atthe General Meeting. The Proposed Exemption and Proposed Share Buy-Back Renewal are inter-conditional. Astatement containing the details of the Proposed Share Buy-Back Renewaland Proposed Exemption will be despatched to the shareholders ofResorts World in due course.
